Elevated and New Shareholders
Johnson & Bell, Ltd. recently announced that the firm has elevated attorneys Meiko L. OguraSammi L. RenkenMatthew L. Johnson, top left, and Edward W. Hearn, center, to equity shareholders in the firm, effective January 1, 2007. They also announced that three associates have become shareholders in the firm, also effective on January 1.

Johnson concentrates his practice in hospital law and medical liability matters; Hearn oversees the firm’s Highland, Indiana, office and concentrates his practice in commercial litigation, product liability matters, transportation law, and insurance coverage issues.

New shareholders are Michael C. Holy, top right, Meiko L. Ogura, bottom left, and Sammi L. Renken, bottom right. Holy concentrates his practice in product liability, pharmaceutical liability, medical liability, employment law and other complex civil litigation; Ogura concentrates her practice in premises, product, and pharmaceutical liability matters; and, Renken concentrates her practice in the areas of hospital law, medical and legal liability, and nursing home liability matters.

Haynes and Boone, LLP Closes $1.8B Cash Sale of ClubCorp
Haynes and Boone, LLP announced today that it has finalized the $1.8 billion sale of ClubCorp to KSL Capital Partners.

ClubCorp -- the leading operator of golf courses and country clubs in the world -- reached an agreement to merge with KSL last October. KSL is a private equity fund with $1 billion of committed capital in the resort and leisure industry.

The conclusion of the deal ended months of work by a Haynes and Boone team that included Garrett DeVries, Tom Yang, Matt Zmigrosky, Randy Colson, Vicki Martin-Odette, Ken Bezozo, Brandon Jones, David Shinnick, Susan Wetzel, Greta Cowart and Mary Mendoza.

In a separate but related transaction, ClubCorp also closed on an agreement to sell The Pinehurst Resort and Country Club to certain members of the Dedman family, owners of about 70 percent of ClubCorp, in a $325 million transaction. Thompson and Knight represented the Dedman family in that transaction and Winston & Strawn represented a special committee of ClubCorp's Board of Directors.

ClubCorp’s renowned resort properties include Barton Creek Resort & Spa in Austin, Texas (site of two Canadian Tour events); and The Homestead in Hot Springs, Virginia (America’s first resort founded in 1766); Firestone Country Club in Akron, Ohio (site of the World Golf Championships – Bridgestone Invitational); and Mission Hills Country Club in Rancho Mirage, California (home of the Kraft Nabisco Championship).

The company also holds more than 60 business clubs and business and sports clubs, including the Boston College Club, City Club on Bunker Hill in Los Angeles, Columbia Tower Club in Seattle, Metropolitan Club in Chicago and the City Club of Washington, D.C.

Magdalena Osborn Joins Gust Rosenfeld
Magdalena Osborn joins Gust Rosenfeld as an Associate in our Litigation department. She focuses her practice on civil litigation spanning a variety of issues, including complex contracts, health care law, insurance defense, labor and employment law and personal injury. She has interned with the District Attorney of Colorado Springs, Colorado and with in-house counsel at an applications service provider in Denver, Colorado. Because of her litigation and business experience, she is able to provide a unique perspective to various cases. In addition, she converses in American Sign Language.

Osborn attended Pikes Peak Community College in Colorado Springs where she learned American Sign Language Interpretation on an academic scholarship. In 1999, she graduated cum laude from the University of Colorado with a B.A. in Psychology. She earned her J.D. from the University of Denver College of Law in 2002. While in law school, Osborn participated in Hoffman Trial moot court competitions where she succeeded to the final quarter round in 2002.

Osborn is admitted to practice in Arizona and the U.S. District Court for the District of Arizona. She is a member of the American Bar Association and the Pima County Bar Association. Active in her community, she is a member of the Tucson Centers for Women and Children and a board member of the Milk Money Foundation.

Founded in 1921, Gust Rosenfeld provides legal counsel to individuals, private and public corporations and governments. While known for its public law and finance practice, the firm also maintains significant practices in the areas of real estate, corporate, litigation, labor and employment, creditors’ rights and franchise law. The firm maintains offices in Phoenix and Tucson.

DOL Updates Securities Lending Class Exemption
The Department of Labor recently finalized Prohibited Transaction Class Exemption ("PTE") 2006-16, which consolidates and restates PTEs 81-6 and 82-63, and applies to securities lending transactions entered into on or after January 2, 2007. 71 Fed. Reg. 63786 (Oct. 31, 2006). The restated exemption does not change the conditions of PTE 82-63, which provides relief from ERISA self-dealing (sec. 406(b)(1)) for the lending agent's compensation arrangement. However, the final exemption provides relief from the party-in-interest and other section 406(a) prohibitions by expanding the types of collateral that a plan may accept, and enabling plans to loan securities to certain foreign banks and foreign broker-dealers. In the latter respect, it goes well beyond the proposed exemption and PTE 81-6. The consolidated exemption also clarifies that "fee-for-hold" arrangements, as well as loans structured as repurchase agreements, can qualify for the relief.

Sid Swinson – Golden Rule Award Recipient
Do unto others as you would have them to do unto you” – so states “The Golden Rule.” SID SWINSON was recently honored with the Golden Rule Award by the Tulsa County Bar Association, and he exemplifies that rule by giving his best efforts and expecting that others do the same.

In a recent “Tulsa Lawyer” article written by Paul Thomas, Paul states that “Sid delights in brainstorming unique (and sometimes oblique) legal issues and can carry on complete conversations using only references to Bankruptcy Code sections and rule number. If you happen to see Sid, ask him a tough bankruptcy law question – but make sure you have a copy of the Bankruptcy Code handy and see what happens!”

Besides being a practicing lawyer, Swinson is a chapter 7 Trustee, a law school professor, an author, an OBA Bankruptcy Section Director, an Adjunct Settlement judge, a Chief Master of the Professional Responsibility Tribunal and mentor to many. Sid has over twenty-six years of practice and has been the recipient of many other awards – including the Tulsa County Bar Association’s “Outstanding Young Lawyer” award in 1987 and “President’s Award” in 1998. He recently was invited to become a Fellow of the American College of Bankruptcy. Sid earned his undergraduate degree in Business Management from the University of Notre Dame in 1977 and his law degree from the University of Tulsa College of Law in 1980. Sid has been with GableGotwals since 1988 and currently serves as a Director of the Firm.

Hedge Fund Attorney Matthew Eisenberg Joins Finn Dixon & Herling as Partner
Finn Dixon & Herling LLP, a specialty corporate, private equity, M & A, securities and investment management law firm, announced that Matthew S. Eisenberg, a prominent hedge fund attorney, has been named a partner of the firm. Mr. Eisenberg has an extensive background representing a variety of domestic and offshore hedge funds, funds of funds and other investment funds, third party marketers and broker-dealers. He advises as to all aspects of fund and broker-dealer structuring, formation and operations, as well as investment adviser and broker-dealer registration and compliance.

KLA-Tencor to Acquire Therma-Wave
Davis Polk & Wardwell is advising KLA-Tencor Corporation on its acquisition of Therma-Wave, Inc. Therma-Wave offers leading-edge products for the measurement of transparent and semi-transparent thin films; for the measurement of critical dimension and profile of IC features; and for the monitoring of ion implantation and activation processes. Headquartered in San Jose, California, KLA-Tencor is the world leader in yield management and process control solutions for semiconductor manufacturing and related industries.

According to the terms of the merger agreement, KLA-Tencor has agreed to acquire Therma-Wave through a cash tender offer followed by a second-step merger for $1.65 per share, valuing the transaction at approximately $75 million. The transaction is expected to be completed in the first quarter of 2007 and is subject to customary closing conditions, including regulatory clearances.
