10A Probes: The Auditor As First Responder
SULLIVAN & CROMWELL LLP Partner Robert Giuffra was quoted in an article, entitled "10A Probes: The Auditor As First Responder," about the nature and frequency of investigations pursuant to Section 10A of the Securities Litigation Reform Act of 1995. Mr. Giuffra noted that companies are increasingly being asked by their accountants to conduct 10A investigations using outside counsel, and that Section 10A has increased the role of accountants in identifying and reporting possible corporate misdeeds.

Salans advises Pan Fish on a two-fold acquisition in which the Norwegian becomes the worldwide leader on the market for farmed salmon
International law firm Salans represented the Norwegian company Pan Fish before the French merger control authorities concerning the acquisition of its main competitor, Marine Harvest, a Dutch company which until then had been the main player in the market for farmed salmon. Pan Fish has simultaneously acquired a second competitor, Fjord Seafood, also present on the downstream markets for fish-based valued-added products.

After the French Competition Council had delivered its advice on the matter, the Ministry of Economy approved these transactions. In order to prevent any competition risks, Pan Fish has undertaken to sell its Scottish subsidiary.

Through this double acquisition, Pan Fish, having changed its name to Marine Harvest, becomes the primary player on the market for farmed salmon.

She is lead counsel to Wachovia Corporation in 18 class or collective actions alleging that the bank failed to compensate brokers for overtime hours, and she is also leading Eastman Kodak Company's defense in three putative wage-hour class and collective actions. Almon started her career working for the Corporation Counsel of the City of New York and continues to represent the city in private practice as lead defense counsel in three collective actions pending against the city and the New York City Police Department. Andrew Ruskin Brings His Healthcare Regulatory Practice to Morgan Lewis
Morgan, Lewis & Bockius LLP is pleased to announce that Andrew Ruskin has brought his healthcare regulatory practice to the firm. Mr. Ruskin counsels clients on the full array of regulatory issues affecting the healthcare industry.

"Andy's knowledge covers issues related to the regulation of pricing and reimbursement of drugs and medical devices, as well as of healthcare service providers," said Kathleen M. Mr. Ruskin's practice focuses on providing counsel on healthcare regulatory matters for pharmaceutical and medical device companies, hospitals and other healthcare service providers, as well as to insurers and other commercial payors. He regularly advises on Medicare and Medicaid coverage, reimbursement, and compliance issues affecting these entities. In connection with these issues, Mr. Ruskin frequently advocates his client's position to the Centers for Medicare and Medicaid Services, which is the agency that administers the Medicare program. Miller Canfield International Business Briefing: Cape Town Treaty and H-1B Visas
The law firm of Miller Canfield discusses the “Cape Town Treaty” and “H-1B Visas” at an upcoming International Business Briefing on Tuesday, February 6, from 7:30-9:00 a.m. at the Automation Alley International Business Center (2675 Bellingham, Troy, Mich.). Attendees may choose to go to both or either briefing. There is no cost to attend. Registration begins at 7:30 a.m.; the Cape Town Treaty discussion starts at 7:45 a.m., followed by the H-1B Visa briefing at 8:45 a.m.

Miller Canfield attorneys Carla Machnik and David McLeod will discuss how the Cape Town Treaty – enacted in the U.S. in March 2006 – regulates the buying, selling, leasing and financing of aircraft and engines. Failure to comply with the new rules and procedures risks the protection of liens involving aircraft and engines, including security interest. For the first time, it is no longer enough to conduct searches and file documents with the Federal Aviation Administration. Now transactions involving Cape Town eligible aircraft and engines must be registered with the Cape Town International Registry.

Karen McAmmond, immigration services business manager at Miller Canfield, will give employers an update on the state of the H-1B visa. Employers looking to supplement their workforce with highly skilled foreign workers – engineers, computer programmers, architects, accountants – may begin filing new H-1B visa petitions beginning April 4, 2007, for an employment start date of October 1. Currently there is a cap on the number of H-1B visas issued in the U.S. per fiscal year, and that cap is reached earlier each year, forcing employers to plan ahead accordingly.

This information-packed briefing is designed for purchasers, vendors and financers of aircraft or engines, as well as business executives and in-house counsel interested in acquiring H-1B visas for their company.

Becky S. Walker To Join Manatt
Manatt, Phelps & Phillips, LLP, the national law and consulting firm, announced today that Becky S. Walker, Chief of the Criminal Appeals Section in the Los Angeles U.S. Attorney's Office, will join Manatt's Litigation Division Appellate Practice on February 20, 2007.

Ms. Walker has practiced in the Los Angeles U.S. Attorney's Office since 1994 and currently serves as Chief of the Criminal Appeals Section. As an appellate advocate, she has handled 25 oral arguments in the U.S. Court of Appeals, Ninth Circuit, and has written and edited hundreds of briefs, as well as mandamus and en banc petitions. Ms. Walker and her team of appellate attorneys serve as the principal appellate strategists for approximately one hundred and fifty five Assistant U.S. Attorneys.

Recognized nationally as an appellate leader, Ms. Walker has taught Appellate Advocacy at the Department of Justice's National Advocacy Center, has organized and spoken at national and Ninth Circuit Appellate Chiefs Conferences, has been actively involved in recruiting, and has led initiatives focused on the advancement of women in the profession.

Before her appointment as Chief of Criminal Appeals, Ms. Walker served as Chief and Deputy Chief of the General Crimes Section and as a member of the Organized Crime and Terrorism Section of the U.S. Attorney's Office. She has tried numerous felony jury cases, and led investigations involving terrorism, violent crimes, child exploitation, firearms, narcotics, immigration and financial crimes.

"Becky Walker is an established leader among U.S. Attorney's Office appellate chiefs, and we are extremely pleased to welcome her to Manatt," said Chad S. Hummel, Chair of Manatt's Litigation Division. "Given her talent, credentials, motivation, and reputation for excellence, she will quickly become a leader in our appellate practice."

Ms. Walker joins an esteemed group of appellate professionals at Manatt. Her colleagues have argued before the U.S. Supreme Court, the California Supreme Court and appellate courts throughout California, as well as numerous federal courts of appeal and other state supreme courts. Manatt appellate lawyers have authored numerous amicus curiae briefs in appellate courts throughout the nation, including the U.S. Supreme Court, successfully advancing client interests in important cases.

From 1999 to 2000, Ms. Walker served as Adjunct Professor of Law at Loyola Law School, Los Angeles, where she taught Introduction to Appellate Advocacy.

Prior to joining the U.S. Attorney's Office, Ms. Walker served as a litigation associate at O'Melveny & Myers in Los Angeles from 1991 through 1994. From 1990 to 1991, she served as a clerk to the Honorable Pamela A. Rymer of the U.S. Court of Appeals for the Ninth Circuit.

Ms. Walker received her B.A., with distinction (Phi Beta Kappa), from Stanford University in 1987, and her J.D., with distinction, from Stanford Law School in 1990. At Stanford Law School, she served as Senior Editor of the Stanford Law Review.
