Labaton Sucharow & Rudoff LLP Forms Alliance With Leading Italian Law Firm Studio Legale Adami
Labaton Sucharow & Rudoff LLP and leading Italian law firm, Studio Legale Adami, announced today a joint alliance, dedicated to assisting Italian institutional investors to fulfill their fiduciary duties in recovering portfolio losses due to issuer fraud and mismanagement. The firms will represent Italian institutional investors in class actions and complex securities cases and provide related institutional investor services designed to preserve and, where necessary, to recover these investors assets.

Labaton Sucharow and Studio Legale Adami, headquartered in Verona, will work together to address the growing need for investor protection services in Italy. Davis Polk Advises Greenhill Capital on Its Investment in Stroz Friedberg
Davis Polk & Wardwell advised Greenhill Capital Partners, LLC on its $30 million investment in Stroz Friedberg Inc., a New York-based national consulting and technical services firm specializing in digital forensics, electronic discovery, cyber-crime response and investigations.

Based in New York, Greenhill Capital manages several private equity funds with an aggregate of $1.3 billion in committed capital, focusing primarily on the financial services, energy and telecommunications industries.

The Davis Polk corporate team included partner Nancy L. Sanborn, associates Charles R. Nightingale and Waqaas Fahmawi and legal assistant Matthew Cohen. Partner William H. Weigel and associates Raymond J. Holst and Craig A. Phillips provided tax advice. Partner Barbara Nims and associate Ann Becchina provided employment advice. The intellectual property team included associate Stefan Quick (not yet admitted). Counsel James P. McIntyre and associates Regina Chang and Karla Booth provided real estate advice. Commercial Lending Shareholder Joins New York Office
The law firm of Vedder Price announces that Michael C. Nissim, formerly a partner with the New York office of McDermott, Will & Emery, joins its New York office as a Shareholder—effective today. As a member of the Vedder Price Finance and Transactions Group, Mr. Nissim will focus on the representation of commercial lenders, Employee Stock Ownership Plan (ESOP) sponsors, private equity investors and international banks.

A graduate of New York University (B.A., cum laude, 1982) and Temple University School of Law (J.D., 1985), he has extensive commercial credit experience—including acquisition financing, asset-based lending, equity bridge financing, leveraged ESOP financing and a wide variety of credit enhancement arrangements.

“We are thrilled to have Michael Nissim join our firm’s largest practice area,” commented Michael A. Nemeroff, President of Vedder Price and the Chair of the firm’s Finance and Transactions Practice. “He is a highly-skilled transactional attorney and there is great synergy between the services that he provides his clients and those offered by the 60+ members of our group.”

Mr. Nissim has actively represented private banks throughout his career. He has advised private banks in a variety of secured and unsecured facilities, in transactions ranging from $5 to $250 million. Examples of his ESOP expertise include advising an ESOP-owned company in its $300 million revolving credit facility and accounts receivable securitization. In addition, he has substantial experience in distressed, high-yield and sovereign debt assignments and participations as well as debt and loan restructurings and workouts. He represented creditors in the Enron and Budget Rent-a-Car bankruptcy transactions.

His representation of international banks is also quite significant. For example, he advised the U.S. branch of a German bank in the issuance of over $2 billion in credit enhancement letters of credit. He represented a U.S. money-center bank in a $100 million revolving credit facility for a hedge fund borrower and he assisted an international corporate group in establishing a $750 million integrated cash management system for its U.S. subsidiaries.

Mr. Nissim is a member of the ESOP Association, the American Bar Association (Uniform Commercial Code and Letter of Credit subcommittees) and the Association of the Bar of the City of New York. He is licensed to practice in the State of New York.

18 Troutman Sanders Attorneys Named 'Rising Stars' In Virginia
Troutman Sanders LLP is pleased to announce that 18 of its lawyers have been selected for inclusion in the 2007 edition of Law & Politics’ Virginia Super Lawyers – Rising Stars Edition. The list of attorneys will also be included in a special section in Richmond magazine.

For inclusion and distinction as a “Rising Star,” attorneys are selected by the most recent group of “Super Lawyers” – representing just 5 percent of attorneys in Virginia – and independent research by Law & Politics. Joseph A. Tessari Joins Troutman Sanders In Its Richmond Office
The law firm of Troutman Sanders LLP is pleased to announce the addition of Joseph A. Tessari to its Intellectual Property practice group in Richmond, Va.

Tessari comes to Troutman Sanders from the Tredegar Corporation, where he was the Director of Intellectual Property. Prior to working at Tredegar, he was Intellectual Property Counsel at Tyco Electronics, Corporate Counsel at E.I. du Pont de Nemours & Co. and an associate at the Paul & Paul law firm in Philadelphia, Pa.

Tessari's practice will focus primarily on handling patent matters, including strategic review and administration of patent portfolios, analyses concerning infringement, validity, freedom-to-operate, and patentability and design issues. Additionally, he will negotiate and review patent (domestic and foreign), IP, and merger and acquisition agreements; work with clients on potential IP concerns, including strategic counseling; review or create in-house IP policies, processes and procedures; draft, review and negotiate IP related agreements; and provide due diligence and other assistance in connection with merger and acquisition activities. He will also assist clients with trade secret litigation, business venture and alliance advice as well as counsel clients on sales and marketing, distribution and branding.

Tessari received a Bachelor of Science in toxicology, cum laude, from Philadelphia College of Pharmacy & Science in 1982 and earned his J.D. from Vermont Law School, cum laude, in 1985. He is licensed to practice in Pennsylvania, Virginia and before the United States Patent & Trademark Office.
