Freshfields Competition practice voted top by in-house counsel
Freshfields Bruckhaus Deringer's antitrust, competition and trade practice has been rated top by in-house counsel for the second year running in the 2007 'GCR 100', an international survey of in-house counsel for their preferred law firm. The survey, in its seventh edition, is compiled by Global Competition Review, a leading international journal on competition policy and regulation. The survey described the firm as 'the most esteemed competition practice in the GCR 100, receiving more votes from corporate counsel and rivals than any other firm'.

The survey was based on the responses of international corporate counsel when asked 'which firm they rated the most highly'. Freshfields Bruckhaus Deringer was clear favourite, receiving significantly more votes than any other firm. Freshfields also came top when competitor firms were asked which firm they considered their biggest rival in competition.

Commenting on the survey, David Aitman, global practice co-head of Freshfields Bruckhaus Deringer's antitrust, competition and trade group said, 'We are once again delighted with the results of the GCR 100 survey, which serve as recognition of the hard work and dedication of the whole practice internationally.'

Global co-head of the practice Helmut Bergman added, 'This accolade follows a high level of activity for the practice and rounds off an excellent year, confirming our standing in the market.'

CRAVATH REPRESENTS LENDERS AND INITIAL PURCHASERS IN OVER $3 BILLION OF FINANCING FOR TROPICANA ENTERTAINMENT
Cravath represented Credit Suisse and Credit Suisse Securities (USA) LLC in connection with $2.15 billion in senior secured credit facilities and $960 million in senior subordinated notes made available to Wimar OpCo LLC (d/b/a Tropicana Entertainment) and certain of its subsidiaries. Tropicana Entertainment is a subsidiary of Wimar Tahoe Corporation. The proceeds of the financings were used to finance Wimar Tahoe's acquisition of Aztar Corporation. The combined company is among the largest privately held gaming entertainment providers in the United States, with casino properties in Nevada, New Jersey, Louisiana, Mississippi and Indiana. The primary corporate lawyers involved in this matter were partners Paul H. Zumbro and Damien R. Zoubek, and associates Kevin W. Robinson, Johnny G. Skumpija, Marina E. Sharpe, Marvin B. Tagaban and Melanie E. Lee.

Cleary Gottlieb is #1 Issuers’ Counsel in Global Equity IPOs for 2006; Ranks High in Other Debt and Equity Rankings
Cleary Gottlieb topped Bloomberg’s recently released league table for global equity IPO issuer advisers, with $20.3 billion in deal volume. The firm was fifth among advisers to managers in global equity IPOs, with $9.5 billion in deal volume.

Cleary Gottlieb also ranked first among counsel to European, Middle Eastern and African (EMEA) equity IPO issuers, with $15.6 billion in deal volume for a 19.8 percent total market share, almost twice that of its nearest competitor. On the manager side for EMEA equity IPO advisers, Cleary Gottlieb ranked fifth overall, with $4.1 billion in deal volume.

The firm catapulted to the number seven position from the number 41 spot last year in the ranking of issuers’ counsel in Asia (excluding Japan) equity IPOs. Cleary Gottlieb recorded $3.2 billion in deal volume in this category, increasing its market share to an impressive 5.3 percent. The firm also showed great improvement on the league table for U.S. equity offerings as managers’ counsel, moving into eighth place from 11th last year.

On the league tables for debt, Cleary Gottlieb ranked fourth among legal advisers for managers in U.S. corporate debt transactions, with $56.6 billion in deal volume. For representation of issuers in U.S. corporate debt transactions, Cleary Gottlieb took the number seven spot with $20.9 billion in deal volume. The firm ranked fourth among U.S. investment grade manager advisers, with $55.6 billion in deal volume and fifth on the issuer side of U.S. investment grade debt, with $20.8 billion in deal volume. Cleary Gottlieb also ranked fourth among legal advisers to managers in U.S. preferred debt transactions, with $3.9 billion in deal volume.

William J. Kohler appointed to Board of Directors for ORT America, Michigan Region
Butzel Long senior attorney William J. Kohler has been appointed to the Board of Directors for ORT America, Michigan Region. Mr. Kohler, whose term of office runs from January to December 2007, is co-chair of the ORT America Michigan Planned Giving Committee.

ORT America supports a global network of schools and training programs in 58 countries with more than three million graduates to date. ORT educates individuals, impacts communities and improves the world. Worldwide Jewish and secular communities are strengthened in those towns and cities in which ORT programs exist. Mr. Kohler's practice includes leadership roles in three of Butzel Long's practice groups: Transaction and Finance Practice, Global Automotive Industry Practice and Global Trade and Transactions Practice.

Mr. Kohler was formerly vice president and general counsel of Johnson Controls' automotive operations in North and South America. While at Johnson Controls, Mr. Kohler was responsible for all legal, governmental and environmental affairs of the company's largest business unit. Prior to joining Johnson Controls, he was employed for 10 years at Chrysler Corporation and DaimlerChrysler AG, first as senior counsel on the international legal staff of the Office of the General Counsel, and then in positions of increasing responsibility within the Treasurer's Office and the Finance Department.

Mr. Kohler has extensive transactional experience, including domestic and foreign acquisitions, divestitures and joint ventures; international distribution arrangements; supply arrangements; supplier and customer workouts; and intellectual property arrangements such as joint development agreements and technology licensing.

Mr. Kohler has written and spoken on a variety of topics, including: U.S. Export Controls; the Foreign Corrupt Practices Act; U.S. anti-boycott laws; international distribution of goods; arbitration vs. litigation; the TREAD Act; and law department management.

By appointment of the U.S. Secretary of Commerce, Mr. Kohler is a member of the Michigan District Export Council. He is a past board member of the professional editorial board of the International Lawyer, which is the quarterly publication of the American Bar Association's Section of International Law. He is a founding member of the International Law Section of the State Bar of Michigan, for which he also served as a council member and as chairperson of the Western European Law Committee.

Mr. Kohler is a trustee of the Friends School in Detroit and clerk of the Birmingham Friends Meeting (Religious Society of Friends). He is a resident of Huntington Woods.
