William S. Painter Named Among Outstanding Healthcare Transaction Lawyers byNightingale'salthcare News
William S. Painter, of the law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, PC, has been named an Outstanding Healthcare Transaction Lawyer by Nightingale's Healthcare News, a newsletter for healthcare executives and professionals serving the healthcare industry. Mr. Painter is among 12 attorneys from across the country who were named to the list, which is published annually by Nightingale's. All 12 attorneys will be honored at an awards dinner reception held as part of the Eighth Annual Healthcare Transactions Conference in Chicago on April 19, 2007.

Mr. Painter was recognized for his recent work on healthcare transactions which included representing a publicly traded company in a number of ambulatory surgery center acquisition transactions and a large physician practice acquisition transaction as well as a number of different physician groups in establishing joint ventures with a large regional medical center in the areas of pain management, endoscopy, outpatient imaging and outpatient surgery.

Armstrong Teasdale LLP is pleased to announce that Kristin D. Byrd, Jeffrey H. Kass, Steven E. Pozaric, Matthew J. Reh, Jennifer A. Schwesig, Darren K. Sharp, Matthew S. Shorey, and Michael A. Wazlawek have been elected to partnership, effective January 1, 2007.

Kristin D. Byrd is a member of the firm’s Litigation Department. She concentrates her practice in the area of medical malpractice defense. Byrd served as co-counsel on the #7 top Missouri Defense Verdict in 2005, #7 top Missouri Defense Verdict in 2002, and two of the Top 10 Missouri Defense Verdicts in 2001, according to Missouri Lawyers Weekly. Prior to receiving her law degree, she worked for various pro bono causes and continues to do so currently as a volunteer for Legal Advocates for Abused Women. Byrd is a member of The Missouri Bar, Illinois State Bar Association, Tennessee Bar Association, American Bar Association (Health Law Section), Bar Association of Metropolitan St. Louis, Women Lawyers Association, Missouri Organization of Defense Lawyers, and the American Society for Healthcare Risk Management (ASHRM). Jeffrey H. Kass is a member of the firm’s Litigation Department. He engages in the practice of business and commercial litigation, trademark, copyright and patent litigation, trademark law, technology law, and corporate criminal defense. Kass represents clients in connection with contract issues, trademark disputes, patent disputes, Internet domain name disputes, software licenses, leases, corporate fraud and misconduct issues, and a variety of other issues related to business and technology. He is a member of The Missouri Bar, American Bar Association, Bar Association of Metropolitan of St. Louis, Defense Research Institute (DRI), American Intellectual Property Law Association, and Rising Media. Steven E. Pozaric is a member of the firm’s Business Services Department. He focuses his practice in the areas of mergers and acquisitions, corporate law, and securities law. Pozaric counsels clients with respect to corporate formation, financing strategies and plans, securities issues, mergers and acquisitions, as well as general business matters. He has extensive experience in representing biotechnology, life science, and other technology based companies. He is a member of The Missouri Bar, Illinois State Bar Association, American Bar Association (Business Law Section - Venture Capital and Negotiated Acquisitions Committees), Bar Association of Metropolitan St. Louis, Fenton Area Chamber of Commerce, St. Louis Technology Gateway, and 2006 Invest Midwest (Selection Committee). Pozaric received his J.D. degree, magna cum laude, from Saint Louis University School of Law in 1998, his M.B.A. from the John M. Olin School of Business at Washington University in 1993, and his B.B.A. degree, magna cum laude, from Texas Christian University in 1989.

Matthew J. Reh is a member of the firm’s Litigation Department. He concentrates his practice on defending claims for professional malpractice and products liability. He is also involved in condemnation and construction law and serves as the prosecuting attorney for a local municipality. Reh is a member of The Missouri Bar, Illinois State Bar Association, Bar Association of Metropolitan St. Louis, Missouri Organization of Defense Lawyers, Lawyers Association of St. Louis, and the Defense Research Institute (DRI). He received his J.D. degree from Saint Louis University School of Law in 1998 and his B.A. degree from the University of Notre Dame in 1995. Mr. Reh received BAMSL’s John Shepherd Professionalism Award in 2004 for embodying the tenets of professionalism in his practice.

Jennifer A. Schwesig is a member of the firm's Business Services Department. She focuses her practice in the area of international law, with an emphasis on international trade, customs and general business, commercial and financial transactions. Schwesig is a member of The Missouri Bar (Chair, International Law Committee), American Bar Association (International Section), Bar Association of Metropolitan St. Louis, and the American Society of International Law. She actively participates in the International Institute (Micro Enterprise Program), COCA (Associates Board), and United Way (Cabinet Member, Women’s Leadership Giving Initiative). Schwesig received her J.D. degree from Washington University School of Law in 1998, her LL.M (International & Comparative Law), with distinction, from Georgetown University Law Center in 2002, and her B.A., cum laude, from Kenyon College in 1995.

Darren K. Sharp is a member of the firm’s Litigation Department in the Kansas City office. He focuses his practice in the areas of commercial and insurance defense. Sharp advocates for corporate clients in commercial disputes and business related tort cases in state and federal courts. Matthew S. Shorey is a member of the firm’s Litigation Department. He handles a wide range of litigation matters in the areas of life, health and disability, product liability, commercial litigation and construction litigation. Shorey is a member of The Missouri Bar, Illinois State Bar Association, American Bar Association (Member, Tort, Trial and Insurance Practice Section; Vice-Chair, Life Insurance Law Committee; and Co-Editor, ABA’s Life Insurance Law Committee Newsletter), and the Bar Association of Metropolitan St. Louis. Michael A. Wazlawek is a member of the firm's Business Services Department. He concentrates his practice in the areas of banking and real estate law, as well as general corporate law. Wazlawek is a member of The Missouri Bar, Bar Association of Metropolitan St. Louis, and the American Bar Association. He received his J.D. degree from DePaul University College of Law in 1998, and also studied law through a program at Collegio Mayor San Paulo in Madrid, Spain in 1996. T&K Attorney Named to the Texas Lyceum Association's 2007 Board of Directors
The international law firm of Thompson & Knight LLP is pleased to announce that Nancy A. Shellhorse has been named to the Texas Lyceum Association's Class of 2007 Board of Directors. Her three-year term begins immediately.

The Texas Lyceum Association Directors and Alumni annually nominate individuals to be elected as Directors for three-year terms. She has extensive trial experience and previously served as an Assistant Attorney General for the State of Texas in the Elder Law and Public Health Division.

Simpson Thacher Represents Odontoprev S.A. in Initial Equity Offering
Simpson Thacher recently represented Odontoprev S.A. and several selling shareholders in an initial offering of common shares that closed on December 5, 2006. The transaction raised the U.S. dollar equivalent of approximately US$220 million in proceeds in a combined primary and secondary offering. The common shares were offered to the public in Brazil, with selling efforts to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons in Europe under Regulation S. Odontoprev S.A. is the largest dental services provider in Brazil.

The Simpson Thacher team for the transaction consisted of Jaime Mercado, Christopher Frigon, Adriana Kertzer, Carlos Amy and Fionna Tsu (corporate), and Rob Holo, Jonathan Cantor and Peter Rosen (tax).

Thales Purchases Transportation, Security and Space Assets from Alcatel-Lucent
Shearman & Sterling represented Thales in connection with its agreement with Alcatel-Lucent on the transfer of Alcatel-Lucent’s transportation, security and space assets to Thales and on the future industrial cooperation of the two groups. Total amount of the transaction reaches approximately €1.7 billion in cash payment and shares of Thales.

According to the terms of the agreement signed with Alcatel-Lucent in December 2006, Thales' shareholders approved the contribution of Alcatel-Lucent’s transportation and security activities to Thales at the Extraordinary Shareholders General Meeting on January 5, 2007. The acquisition in cash of Alcatel-Lucent’s space activities, subject to approval by the European Commission, should be finalized during the first half of 2007.

Thales is a leading international electronics and systems group, serving defense, aerospace and security markets worldwide, supported by a comprehensive services offering. Alcatel-Lucent provides solutions that enable service providers, enterprises and governments worldwide, to deliver voice, data and video communication services to end-users.
