Firm Assists Apollo Investment Corp in $404 Million Offering
Willkie client Apollo Investment Corporation announced that it has increased its previously announced public offering of 16 million shares of Common Stock to 18 million shares, and has priced the offering of such shares at $22.44 per share, raising approximately $403.92 million of gross proceeds. Apollo has granted the underwriters an option to purchase up to an additional 2,700,000 shares to cover potential over-allotments. The company expects to use the net proceeds of the offering to repay amounts outstanding under its senior credit facility, to make investments in portfolio companies, and for general corporate purposes. Apollo, a business development company, invests primarily in mezzanine loans and senior secured loans. The transaction was handled by partners Margery Neale and Serge Benchetrit, and associates Adam Henslovitz, Christian Ercole, and Danielle Sheer.

White & Case Adds to German Equity Capital Markets Team
White & Case is adding to its existing German capital markets capabilities with the arrival of partner Lutz Robert Krämer. He will join the Firm's Frankfurt Capital Markets team in early February 2007, working within White & Case's growing global Capital Markets practice.

Krämer's expertise lies in equity capital markets, particularly IPOs and secondary offerings. Most recently Lutz Krämer has advised a number of banks and issuers, including Deutsche Bank, Credit Suisse, Morgan Stanley, GAGFAH S.A., Verbio AG, A-Tec Industries AG and HCI Capital AG, on major IPOs and rights issues. Krämer's experience also covers high yield bonds and corporate takeovers, as well as company and compliance law.

Markus Hauptmann, Executive Partner of White & Case in Frankfurt, commented, "We have established a highly-successful finance practice and are continuing the focused expansion of our active capital markets team. Lutz Krämer's expertise and leadership qualities are an excellent fit with our clients needs, and his arrival reflects both the current buoyant market conditions and our intention to grow the practice."

White & Case's German equity capital markets team most recently acted on the IPOs of Open Business Club AG and DIC Asset AG, with the latter also featuring a subsequent rights issue.

"I am looking forward to working with the fast-growing finance team at White & Case and in particular driving the growth of the Frankfurt equity capital markets practice," added Lutz Krämer.

In August 2006 partner Tom Schorling joined White & Case's finance practice in Frankfurt, and in November 2006 the Firm was named Bank Finance Team of the Year by leading German legal guide JUVE.

€470M CEE Telecoms Sale Concludes
White & Case advised the owners of Invitel Távközlési ZRt. ("Invitel"), including the private equity firms GMT Communications Partners ("GMT"), Mid Europa Partners and senior management of Invitel, in their conclusion of an agreement to sell 100 percent of the share capital of Matel Holdings N.V. ("Matel"), the owner of 99.98 percent of Invitel, to Hungarian Telephone & Cable Corp. ("HTCC") for a total consideration of €470 million.

Each of Mid Europa Partners, GMT and senior management of Invitel is selling a 33.33 percent holding in Matel as part of the transaction. Following the completion of the sale, GMT and Mid Europa Partners will each receive €26 million. The sale is subject to regulatory approvals from the Hungarian and Romanian authorities and is expected to close in the first half of 2007.

Invitel is the incumbent fixed telecommunications services provider in its historical concession areas, which cover approximately 1.4 million people, representing 14 percent of Hungary's population. Invitel also provides fixed telecommunications services as an alternative operator in the remainder of Hungary, through its network covering 16 major urban centres.

HTCC, through its Hungarian subsidiary Hungarotel Távközlési Zrt., is the incumbent fixed telecom service provider in historical concession areas covering seven percent of Hungary's population and also has a nationwide network, predominantly serving business customers in the remainder of Hungary.

"This transaction is the culmination of over four years of strategic advice to GMT, Mid Europa and senior management, including the purchase of Invitel, a bolt-on acquisition by Invitel and high yield bond and PIK Note financings. The transaction is expected to result in the creation of a strong competitor to the incumbent fixed line communications operator in Hungary," explained Rob Irving, lead White & Case partner advising on the transaction.

Advising alongside Rob Irving were associates Edward Keller, Orsolya Szabó and Tibor Szántó.

Mid Europa Partners is the largest private equity firm investing in Central and Eastern Europe. Operating from London, Budapest and Warsaw, Mid Europa Partners advises and manages funds with committed capital in excess of €1.1 billion, and has made investments in 14 companies located in nine countries in Central and Eastern Europe.

GMT Communications Partners is Europe's largest independent private equity group focused exclusively on the communications sector, and has actively invested in the European marketplace for the past decade. GMT has completed 25 investments across 17 countries and has managed a series of successful funds comprising €700 million of capital.

Ted Zangari, a Member of the Firm, was pictured in the January 15, 2007 issue of the New Jersey Law Journal with Jerry Gottesman, Chair of Edison Properties/Edison Parking; Robert Del Tufo, a former United States attorney and New Jersey attorney general; and Cory Booker, the Mayor of Newark at Integrity House's Initiative for Women and Children Gala on October 17, 2006 at the Short Hills Hilton. Mr. Zangari serves on the Board of Trustees of Integrity House, an alcohol and drug rehabilitation facility based in Newark, New Jersey.

Joan K. Josephson Appointed to the Mercer County Workforce Investment Board
Parker McCay attorney Joan K. Josephson was recently sworn in as a member of the Mercer County Workforce Investment Board by County Executive Brian M. Hughes.

As a member of the Board, Ms. Josephson will provide her professional insight to assist the Board in developing and maintaining a strong workforce for Mercer County. The Board, through public and private partnerships, uses state and federal resources and provides coordination, guidance and oversight for workforce readiness programs in Mercer County.

Ms. Josephson concentrates her practice in education law, public sector labor law and labor and employment law. She serves as an adjunct faculty member at Rutgers Institute of Labor Management and is a member of the Mercer County Women Lawyers’ Caucus, the Mercer County Bar Association, the Mercer County Bar Foundation and the New Jersey State Bar Association.

AIChE Names Mary Ellen Ternes Technical Section Chair of Environmental Division
The American Institute of Chemical Engineers has appointed Mary Ellen Ternes, an environmental attorney with McAfee & Taft, as Technical Section Chair for Legislation and Regulation for its environmental division. In this new role, she is responsible for developing, organizing, and chairing educational sessions for AIChE national seminars in the growing area of environmental legislation and regulation. Ternes’ work in this area is complemented by her work as a member of the American Bar Association’s Section of Environment, Energy and Resources (SEER) Council and its Education Service Group.

Ternes, whose legal practice is devoted to all facets of environmental law, holds a engineering degree from Vanderbilt University and served as a chemical engineer with the Environmental Protection Agency and industry for ten years before graduating from law school. She is an active member and frequent presenter at seminars sponsored by the American Institute of Chemical Engineers, Environmental Federation of Oklahoma, Air and Waste Management Association, and American and Oklahoma bar associations. Her achievements in the area of environmental law have earned her inclusion in the International Who’s Who of Environmental Lawyers and The Best Lawyers in America.
