Lowenstein Sandler PC Announces Four New Members To The Firm's Corporate and Litigation Departments
Lowenstein Sandler PC announced today that four attorneys have been elected as Members of the firm effective January 1, 2007 in the firm’s Corporate and Litigation Departments.

Elaine M. Hughes
Elaine M. Hughes has become a Member of the firm’s Tech Group and Investment Management Practice Group, where she focuses her practice on venture capital and private equity.

Ms. Hughes’ practice includes representation of investors and issuers in equity and debt financings, representation of early to late stage technology and science based businesses, and representation of funds and investors in fund formations and creation of investment vehicles. Ms. Hughes also advises these clients in all aspects of critical liquidity events, from strategic and financial mergers and acquisitions to public offerings, as well as other major transactions including technology spin-offs, and strategic alliances.

In addition, Ms. Hughes has represented issuers and purchasers in shelf registrations, PIPEs deals and alternative financings. Her corporate transactional experience also includes the preparation and negotiation of master services, license, consulting, and support services agreements. Prior to joining Lowenstein Sandler, she spent her first five years of practice at Testa, Hurwitz & Thibeault, LLP, forming and representing venture and private equity funds and handling investments into and sales of portfolio companies.

Ms. Hughes has been a guest speaker on venture capital law and shareholder relationships and is a member of the National Venture Capital Association Model Legal Document Working Group, where she co-chairs the Investor Rights Committee. She is a graduate of Harvard University, cum laude, and received her J.D. from Boston College Law School, magna cum laude.

LeBoeuf Lamb Advises Endemol Investment Holding B.V. on the Sale of Endemol France to Endemol N.V.
LeBoeuf, Lamb, Greene & MacRae LLP has advised Endemol Investment Holding B.V., a subsidiary of Telefónica, S.A. on the sale of Endemol France to Endemol N.V.

Endemol Investment Holding B.V., a subsidiary of the Spanish-based international telecommunications company Telefónica, S.A., announced on January 9, 2007 that it had agreed to sell the entire share capital of Endemol France to Endemol N.V. on the basis of an enterprise value of up to EUR 450 million. The transaction will be financed by bank debt and future cash flow. Completion of the transaction is subject to the approval of the shareholders of Endemol N.V. at an Extraordinary General Meeting expected to be held in February 2007.

Endemol France was carved out prior to the IPO of Endemol N.V. in November 2005 due to a disagreement with the previous owners of Endemol France regarding the deferred purchase price for the French business. On September 6, 2006, an announcement was made that agreement had been reached with the previous owners.

Valérian Conrad-Bruat Joins LeBoeuf Lamb's Paris Office
LeBoeuf, Lamb, Greene & MacRae LLP is pleased to announce that Valérian Conrad-Bruat has joined the firm as Counsel and will head the Paris office's real estate practice. He will be joined shortly by two associates.

Valérian has been advising French and international clients on the sale and acquisition of real estate assets in France for over ten years. He holds a degree in real estate and construction law, as well as a Diplôme Supérieur du Notariat (a notary degree). He began his career as a notary and was an associate at Linklaters from 2002-2006.

"We are delighted to welcome Valérian to the firm. His arrival is a key part of the development of our office and our real estate expertise in Paris," said Yves Huyghé de Mahenge, managing partner of the Paris office.

Les associés du cabinet d'avocats LeBoeuf, Lamb, Greene & MacRae annoncent l'arrivée de Valérian Conrad-Bruat en qualité de Counsel afin de diriger le département immobilier du bureau de Paris. Il sera accompagné de deux collaboratrices.

Valérian, 36 ans, DESS de droit immobilier et de la construction, Diplôme Supérieur du Notariat, accompagne depuis plus de dix ans une clientèle française et étrangère dans la cession ou l'acquisition d'actifs immobiliers en France. Il a commencé sa carrière dans le notariat (Allez & Associés - Etude Ginisty, Fil & Blanchet) et exerçait depuis 2002 au sein du cabinet Linklaters.

LeBoeuf Lamb conseille Endemol Investment Holding B.V. sur la cession d'Endemol France à Endemol N.V.
LeBoeuf, Lamb, Greene & MacRae LLP a conseillé Endemol Investment Holding B.V., une filiale de Telefónica S.A., sur la cession de 100% du capital d'Endemol France à Endemol N.V.

Endemol Investment Holding B.V., une filiale de Telefónica S.A., a annoncé le 9 janvier 2007 la signature d'un accord portant sur la cession de l'intégralité du capital social d'Endemol France à Endemol N.V., pour une valeur d'entreprise maximale de 450 millions d'euros. L'opération doit être approuvée par les actionnaires d'Endemol N.V. lors d'une assemblée générale extraordinaire prévue en février 2007.

Endemol N.V. s'était séparée d'Endemol France dans le cadre d'une restructuration avant l'introduction en bourse d'Endemol N.V. en novembre 2005, du fait de l'existence d'un litige avec les anciens actionnaires d'Endemol France portant sur le prix de cession de cette dernière.Il a été annoncé le 6 septembre 2006, qu'un accord avait été conclu avec les anciens actionnaires.
