Albany office to relocate to 677 Broadway
Harris Beach is leasing a portion of the 11th floor of 677 Broadway to accommodate its expanding practice in Albany. The Harris Beach Albany office provides clients with a full complement of legal services and the resources of a state-wide firm.

“Our move to larger offices at 677 Broadway helps to fulfill our strategic plan to expand the Albany office and build upon the full complement of legal services provided to clients in the Capital Region,” said William M. Flynn, head of the Albany office and leader of the firm’s Energy and Telecommunications Industry Teams. “This move provides the additional space we need to efficiently and effectively meet the needs of our clients, supports our practice with state-of-the-art technology and infrastructure, as well as to pursue future expansion. In addition, relocating to one of Albany’s newest and prestigious locations confirms our commitment to downtown Albany and our interest in being an active part of this community."

The transition to the new office will be seamless without interruption of services to clients. The phone number (518-427-9700) and fax number (518-427-0235) will remain the same. The office’s new address will be Harris Beach PLLC, 677 Broadway, Suite 1101, Albany, NY 12207. 677 Broadway is a 12-story, 180,000 square foot first class professional office building owned by Columbia 677 LLC, an entity of Columbia Development Companies, and managed by BBL Management Group.

Farella Braun + Martel Congratulates Its Seven New Associates on Passing the California Bar
Farella Braun + Martel is pleased to announce that all seven of our first year associates have passed the California Bar exam. This diverse first-year associate class bolsters a variety of growing practice groups.

Following are the new associates and their practice groups and educational backgrounds:

Diego F. Acevedo - Business Litigation: Acevedo earned his J.D. from the University of California, Hastings College of the Law (2006). He served as a judicial extern for the Honorable Charles R. Breyer of the Northern District of California. He was a summer intern at Farella Braun + Martel and was a legal intern with the Equal Employment Opportunity Commission in San Francisco.

Gregory J. Cleaver - Business Litigation: Cleaver earned his J. D. from Yale Law School (2003). He clerked for the Honourable Chief Justice Michael E. J. Black AC and the Honourable Justice Raymond A. Finkelstein of the Federal Court of Australia. He also clerked for the Honorable Donald M. Middlebrooks of the United States District Court for the Southern District of Florida, and has worked as a law clerk in both the United States Attorney's Office for the Northern District of California and in the San Francisco District Attorney's Office.

Nicole Howell - Business Litigation: Howell earned her J.D. from the University of California, Hastings College of the Law (2006). She was a summer intern at Farella Braun + Martel and served as an intern at the Sheriff's Department, Prisoner Legal Services. Howell also worked as an extern at the San Francisco Office of the Public Defender where she represented clients in felony preliminary hearings and motions and assisted in felony trials.

David K. Ismay - Construction and Real Estate/Land Use: Ismay earned his J.D. from the University of California, Berkeley, Boalt Hall School of Law (2005). He clerked for the Honorable James R. Browning of the United States Court of Appeals for the Ninth Circuit. Ismay has also served as a law clerk for the United States Department of Justice in the Environmental & Natural Resource Division.

Amarra A. Lee - Business Litigation and White Collar Crime: Lee earned her J.D. from the University of California, Hastings College of the Law (2006). She externed for the Honorable Teri L. Jackson of the Superior Court of San Francisco County. Lee was a summer intern at Farella Braun + Martel and has served as a legal intern with the Office of the District Attorney in San Francisco and as a law clerk for the Center for Human Rights and Constitutional Law in Los Angeles.

Sonya U. Sanchez - Insurance Coverage: Sanchez earned her J.D. from Stanford Law School (2006). She was a summer intern at Farella Braun + Martel and at Wilson, Sonsini, Goodrich & Rosati in Palo Alto. She served as a research assistant at the Stanford Law School Immigrant's Rights Clinic.

Sky Stanfield - Environmental: Stanfield earner her J.D. from the University of California, Berkeley, Boalt Hall School of Law (2005). She clerked for the Honorable Lawrence K. Karlton, Senior Judge, of the United States District Court for the Eastern District of California.

David Keyes Joins Winstead's Banking and Credit Transactions Section
David R. Keyes, a senior finance and commercial law attorney, has joined the Banking & Credit Transactions Section of Winstead. Keyes, a shareholder in Winstead's Houston Office, brings significant experience in energy transactions, project finance, structured finance and syndicated finance.

With over 35 years of legal experience, Keyes excels at providing nationally recognized representation of major financial institutions – both domestic and international – in large dollar and foreign currency syndicated finance transactions. He represents companies and financial institutions in secured and unsecured lending and borrowing. He provides legal advice regarding purchases and sales of receivables, equipment leases, creditors' and debtors' rights, and the Uniform Commercial Code.

Keyes represents clients in various industries and business disciplines including aviation, energy, financial services and technology. He's skilled in dealing with all phases of the acquisition, construction, development and financing of large projects, and he's represented numerous regional, national and international banks in restructuring, liquidity support, credit enhancement and regulatory matters.

"David is a highly respected and exceptional Houston attorney who brings significant experience and knowledge to the Winstead team," said Banking & Credit Transactions Section Chair Randy Matthews. "We welcome this excellent addition to our financial services team and look forward to future successes with our current and future clients."

Keyes is chair of the Legal Opinions Committee and a member of the Commercial Code and Commercial Financial Services Committees of the State Bar of Texas Business Law Section, and he served as past director of the Texas Association of Bank Counsel. He is an Adjunct Professor of Law in Business Transactions at South Texas College of Law; a Life Fellow of the American, Texas and Houston Bar Foundations; and a member of the Uniform Commercial Code Committee of the American Bar Association Business Law Section. He was listed in The International Who's Who of Business Lawyers in banking law, 2005-2006; Chambers USA: America's Leading Business Lawyers in banking and finance law, 2003-2006; The Best Lawyers in America in banking and corporate law, 2003-2007; and he was named a Texas Super Lawyer in banking law 2004-2006.

Keyes served in the United States Army from 1959-1962. He received his A.B. from Princeton University, Woodrow Wilson School of Public and International Affairs, and his J.D. from The University of Texas School of Law with high honors.

Martin Mendelsohn was recognized as Advocate for Justice in the January 2007 edition of Washington Lawyer, the journal of The District of Columbia Bar Association. The association is the second largest unified bar association in the United States.

Erik Klingenberg To Teach Structured Finance at St. John's Law School
Thacher Proffitt announced today that Erik Klingenberg, a partner in the Structured Finance Practice Group, has accepted a position as an adjunct professor at St. John’s Law School. Erik teaches “Securitization, Structured Finance and the Capital Markets”, which commenced on January 10, 2007, while he continues to practice law full-time at Thacher Proffitt.

Working with real world examples from Erik’s practice, the class will explore the economic and legal principles behind the multi-trillion dollar structured finance industry. Erik and his students will examine topics ranging from transfers of financial assets and formation of special purpose vehicles to the use of derivatives and cross-border structures. “Through discussion and hands-on work with actual transactions, I hope to give my students a real understanding of this exciting field and the many areas of law that we work with to help create successful deals for the capital markets.”

“Erik is a natural teacher,” said Paul Tvetenstrand, managing partner of Thacher Proffitt. “His ability to make complicated subjects understandable is a big reason for Thacher Proffitt’s success in handling some of the most cutting-edge deals in the industry.”

Representing issuers, underwriters and many other capital market participants, Erik has structured and documented a broad range of domestic, off-shore and cross-border transactions. His practice has focused on complex, innovative structures, including commercial real estate CDOs, single-seller conduits, master trusts and other revolving pool transactions, with assets ranging from residential and commercial mortgage loans, b-notes and mezzanine loans to servicing advances and other mortgage and asset-backed securities.

Erik received his JD from St. John’s University School of Law, magna cum laude, where he was the Executive Notes and Comments Editor of St. John's Law Review. He received his BA from Hofstra University. Erik is admitted to the New York bar as well as the U.S. District Courts, Eastern and Southern Districts of New York.

Erik has published articles and moderated industry panels on several topics, including the treatment of residential mortgages in bankruptcy, Latin American securitizations and real estate-related CDOs. His professional affiliations include the New York State Bar Association, the Commercial Mortgage Securities Association, Tax and Accounting Committee, and the Mortgage Bankers Association (CREF).

Firm Earns Asian-Counsel “Deal of the Year 2006”
Asian-Counsel recently awarded Simpson Thacher its “Deal of the Year 2006” in recognition of the Lotte Shopping Co. Ltd. IPO. Simpson Thacher represented the initial purchasers on this deal, led by Goldman Sachs International and Nomura Securities, in the largest IPO ever by a Korean company, including one of the top ten largest IPOs ever from Asia. The issuer, Lotte Shopping, a leading retail company in Korea, operates the largest department store chain and the third largest discount store chain in Korea.

The securities were listed for trading on both the London Stock Exchange and the Stock Market Division of the Korea Exchange. Simpson Thacher is one of the few firms involved in Korea's landmark transactions, including Kumho Tire in Korea's first London-Korea dual listing IPO; and LG.Philips LCD in Korea's first NYSE-Korea dual listing IPO. The "Deal of the Year" award from Asian-Counsel further recognizes Simpson Thacher leadership position as a premiere law firm in Korea and elsewhere in Asia.

The Simpson Thacher team for the Lotte deal included Jin Hyuk Park, Anthony Choi, Kristina Kang and Changsu Oh in Hong Kong, and Bryan Yoon, Tamika Cushenberry (tax), Mark Lab (blue sky) and Jeanne Annarumma (ERISA) in New York.
