Orrick Associate Analyzes New Bankruptcy Laws in China
Orrick bankruptcy associate Debra Felder was quoted in Due Diligence Digest in an article about the modernization of of Asian bankruptcy laws. The article focuses on a new law in the People's Republic of China that goes into effect June 1, 2007, and allows private companies to file for bankruptcy and provide creditors some protection.

"Before this law was created, there was no established bankruptcy system in China for privately-held companies [as opposed to state-owned enterprises], which left creditors with little recourse," said Felder. "Under China’s old bankruptcy system, a creditor’s ability to recover from a bankrupt state-owned enterprise was uncertain.”

Felder recommends any private equity looking into investing in China should become familiar with the new PRC Enterprise Bankruptcy Law as there are specifics that could end up affecting the lenders. Felder notes, for example, that under the new law once an entity files for bankruptcy, an 'administrator' will be appointed by the court to run the company instead of the existing executives. "That’s pretty significant because that takes a lot of the power away from the debtor.
