Farella Braun + Martel Adds Two To Growing Environmental Law Department
Farella Braun + Martel announces the addition of associates Sarah F. Peterman and Mathew J. Swain to the firm's Environmental Law Department. Peterman was most recently at Stoel Rives LLP, and Swain joins from Pillsbury Winthrop Shaw Pittman LLP.

"We are pleased to welcome these two experienced environmental attorneys to our expanding department," said Robert L. Hines, chair, Environmental Law Department. "We have one of the top Environmental practices in the country and the addition of Sarah and Mathew adds further depth and experience to serve our client's litigation and regulatory and compliance needs."

Peterman brings litigation experience in environmental and natural resources matters, including the Clean Water Act, the Comprehensive Environmental Response, Compensation and Liability Act (CERCLA), the Endangered Species Act, and recycling hazardous wastes under the Resource Conservation and Recovery Act (RCRA). Her litigation experience also includes complex business and real estate litigation. Peterman earned her J.D. from the University of California, Hastings College of Law (2003) and an A.B. in English from Princeton University (2000).

Swain's practice focuses on federal and California air, water and waste laws and regulations, the California Environmental Quality Act (CEQA), the National Environmental Policy Act (NEPA), coastal zone management, Army Corps of Engineers permitting, and marine fisheries. He advises clients on regulatory compliance issues, permitting matters and civil and administrative enforcement actions. Swain earned his J.D. from Rutgers University Law School-Newark (2001), a M.C.R.P. from Rutgers University's Bloustein School of Planning and Public Policy (2001) and a B.A. in environmental studies and biology from the University of California, Santa Cruz (1994).

Two Attorneys Join Baker Donelson
The law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, PC announces the addition of Richard F. Yarborough Jr. and Wendy Keith Thompson to its Jackson office.

Mr. Yarborough, who joins the Firm as shareholder, has extensive experience in defense of civil litigation with a focus on toxic tort, chemical exposure and blood disorder cases. A graduate of the University of Mississippi School of Law, he holds an undergraduate degree with a double major in Chemistry and Biology. He is a member of the International Association of Defense Counsel, the Defense Research Institute, the American Society of Hospital Attorneys and the Mississippi Defense Lawyers Association. Also a member of the American Chemical Society, Mr. Yarborough is certified in civil trial practice by the National Board of Trial Advocacy. He is listed in the 2006 Mid-South Super Lawyers in the practice area of environmental litigation and is the only Mississippi attorney to be listed in that field.

Ms. Thompson joins the Firm as of counsel and a member of the Firm's public policy group. A graduate of the University of Mississippi School of Law, she also has a Masters of Law in Taxation from New York University School of Law. In addition to her private practice experience, Ms. Thompson has taught at the University of Mississippi School of Law, Mississippi College School of Law and Chicago-Kent College of Law, covering a variety of topics including secured transactions, real estate transactions, corporate tax and business planning. Prior to joining Baker Donelson, she served as Editor of Opinions for the Mississippi Supreme Court and was law clerk to the Honorable Judge Rhesa H. Barksdale of the Fifth Circuit Court of Appeals.

Vance W. Cheek Jr. Joins Baker Donelson
Baker, Donelson, Bearman, Caldwell & Berkowitz, PC is pleased to welcome Vance W. Cheek Jr. to the Firm's Tri-Cities office.

Mr. Cheek, who joined the Firm as of counsel, concentrates his practice in the areas of litigation, corporate law and public policy. A graduate of the University of Tennessee College of Law, he has experience in corporate law, estate planning, alternative dispute resolution and civil and commercial litigation. In addition to his private practice experience, Mr. Cheek served as chair of the Tennessee Claims Commission from 2001 to 2006 and has been active in local, state and national politics, including terms as Johnson City's mayor (1999-2001) and vice-mayor (1997-1999). He has served as chair of the Tennessee Bar Association's Corporate and Business Law Section as well as a director of the Alternative Dispute Resolution Section. Mr. Cheek is a Tennessee Supreme Court Rule 31 approved mediator.

Williams Mullen Represents Formation Capital and JER Partners on $1.7 Billion Bid for Genesis HealthCare
Genesis HealthCare to be Acquired by Formation Capital And JER Partners for
$63 per Share in Cash

KENNETT SQUARE, PA – Genesis HealthCare Corporation ("GHC") (NASDAQ:GHCI) today announced that it has entered into a definitive agreement to be acquired, in an all-cash transaction for $63.00 per share, by a joint venture between affiliates of Formation Capital, LLC and JER Partners.

The per share price represents a premium of approximately 31.1% over the average closing price for GHC common stock over the past 30 trading days. The aggregate transaction value, including the assumption of approximately $450 million of debt, is approximately $1.7 billion.

Mr. George V. Hager, Jr., Chairman and Chief Executive Officer of GHC, said, "After carefully considering GHC's strategic options, including considering proposals from a number of potential industry, strategic and financial buyers, the Board concluded that the transaction was in the best interests of the Company, including our shareholders and other stakeholders. This transaction is the result of a thoughtful and comprehensive process, and we are confident that GHC will be able to accelerate achievement of its strategic goals with a partner that has financial resources, understands our business and shares our vision for the future."

"As an independent company operating alongside Formation's portfolio of healthcare companies, GHC will continue to maintain its long-term focus on delivering superior healthcare to its residents and patients. This transaction is a change in ownership – not a change in direction," continued Hager.

"By joining our joint venture with Formation, GHC will be able to maintain a long-term focus on growth and a commitment to delivering value for all of its constituents. We view this major acquisition not only as a key strategic investment for JER and Formation, but as a platform for growth."

Arnold Whitman, Chief Executive Officer of Formation, stated, "Formation Capital has a long standing relationship with Genesis Healthcare and believes very strongly in their vision of the modernization of skilled nursing in this country. We share a long term view of the industry with GHC's management team which has consistently demonstrated high quality of care standards."

Formation and JER confirmed that GHC will be operated as a privately held, independent company controlled by the Formation/JER joint venture. GHC will continue to operate under the Genesis name.

The transaction is subject to shareholder and regulatory approvals as well as other customary closing conditions. The transaction is not subject to a financing condition.

Goldman, Sachs & Co. is acting as financial advisor to Genesis Healthcare Corp., and Wachtell, Lipton, Rosen & Katz is acting as its legal advisor. UBS Securities LLC acted as financial advisor to the JER/Formation joint venture, and Williams Mullen and O’Melveny & Myers LLP acted as counsel for the joint venture.

James V. Meath to Become Virginia Law Foundation Fellow
Williams Mullen announced today that James V. Meath, partner and vice-chairman of the firm's board of directors, will be inducted into the Virginia Law Foundation's 2007 Class of Fellows during an evening ceremony included in the Virginia Bar Association's annual meeting in Williamsburg.

"It is a great achievement for Jim and recognizes the tremendous contributions he has made to the practice of law," said Joey Smith, chairman and CEO of Williams Mullen.

Mr. Meath will share this distinction with nine other Williams Mullen colleagues, Donald H. Clark, Howard W. Dobbins, Robert E. Eicher, Reginald N. Jones, Thomas F. McPhaul, Robert C. Nusbaum, Stanley L. Samuels, Julious P. Smith and W. Scott Street, III.

In practice for more than 27 years, Mr. Meath possesses extensive experience representing businesses throughout the U.S. and Canada in all areas of labor and employment law. Mr. Meath's practice also includes significant work in alternative dispute resolution. He has held numerous leadership roles including executive committee of the Virginia Bar Association since 2000 and was the 115th president of the Virginia Bar Association in 2005. Mr. Meath serves on the Dean's Advisory Council of the T.C. Williams School of Law at the University of Richmond, the board of associates and is an adjunct professor of law.
