Weil, Gotshal & Manges Advises Commercial Metals Company on Acquisition of Steel Fabrication Business
The Frankfurt and Munich offices of the international law firm Weil, Gotshal & Manges LLP advised US-based Commercial Metals Company on the acquisition of a steel fabrication business in Rosslau/Saxony-Anhalt via its German subsidiary Commercial Metals Deutschland GmbH from Brühler Stahlhandel GmbH. Following antitrust clearance, the transaction closed at the end of 2006.

CMC, listed on the NYSE, and it subsidiaries manufacture, recycle and market steel and metal products, related materials and services through a network including steel minimills, steel fabrication and processing plants, construction-related product warehouses, a copper tube mill, metal recycling facilities and marketing and distribution offices worldwide.

The transaction team of Weil, Gotshal & Manges was led by partner Thomas Schmid (Corporate, Munich) and was supported by associates Thomas Gemmeke, Judith Garritzmann and Bernhard Rehbein (all Corporate, Munich) as well as Martin Buntscheck and Ingo Beuttenmueller (both Regulatory/Antitrust, Frankfurt).

Robinson & Cole LandLaw Lawyers Speak at Connecticut Environmental Forum
R&C Landlaw Lawyers Richard M. Fil and Megan E. Baroni recently gave a presentation at the Connecticut Environmental Forum on Connecticut's Significant Environmental Hazard statute and its reporting requirements. Their presentation included a summary of the statute's reporting requirements and some practical considerations regarding compliance.

Covington Advises Barclays on Naming Rights Deal
Barclays has announced that it will pay an undisclosed amount for naming rights to the new Barclays Center located in Brooklyn, New York for a term of 20 years. Covington & Burling LLP advised Barclays on the transaction.

The new Barclays Center is the core feature of the Frank Gehry designed $4 billion Atlantic Yards redevelopment project, built by New Jersey Nets owner Bruce Ratner’s development company, Forest City Ratner Company. Following completion of the arena, which is expected to open in 2009, and subject to NBA approval, the parties expect that the New Jersey Nets will relocate to the new Barclays Center. The arena expects to host more than 200 events each year.

Covington partner Bruce Wilson said, "Covington's sports group is delighted to have been a part of the Barclays team making this investment in the future of Brooklyn.”

Barclays is a major international financial services provider engaged in retail and commercial banking, credit cards, investment banking, wealth management and investment management services. It is one of the largest banks in the world by total assets.

Third Programme of Law Reform
Consultation on Law Reform Commission’s Third Programme of Law Reform.
The Law Reform Commission has today announced the opening of a formal consultation process regarding new areas of law to be included in its Third Programme of Law Reform which will commence in 2008.

Many of the Law Reform Commission’s Consultation Papers and Reports have been implemented in full or in part in the form of new legislation. For example, many of the Commission’s recommendations contained in its 2005 Report on Reform and Modernisation of Land Law and Conveyancing Law are reflected in the Government’s Land Law and Conveyancing Law Reform Bill 2006.

Submissions on the Commission's planned Third Programme of Law Reform are being received by the Law Reform Commission until 15 June 2007.

As part of this process, the Commission has planned a number of seminars to take place throughout the country. The first seminar will take place at NUI Galway on Monday 26 March 2007. The second Seminar is planned for UCC on 30 April 2007, and final Seminar is planned for Dublin Castle on Wednesday 18 July, from 9 - 1 pm.

GUNSTER YOAKLEY ATTORNEY AMY ZIPPER TO SPEAK AT AMERICAN BAR ASSOCIATION SECTION OF TAXATION
Gunster Yoakley attorney Amy Zipper is scheduled to speak at the 2007 Midyear Meeting for the American Bar Association Section of Taxation. The group will meet at the Westin Diplomat, January 18-20 in Hollywood, Florida, marking the association’s first visit to Broward County. The meeting is expected to attract the country’s leading attorneys and government officials to discuss the latest federal tax policies, initiatives, regulations, legislative forecasts and planning ideas.

“I’m delighted to address this audience of top professionals in the world of taxation and regulation,” said Zipper, who is with the firm’s Private Wealth Services Department. Zipper’s speech will focus on income tax issues of elderly clients, including hiring caretakers and establishing residency. Zipper will be speaking with Nina Olsen, who has served as head of the National Taxpayer Advocate Division at the Internal Revenue Service.

Programs include Concentrating on Various Foreign Tax Credit Issues; Current Developments in Individual, Corporate, Partnership and Estate & Gift Taxation; Do You Know Where Your Stock Plan Is? A Compliance Review for Stock Plans; Opinions and Penalties; and Reexamining Section 197 – Practical and Technical Issues.

In addition, Gunster Yoakley shareholder Martin Press will be judging the lawyers in the finals at the ABA Moot Tax Court Competition during the Midyear Meeting. “This is always a fascinating and exciting competition,” said Press. “The competitors are well-prepared and give us insight into the lawyers of tomorrow.”

New Federal Rules of Civil Procedure Affect How Businesses Deal with Electronic Documents
The Federal Rules of Civil Procedure were amended to address the unique challenges associated with preserving and producing electronically stored information for use in litigation. While the amendments largely codify existing practice, there are a number of changes that can have a direct impact on business operations.

As businesses become more dependent on the use of electronically stored information, it is important to evaluate the lifecycle of electronic documents within a company to determine whether the proper systems, both technological and organizational, are in place. Having appropriate policies and procedures in place can reduce the costs associated with responding to discovery requests seeking electronically stored information and can help avoid the sanctions provided in the new Federal Rules.
