T&K Assists Mexican Construction Firm in $150 Million Transaction
Thompson & Knight LLP has successfully completed the establishment of a $150 million Contract-Backed Medium Term Note Program under Regulation S on behalf of Construcciones y Equipos Latinoamericanos, S.A. de C.V. ("Celasa") of Mexico. The Thompson & Knight team advising on Mexican law matters included Fernando Margáin-Sada and Marco A. Sotomayor-Melo of the Firm's Monterrey office, and the team advising on New York law matters included Carlos E. Mendez-Peñate and Marcello Hallake of the Firm's New York office. Citibank, N.A. acted as issuing and paying agent and was advised by Thatcher Proffit. LW Securities Ltd acted as arrangers.

Founded in 1972, Celasa is one company in the construction division of Grupo Protexa. Based in Tuxpan, Veracruz, Celasa focuses its business on fabricating superstructures (also known as decks) and substructures (also known as jackets) for marine platforms and construction services for the oil industry, in particular to Petroleos Mexicanos (Pemex) in Mexico.

"The cross-border Thompson & Knight team was instrumental in completing this transaction in a timely and effective manner," as expressed by the management team of Grupo Protexa. "We were very pleased with our lawyers' ability to efficiently analyze and structure the transaction to be beneficial to each of the parties involved.

Thacher Proffitt Announces New Partner George R. Talarico
Thacher Proffitt announced today that George Talarico has been admitted to the partnership in the Litigation & Dispute Resolution Practice Group, resident in the Summit, New Jersey office. George, previously a counsel at the Firm, specializes in commercial litigation with a focus on toxic torts, products liability, environmental issues, and commercial disputes.

“We want to congratulate George on his promotion,” said Paul Tvetenstrand, managing partner of the Firm. “He has already contributed enormously to the Firm and I look forward to his continued accomplishments within the Litigation & Dispute Resolution Practice Group.”

In his seventeen year legal career, George has represented clients in a variety of civil litigations and arbitrations including actions arising from environmental contamination and clean-up associated with the collapse of the World Trade Center; a product defect dispute involving train door closing devices on the London Underground; asbestos, property, construction defect and personal injury defense matters; and allegations of an international conspiracy to defraud a foreign governmental entity. George also acted as national coordinating counsel for a Telecom systems company’s product liability cases.

Thacher Proffitt Represents Merrill Merchants Bancshares

Thacher Proffitt represented Merrill Merchants Bancshares, Inc., headquartered in Bangor, Maine, in their acquisition by Chittenden Corporation of Burlington, Vermont. The deal was mention in the "M&A briefly noted" section of The Daily Deal.

Ropes & Gray consolidates New York offices
Ropes & Gray is pleased to announce that it is combining its two New York offices in new quarters in the heart of Midtown Manhattan. As of Jan. 22, 2007, Ropes & Gray is serving its growing clientele in gleaming new office space at 1211 Avenue of the Americas.

For the past two years, Ropes & Gray operated out of separate Midtown offices. Now, the firm's attorneys and staff are sharing the same location, occupying more than 250,000 square feet of office space on six floors, 35 – 40, at its new address. To allow for future growth, the firm has an option to occupy another 150,000 square feet of space in the building.

"With our collaborative approach to client service, combining our offices into a single, centrally located space is a natural move for us," said Brad Malt, the chairman of Ropes & Gray. "Significantly, our new space will also accommodate our rapid growth – both in our client base and among the ranks of attorneys and staff serving our clients."

Aside from its new, state-of-the-art quarters, the move is seamless for Ropes & Gray's clients. Phone and fax numbers are unchanged, as are e-mail addresses.

Alonso Chairs New York Hispanic Bar Task Force on Judicial Selection
Daniel R. Alonso, partner in Kaye Scholer's White Collar Litigation and Internal Investigations Group, is Chair of the New York Hispanic Bar Task Force on Judicial Selection. The task force issued its report this week, recommending a commission-based appointment system for selecting a judiciary that is both qualified and diverse. Mr. Alonso was quoted in the New York Law Journal on January 19; "We believe that a modification of the nominating convention system is preferable to an open elective primary system, which would require prospective judges to raise money for elections from the very lawyers that appear before them.

Masterson Appointed Ninth Circuit Lawyer Representative
Jones, Skelton & Hochuli, P.L.C. is pleased to announce that John T. Masterson has been appointed a lawyer representative to the Ninth Circuit Judicial Conference.

The Ninth Circuit is the largest of the 13 federal circuits and includes all federal courts in California, Oregon, Washington, Arizona, Montana, Idaho, Nevada, Alaska, Hawaii, Guam and the Northern Mariana Islands. Masterson will serve as a lawyer representative for three years.

Masterson has been with the firm since 1989 and a partner since 1995. He practices in the areas of civil rights law, government and constitutional law, prison matters, trucking defense, insurance defense, wrongful death and personal injury law, and general civil litigation and appeals.

Hurtado Helps at HLAI Annual Holiday Food Basket Drive
Jenner & Block Partner Daniel J. Hurtado joined The Hispanic Lawyers Association of Illinois (HLAI) and the Young Lawyers Section of the Chicago Bar Association to help with the groups’ annual food basket drive for needy families on December 16.

The food baskets and other donations went to families served by Catholic Charities in Cicero, Illinois.

"This is just one of the many ways in which lawyers can and do directly serve their communities," said Mr. Hurtado.

Mr. Hurtado has served for many years on the HLAI board of directors and was a former president of the organization.

The Hispanic Lawyers Association of Illinois is a not-for-profit corporation that was established in 1995. The organization represents and serves approximately 300 attorneys, judges, and law students in the state of Illinois to promote high standards of competence, professionalism and integrity with and among Hispanic attorneys and communities within the state.
