38 Frost Brown Todd Attorneys Named Ohio Super Lawyers

Freshfields advises ABN AMRO on CLOs for portfolios worth €27bn
International law firm Freshfields Bruckhaus Deringer advised ABN AMRO on three innovative partially funded synthetic CLOs: Amstel SHER 2006, Amstel CLO 2006 and Amstel SCO 2006-1, in relation to portfolios totalling €27bn. ABN AMRO was sole arranger and lead manager on Amstel SHER 2006 and Amstel SHER 2006-1 and sole arranger and joint lead manager with Merrill Lynch on Amstel CLO 2006. The majority of the Notes issued were listed on Eurolist by Euronext Amsterdam. Although based on previous Amstel transactions, these three new Amstel asset securitisations involved innovative structuring, including the pro rata payment of liabilities.

The Amstel SHER 2006 was a privately placed transaction in relation to a €10bn portfolio of corporate loans. The Amstel CLO 2006 transaction was also in relation to a €10bn portfolio of corporate loans and used cash CDO technology, including an excess spread payment mechanism and a variable rate equity tranche of Notes. The Amstel SCO 2006-1 transaction was in relation to a €7bn portfolio of derivatives. The offering was a Rule 144A offering and included a US dollar denominated tranche of Notes. An innovative feature was the pro rata allocation of amortisations and recoveries between the unfunded super senior tranche and the most senior class of Notes.

Freshfields Paris finance partner Antonin Besse led the teams on all three transactions assisted by finance partner Dougall Molson and finance associates Kerion Ball, Ali Moazed, Fergus Smith, Vladimir Arnaoudov and Julien Lannuzel.

Former Assistant U.S. Attorney Chris Steskal to Head Fenwick's White Collar Practice
Fenwick & West LLP is pleased to announce that Christopher J. Steskal is joining the firm as a partner in the Securities Litigation Group, and as the Chair of its White Collar/Regulatory Practice Group. Prior to joining Fenwick & West, Chris was an Assistant U.S. Attorney, working as part of the Securities Fraud Section and Stock Option Task Force of the U.S. Attorney’s Office in San Francisco.

"The breadth of expertise in the Securities Litigation Group and range and volume of matters currently handled by Fenwick & West impressed me," said Steskal. Steskal joined the U.S. Attorney's office in 2001. During his tenure there, Steskal handled a wide range of matters, including trials, appeals and investigations involving stock option backdating, securities fraud, corporate fraud, mail and wire fraud, money laundering and public corruption. Prior to joining the U.S. Attorney's Office, Steskal was a litigation attorney at Cravath, Swaine & Moore in New York, and Howard, Rice, Nemerovski, Canady, Falk & Rabkin in San Francisco. He is a former law clerk for Ninth Circuit Judge James R. Browning and U.S. District Court Judge Harry L. Hupp. He graduated magna cum laude from Harvard Law School in 1992. Chris will be resident in Fenwick & West's San Francisco office.

James S. Simon Joins Buckingham, Doolittle & Burroughs, LLP Akron Office
The law firm of Buckingham, Doolittle & Burroughs, LLP (“BDB”), is pleased to welcome James S. Simon, an Associate, resident in the Akron office. The addition of Mr. Simon increases the Akron office to 47 attorneys and strengthens its business practice.

Mr. Simon was formerly employed with Buckingham, Doolittle & Burroughs, LLP as a Summer Associate in 1999 and an Associate from 2000 until 2003 in the areas of business and taxation & employee benefits. From 2003 through 2006, Mr. Simon served as Director of Administration for Summit County Engineer, Greg Bachman. As the County Engineer’s Director of Administration, Mr. Simon managed a $16,000,000 annual budget, human resources, labor relations, collective bargaining, information technology, County, State and Federal audits, and general compliance matters for the Summit County Engineer. Mr. Simon also coordinated the application and use of State Infrastructure Bank financing of ten large scale federal road and bridge projects on county roads and highways. Outside of the Summit County Engineer’s office, Mr. Simon maintained a small legal practice primarily representing small business clients.

Mr. Simon earned his J.D. from the University of Akron School of Law (2000) and his B.A. in American Studies from Bennington College, Bennington, Vermont (1997). He is a member of the Akron Bar Association and the Ohio State and American Bar Associations. In addition, Mr. Simon is on the Board of Trustees for Bennington College and United Disability Services. He is also on the Board of Directors for Creutzfeldt – Jakob Disease Foundation, Inc.

Mr. Simon resides in Akron, Ohio.

Attorneys Address Revised Guidelines on Personnel Security Clearances
All agree that the federal government must have a timely, reliable security clearance process, both for government employees and for an ever-increasing number of contractor personnel. Recent attempts to make this happen, however, may have the opposite effect.

Washington, D.C., Attorneys Daniel Schwartz, Anna Ursano and Katherine Seikaly analyze the Department of Defense’s revised adjudicative guidelines for evaluating individual security clearance applicants and the real challenges these guidelines present in the BNA’s Federal Contracts Report. The revised guidelines, they say, make it more important than ever that those applying understand the process and consider the use of counsel to help navigate the new system.

Schwartz’s practice focuses on corporate compliance and white collar criminal defense, including conducting internal investigations and audits, replying to grand jury, negotiating resolutions to government investigations and designing and implementing corporate compliance programs. He particularly focuses on issues involving antitrust and trade regulation, unfair and deceptive practices, the Foreign Corrupt Practices Act and export controls, classified contracting, security clearances and foreign ownership and control of and influence over classified facilities. Prior to joining the firm, Schwartz served in a number of government positions, including at the National Security Agency as its general counsel.

Ursano’s practice focuses on the defense of federal and state criminal and regulatory investigations and enforcement matters, internal investigations, corporate compliance and related civil litigation. She has assisted in the defense of clients under criminal investigation by federal law enforcement and agencies and has been involved in trial and appellate litigation. Ursano has been the lead associate on numerous adjudications before the Defense Office of Hearings and Appeals.

Seikaly's practice focuses primarily on commercial litigation and corporate compliance. She has been involved in internal reviews and investigations, as well as trial and appellate litigation. Ms. Seikaly has assisted teams of Bryan Cave lawyers in several adjudications before the Defense Office of Hearings and Appeals. Seikaly is a member of the Commercial Litigation Client Service Group.

Bryan Cave Partner Joins Two Conferences on Pension Fund Investments Into Hedge Funds
New York Partner Nir Yarden will take part in two upcoming New York City Conferences on institutional pension plans investing in hedge funds. Attendees for both Conferences include hedge funds, fund of funds, chief investment officers and other institutional pension plan investment professionals.

First up, Yarden will act as moderator for an all day seminar sponsored by Institutional Investor publications on Wednesday, Jan. 24 geared to pension plan investors on evolving ERISA investment standards, the recently enacted Pension Protection Act and new hedge fund investment strategies including liability-driven investments and portable alpha. Topics to be covered include the establishment of ERISA-dedicated investment vehicles and trading ERISA assets and derivatives.

Second, Yarden will be a featured speaker at the Third Annual Alpha-Bets 2007 Summit, Feb. 12-13 sponsored by Financial Research Associates and Morgan Stanley. The annual summit - attended by institutional investors, money managers and other investment management professionals - gives attendees the opportunity to hear many top plan sponsors, money managers and consultants share their experiences in implementing high-performance investment strategies. Yarden’s speech is entitled “The Impact of Pension Reform for Managers and Institutional Investors: New Opportunities and Risks.”

Yarden is a member of the Corporate Finance & Securities Group. He advises domestic and international investment managers, investors and broker-dealers on matters important to their business success including portfolio construction and investments, fund formation and asset raising for new and existing funds.
