SIX JOIN THE VORYS PARTNERSHIP
Vorys, Sater, Seymour and Pease LLP has named six new partners to the firm. The breadth of the new partners’ experience reflects the increasing demand for the firm’s legal expertise in all areas of business law including technology and intellectual property, probate and estate planning, toxic tort, corporate and finance, and commercial and real estate transactions.

Effective in January, the new partners in the Columbus office include A. Brian Dengler, Victor J. Ferguson, Robert C. Mitchell, Allen L. Rutz and J. Theodore Smith. Robert M. M. Shaffer has been named partner in the firm’s Cincinnati office.

“On behalf of the other 170 partners in our firm, I am delighted to welcome these six exceptional attorneys to our partnership,” said Russell M. Gertmenian, managing partner of Vorys, Sater, Seymour and Pease LLP. “They have demonstrated keen legal abilities and comprehensive knowledge of our clients’ business interests and will be a significant asset to our current and future clients.”

Mr. Dengler practices in the Technology and Intellectual Property Practice Group. Prior to joining Vorys, he was Vice President and Associate General Counsel for American Online, Inc. While at AOL, Mr. Dengler served as Chief Counsel for its Web Properties division (which included CompuServe and Netscape), and also managed AOL's commercial bankruptcy portfolio and government affairs issues related to electronic commerce. He was also a partner with Arter & Hadden LLP where he practiced in the Intellectual Property and Commercial Group.

Mr. Ferguson practices in the areas of estate planning, estate and trust administration, and representation of tax-exempt organizations. Mr. Ferguson has done extensive research in a wide variety of federal income, gift and estate tax issues. He also has extensive experience in formulating and drafting estate plans, administering decedent's estates, probate litigation, organizing all types of nonprofit organizations and qualifying them with the Internal Revenue Service. He is admitted to practice in the State of Ohio and before the U.S. District Court for the Southern District of Ohio.

Mr. Mitchell has extensive experience in litigation, including toxic tort and insurance coverage. While at The Goodyear Tire and Rubber Co. and at Owens Corning Corporation, Mr. Mitchell supervised the defense of several hundred thousand asbestos lawsuits, as well as being responsible for the negotiation and settlement of insurance coverage for asbestos and chemical exposure claims involving over $1 billion in limits. Mr. Mitchell also has extensive experience in other types of toxic tort, environmental, products liability and warranty litigation, and in financial reporting issues concerning such litigation. He is admitted to practice in state courts in Ohio, Indiana and Illinois, as well as a number of federal district and appellate courts throughout the country.

Mr. Rutz practices in the areas of commercial litigation, construction litigation, products liability, architect/engineer professional liability, and intellectual property law. He is admitted to practice in Ohio, the District of Columbia, the Southern District of Ohio, the Sixth Circuit Court of Appeals, the U.S. Supreme Court, and before the U.S. Patent and Trademark Office. Mr. Rutz is a recipient of the American College of Trial Lawyers Medal for Excellence in Advocacy, and is a frequent lecturer on construction litigation and architect/engineer liability.

Mr. Shaffer is a general corporate attorney who has represented a broad range of clients, including public companies, privately held businesses and individuals. He has provided general business counsel to companies of various sizes (small, middle market and large), various stages of development (early stage, emerging growth, and established), and various areas of business. His transactional practice has involved a wide array of merger and acquisition transactions involving stock, assets, LLC membership interests and other hybrid purchase structures, debt and equity securities offerings, and strategic investment, venture and partnering arrangements.

Mr. Smith concentrates his practice on condominium law, real estate acquisition and sales, real estate development, leasing, liens, evictions and real estate secured finance. Prior to joining Vorys, he worked as a litigation consultant in Chicago with the partnership of Peterson Consulting, LP, from 1992-1995. Mr. Smith is a member of the Columbus Bar Association and Ohio State Bar Association. He is also a frequent speaker at seminars concerning Ohio's Condominium Act. Chambers and Partners' Client's Guide to America's Leading Lawyer's for Business (2005 and 2006) listed Mr. Smith as one of Ohio's leading real estate attorneys. Mr. Smith is a graduate of the University of Illinois College of Law, and Purdue University. He resides in Dublin, Ohio with his wife Monica and their three sons.

Eisenhower Discusses Presidential Race
Jim Eisenhower was a panelist and commentator on “It’s Your Call With Lynn Doyle.” The program, titled “Hillary for President,” discussed Senator Hillary Clinton’s recent announcement that she will seek the Democratic nomination for President of the United States. Shareholder Joshua L. Cohen Speaks on Design Ownership
Joshua L. Cohen, a Shareholder of RatnerPrestia, was a featured speaker at the 31st International Design Management Conference in Vermont. In his presentation entitled "Design Ownership--Where Law Meets Design to Feed the Bottom Line," Mr. Cohen used iconic product designs to illustrate the concept of "design ownership" and its crucial role in business success. Mr. Cohen also shared strategies aimed to achieve design ownership by securing comprehensive IP protection, avoiding IP rights of others, and integrating IP-building efforts into the design process.

Mr. Cohen concentrates his practice on developing strategies for comprehensive protection of new product designs. He is the President Elect of the Greater Philadelphia Chapter of the Product Development and Management Association and a Past President of the Benjamin Franklin American Inn of Court, an organization chartered to advance excellence, ethics, and professionalism in IP law.

Porter Wright Broadens Ohio White-Collar Crime Practice With Addition of Former Assistant U.S. Attorney
Ms. Kathleen Brinkman recently joined the Cincinnati office of Porter Wright Morris & Arthur as Of Counsel. Brinkman previously served 24 years as an Assistant United States Attorney for the Southern District of Ohio. Her prosecution specialties were complex white-collar and other major economic crimes, public corruption, and environmental crimes. She is a recognized authority in asset forfeiture and has taught the subject throughout the U.S. and abroad. Ms. Brinkman will expand Porter Wright's white-collar criminal practice for corporate and individual clients who face investigation or charges by federal or state authorities, or whose property the government seeks to forfeit.

Simpson Thacher Represents J.P. Morgan in an Offering of GDSs by Hanatour Service Inc.
Simpson Thacher represented J.P. Morgan in a Rule 144A/Reg S offering of global depositary shares (“GDSs”) representing common shares of Hanatour Service Inc. and listing of the GDSs on the London Stock Exchange. Hanatour Service is a leading wholesale travel agency in Korea with the largest market share of the tour package business.

The offering of an aggregate of 1,161,100 shares of common stock in the form of 5,805,000 GDSs raised US$68.9 million. The GDSs are listed for trading on the London Stock Exchange and the common shares are listed for trading on the KOSDAQ Market division of the Korea Exchange.

The Simpson Thacher team for this transaction included Youngjin Sohn, Kristina Kang, Changsu Oh and Jae-Hak Kim in Hong Kong, and Helena Wolin (tax) and Mark Lab (blue sky) in New York.

Simpson Thacher Represents OPTI Canada Inc. in US$1 Billion Senior Secured Notes Offering and Related Credit Facilities
The Firm represented OPTI Canada Inc. (“OPTI”) in connection with its offering of US$1 billion aggregate principal amount of 8.25% senior secured notes due 2014 and its entry into a US$450 million secured term loan facility and a CDN$500 million secured revolving credit facility. OPTI, an Alberta-based oil sands development company, expects to yield approximately 57,700 barrels per day of premium sweet crude oil by extracting bitumen from oil sands reservoirs without removing the sand itself through the injection of steam.

Credit Suisse and RBC Capital Markets acted as joint book-running lead managers of the notes offering.

The Simpson Thacher team included Joe Kaufman, Kirsten Davis, Scott Fisher and Bill Freiberg (Capital Markets), David Lieberman and Anthony Vernace (Credit), Jonathan Cantor and Shari Silverman (Tax), Adeeb Fadil and Noreen Lavan (Environmental), Esther Kim (IP) and Jeanne Annarumma and Beth Understahl (ERISA). Paralegals Dan Janow and Anne Dana also provided valuable assistance to the deal team.
