MARK GREENE RANKED FIFTH IN EUROPEAN M&A
Legal Week has ranked Cravath partner Mark I. Greene fifth in European M&A for 2006. The individual rankings are based on total deal value according to data from Mergermarket, and appear in the January 18, 2007, issue of Legal Week.

Kevin M. Doherty Inducted As Chair of the Middle Tennessee Better Business Bureau
Kevin M. Doherty, a Partner in Burr & Forman’s Nashville Office, was inducted as Chair of the Better Business Bureau of Middle Tennessee (BBB), to serve for the 2007-2008 term. Mr. Doherty has served on the Middle Tennessee BBB Board since 2001.

BC Strategies’ Chairman Named to ‘40 Under 40’ List
Bryan Cave Strategies LLC Chairman Jack Oliver has been named one of the city’s “40 Under 40” for 2007. He was selected by the St. Louis Business Journal from hundreds of nominees in the business community who have “already made their presence known in their companies and their communities.”

“I am honored to be included with such good people,” Oliver said. “St. Louis is fortunate to have so many professionals who are also known for their civic leadership.”

In May 2005, Oliver helped form the bi-partisan consulting firm Bryan Cave Strategies. From offices in St. Louis, Kansas City and Washington, D.C., he leads a team of professionals who provide public policy solutions and business development guidance to some of the region’s and the nation’s top companies.

Oliver is involved in a number of key St. Louis organizations and institutions, including the City Academy, Westminster Christian Academy, the Boy Scouts of America and Big Brothers Big Sisters. In addition, he serves as an Advisory Council member of the George Bush Presidential Library at Texas A&M University, is on the National Leadership Council of Communities in Schools, the E-Health Corporation Board of Directors, the Board of Trustees for the John F. Kennedy Center for the Performing Arts and serves on the Robin Hood Foundation Board of Directors.

This is the 13th year the St. Louis Business Journal has recognized 40 outstanding professionals younger than 40. Winners will be honored at a dinner Feb. 8 at Windows Off Washington. Click here to read the Business Journal article on Oliver.

Fasken Martineau advises on IFR's 2006 European Loan of the Year
the 12th Annual International Financing Review Awards Gala was held in London, England. Fifteen hundred of the most senior investment banking professionals from around the world gathered to recognize and celebrate outstanding achievement in the industry.

The 2006 European Loan of the Year was bestowed upon the bank loan negotiated by a consortium which included Grupo Ferrovial of Spain, Caisse de dépôt et placement du Québec and GIC Special Investments of Singapore, in connection with its acquisition of BAA plc.

According to IFR, the consortium's £8.97 billion ($20.5 billion) acquisition of UK airport operator BAA "was the largest infrastructure acquisition financing ever undertaken in the debt markets". Even more significantly, it received the award for its innovative structure which really set it apart from others during the year and "set the standard for all subsequent deals.

Davis Polk Advises Kraft Foods on the Sale of Its Hot Cereals Business
Davis Polk & Wardwell is advising Kraft Foods Inc. on the sale of its Hot Cereals business to a wholly owned subsidiary of B&G Foods, Inc. Based in Illinois, Kraft is one of the world's largest food and beverage companies. Based in New Jersey, B&G Foods and its subsidiaries manufacture, sell and distribute a diversified portfolio of high-quality, shelf-stable foods across the United States, Canada and Puerto Rico.

According to the terms of the transaction, Kraft will sell its Hot Cereals business, including the Cream of Wheat and the Cream of Rice brands, as well as certain manufacturing equipment, for approximately $200 million in cash. The sale is subject to regulatory approval.

Davis Polk Advises VF on the Sale of Its Intimate Apparel Business
Davis Polk & Wardwell is advising VF Corporation on the sale of its global intimate apparel business to Fruit of the Loom, Inc. Based in North Carolina, VF is a leader in branded lifestyle apparel including jeanswear, outdoor products, image apparel and sportswear. Fruit of the Loom is an apparel manufacturer based in Kentucky and a subsidiary of Berkshire Hathaway, Inc.

According to the terms of the transaction, VF will sell its global intimate apparel business, which includes such leading brands as Vanity Fair®, Lily of France®, Vassarette®, Bestform® and Curvation® in the United States, and Lou®, Gemma® and Belcor® in Europe, to Fruit of the Loom for approximately $350 million in cash. The agreement is subject to government approvals and customary closing conditions and is expected to be completed in the first quarter of 2007.

National Financial Partners Corp. Convertible Senior Note and Call Spread Transactions
Davis Polk & Wardwell acted as product counsel for Goldman, Sachs & Co. and UBS Securities LLC as representatives of the underwriters for an SEC-registered offering by National Financial Partners Corp. of its $230 million 0.75% convertible senior notes due 2012. Davis Polk also advised an affiliate of Goldman, Sachs & Co. as the sole counterparty to call spread transactions in connection with the offering of the notes.

Based in New York, New York, National Financial Partners Corp. is a leading independent distributor of financial services products primarily to high net worth individuals and growing entrepreneurial companies that operates a national distribution network with over 175 owned firms.
