Paul Hastings Advises Addax Petroleum Corporation on $1.6 Billion Term Loan Facility
Paul Hastings Janofsky & Walker LLP, a leading international law firm, announced today that it has advised Addax Petroleum Corporation ("Addax") in connection with the $1.6 billion re-financing of its banking facilities.

Addax is an independent, international oil and gas exploration and production company and this medium term refinancing of its external debt will allow it to develop further its West African oil fields and may assist with possible future acquisitions. This transaction is one of the largest "borrowing base" facilities completed in the oil and gas market. The lending syndicate was led by BNP Paribas S.A., Natixis SA and Standard Chartered Bank.

The transaction was led out of the firm's London office by partner Keith Wilson, who was assisted by Will McCallum and Jiten Tank.

The firm recently represented Addax in connection with the financing aspects of its acquisition in September 2006 of the Pan-Ocean group of companies.

Cozen O’Connor Announces Government Relations Practice
Cozen O'Connor announced the formation of a government relations practice group to assist clients in creating and implementing strategies to address the impact of policy decisions on business, help clients explore and enhance business opportunities with government entities and resolve conflicts that might arise out of government-related dealings at the federal, state, and local levels.

"Creating a government relations practice group is a natural evolution for us. For many years we advocated on behalf of our clients with government entities in the context of many different practice areas, including land use and zoning, environmental, energy and utility law, securities and public finance, administrative and regulatory law, and in our litigation practice. The business of doing business with the government today requires unique skills, experience and perspective, and forming a practice group that focuses solely on government matters positions us to provide a significant value-added service to our clients," said Cozen O’Connor president and CEO Patrick J. O’Connor.

According to O’Connor, the group will initially concentrate its government relations practice in New York, New Jersey and Pennsylvania, states where the firm has particularly strong transactional practices and significant experience working with government officials and agencies.

Cozen O’Connor’s government relations group will be co-chaired by Jeffrey L. Nash and Raymond B. Harding. Harding, who practices in Cozen O’Connor’s midtown New York office, has been a senior political leader in the State of New York for many years and served in state government as a top aide to Governor Hugh L. Carey and on numerous boards and commissions. Nash, who has been practicing from the firm’s Cherry Hill and Trenton New Jersey offices, is the vice chairman of the Delaware River Port Authority (DRPA) and a Camden County Freeholder.

"Effective advocacy with the government requires an interdisciplinary approach," said Nash. “We will be drawing upon the expertise of our attorneys across the country who understand how government problems get solved and how deals get done. In New York, Trenton, Harrisburg, and other cities where we practice, our attorneys have a wealth of experience that we will deploy to most effectively, and efficiently, represent our clients in government matters. I am thrilled to be working with Ray Harding to lead a group of lawyers who know how to create win/win situations for both the private and public sectors."

O’Connor added, “Our firm has also had long-standing, credible relationships with people at various levels of government for the past 30 years. We are fortunate to have many attorneys in our firm who have worked in multiple levels of government themselves and represented public and private sector clients in significant government transactions.”

Under Cozen O’Connor’s government relations practice group’s banner, attorneys will provide a wide range of services aimed at helping clients navigate the often perilous government process. Among other things, the Firm will represent clients in all aspects of the government procurement process including proposing initiatives, responding to RFP and bid solicitations, and resolving disputes; participate in the public policy process on behalf of clients; represent clients in regulatory interpretation and compliance matters; provide advice and guidance in connection with economic development and other government incentive programs; and address discretionary government action that impacts on the interest of clients.

“To be successful in business dealings with government, you need to forge mutual understanding and strategic direction. You need to recognize and resolve the substantive issues critical to the parties’ goals, and you need to reconcile the public interest with the private interest of business. That creates value for all parties to the matter,” concluded Harding.

PwC's Former Global General Counsel Joins Heller Ehrman
Heller Ehrman LLP announced that Lawrence (Larry) W. Keeshan, who most recently served as global general counsel of PricewaterhouseCoopers International Limited, has rejoined Heller Ehrman as a shareholder. The firm also announced that Keeshan has been named leader of the Securities Litigation and Regulatory Practice and Managing Director, International, which fully leverages Keeshan’s significant experience both as a private practice litigator and as general counsel of a major international organization. Keeshan will maintain offices in San Francisco and New York.

The addition of Keeshan comes one week after Heller Ehrman announced that it will open an office in London in a move that extends three of its core practices – corporate, real estate, and competition – and bolsters Heller Ehrman’s status as a leading legal services provider to emerging growth and technology industry companies. When the London office opens, it will be the firm’s fourth outside of the United States. Heller Ehrman has three offices in Asia, including Beijing, Hong Kong and Singapore.

As Managing Director, International, Keeshan is expected to help the firm develop and implement business strategies relating to Europe and Asia. He will also evaluate expansion and recruiting opportunities, and foster continued integration between the firm’s national and international practices.

“We are incredibly pleased to have Larry join us at a time when we are pursuing a strategy of growth in Asia and Europe, and extending our securities litigation and regulatory practice, which has grown into one of our strongest areas,” said Heller Ehrman’s Chairman, Matthew Larrabee. “In addition to helping us shape and implement our international strategies, the experience Larry gained as PwC’s global general counsel will directly benefit our domestic and non-U.S. clients.”

As leader of the Securities Litigation and Regulatory Practice, Keeshan will help steer a formidable team of more than 70 experienced attorneys who represent corporations, officers, directors, accountants, venture capital firms, institutional investors, lawyers and investment banks. The firm is currently advising close to 30 companies, including boards and individuals, on matters arising out of stock options backdating allegations.

By adding Keeshan, the firm extends its capacity to assist companies facing internal investigations, corporate compliance issues and SEC enforcement actions. Keeshan will focus on providing strategic litigation advice, assisting clients with regulatory investigations and proceedings, representing boards and audit committees, and leading internal investigations.

“Given his role at PwC, Larry had a front row seat to witness the increasing relevance of corporate governance and the converging forces that changed the accounting profession,” said Joseph T. McLaughlin, chairman of Heller Ehrman’s New York office. “He has a unique perspective on how corporate officers and boards of directors are now expected to function, which puts Larry in an ideal position to advise corporate boards and audit committees.”

In 1995, Keeshan was recruited to be general counsel of the Price Waterhouse US firm. When the Price Waterhouse and Coopers & Lybrand networks merged in 1998, he became the global general counsel for the combined organization, with overall responsibility for legal support to PwC global leadership and the network of PwC member firms throughout the world. In that role, Keeshan advised on a broad range of legal and business issues, including major litigation and regulatory proceedings, both in the U.S. and in other jurisdictions; significant business transactions; and internal investigations in a number of countries. In addition, he served as counsel to the PwC Global Board and as a member of PwC’s Global Management Team.

Prior to joining PwC, Keeshan was a partner with two law firms, including Heller Ehrman in San Francisco, where he focused on defending accounting firms in securities class actions and professional liability litigation, as well as antitrust litigation and counseling. Keeshan originally joined Heller Ehrman in 1975. He became a shareholder in 1980 and was a member of the firm’s Policy Committee.

“Larry is a skilled lawyer and trusted advisor, so it is no surprise to anyone here that Larry had a number of career options open to him,” said Jonathan P. Hayden, managing shareholder of Heller Ehrman’s San Francisco office. “That he decided to return to Heller Ehrman is a testament to the firm’s collaborative, collegial culture, and the vision that everyone here shares about being part of a premier law firm.”

“I dealt with many excellent law firms, both inside and outside the U.S., in my years as a general counsel, and Heller Ehrman has stood out among them as a firm of extremely capable lawyers who practice in a highly collaborative style, both among themselves and with clients,” said Keeshan. “I am thrilled to be back and to be a participant in the firm’s plans for domestic and international expansion.”

Keeshan began his legal career in 1972 in the Navy Judge Advocate General’s Corps, where he did criminal trial work and ran a legal aid program for lower-paid enlisted personnel.

Keeshan received an undergraduate degree in 1967 from Georgetown University, where he was elected to Phi Beta Kappa. He attended the law and business schools at Stanford University, where he completed a four-year program leading to J.D. and M.B.A. degrees in 1971. While at the Stanford Law School, he was elected to the Stanford Law Review and served as articles editor.
