Stuart Silver Named Board Member of Temple Beth Emet
Attorney Stuart Silver, a member of the Kluger, Peretz, Kaplan & Berlin, P.L. law firm in Miami & Boca Raton, was recently named a Member of the Board at Temple Beth Emet in Cooper City, FL. The Temple is a congregation of more than 750 families residing primarily in Cooper City, Pembroke Pines, Weston, Davie, Sunrise and Sunshine Ranches. Silver's primary responsibility is to oversee the Temple's Leadership Development program.

Mr. Silver is a trial lawyer who handles tort and contract cases. In addition to his law practice he serves as the Administrative Director of his law firm.

Eckert Seamans Adds Attorney in Boston Office
The national law firm of Eckert Seamans Cherin and Mellott, LLC today announced that attorney Charlotte L. Bednar has joined the firm as an associate. Prior to joining Eckert Seamans, Ms. Bednar was an associate with the law firm of Goodwin Procter.

As an associate in the firm’s Litigation Division, Charlotte L. Bednar focuses her practice on general civil litigation, and she has regularly represented corporate and pro bono clients in various litigation and adversarial matters. She also has experience in the areas of environmental law and complex real estate development. She received her law degree, cum laude, from Harvard Law School, where she served as line editor of the Environmental Law Review and as submissions editor of the Human Rights Journal. She received her undergraduate degree, magna cum laude, from Dartmouth College, where she majored in environmental studies and was a member of the Golden Key National Honor Society. She is a member of the Boston Bar Association, the American Bar Association and the Women’s Bar Association. Ms. Bednar is admitted to practice in Massachusetts, and she resides in Cambridge.

King & Spalding Litigator to Speak at Equal Justice Conference on New Orleans and the Gulf Coast Region
Shelby S. Guilbert, Jr., an associate in the business litigation practice of King & Spalding, a leading international law firm, has been selected as a panelist for the Legal Services Corporation’s Equal Justice Conference Workshop, entitled “New Orleans Now: A Portrait of Pro Bono Signature Projects and Excellence,” to be held in Denver, Colo., March 22-24.

Guilbert will take part in a discussion on the obstacles faced by out-of-state firms that provided pro bono legal aid to individuals and families ravaged by Hurricanes Katrina and Rita in 2005 and the complexity of the multi-jurisdictional litigation involved.

“We have been impressed by the work of firms like King & Spalding on behalf of individuals and families disadvantaged by Hurricanes Katrina and Rita,” said Willie Abrams, program counsel of Legal Services Corporation. “We think your firm’s work should be showcased as a truly uplifting example of pro bono services.”

Guilbert has defended complex consumer class-actions, securities and business litigation cases in courts throughout the United States. He also represents corporate plaintiffs seeking to recover insurance claims. Guilbert is a graduate of Yale Law School; earned an M.S. in International Relations, with distinction, from the London School of Economics; was awarded a Certificat D’Etudes Politiques, mention assez bien, from L’Institute D’Etudes Politiques, Strasbourg, France; and received a B.S. in Foreign Service, magna cum laude, from Georgetown University's School of Foreign Service.

The Legal Services Corporation is a private, non-profit corporation established by Congress to seek to ensure equal access to justice under the law for all Americans by providing civil legal assistance to those who otherwise would be unable to afford it. LSC was created in 1974 with bipartisan congressional sponsorship and the support of the Nixon administration, and is funded through congressional appropriation.

Eight Lawyers from Keating Muething & Klekamp Named Leading Lawyer by Cincy Business Magazine
Eight lawyers from Keating Muething & Klekamp were named Leading Lawyer by Cincy Business magazine: Steven C. Coffaro (Business), Richard L. Creighton (Litigation), Pamela Morgan Hodge (Insurance), Kevin E. Irwin (Bankruptcy), Gail T. King (Mergers & Acquisitions), Mary Ellen Malas (Family/Domestic Relations), Timothy B. Matthews (Banking) and Edward E. Steiner (Corporation/Partnership).

According to Cincy Business magazine, hundreds of members of Greater Cincinnati’s legal community nominated colleagues for this honor, specifying a particular strength and area of practice for each nominated attorney, and a jury of peers made the final selections.

Mr. Coffaro focuses his practice on commercial litigation matters. He represents both public and private companies and individuals in a wide variety of business disputes. He has actively represented clients in litigation matters pending in state or federal courts in Ohio, Kentucky, Indiana, Illinois, Michigan, Nevada, New Hampshire, New York, Tennessee, Texas and Wyoming. In addition to his commercial litigation practice, Mr. Coffaro also devotes part of his practice to the representation of firm clients in the defense of personal injury matters.

Mr. Creighton’s practice is concentrated in general civil litigation, with particular emphasis on complex business, antitrust and tort litigation, including class actions. In recent years, he has served as lead class counsel in several class action cases, including antitrust price-fixing cases. In the business law arena, he has successfully defended clients in a variety of contract and/or fraud cases. Mr. Creighton is also recognized for his experience in counseling media clients on matters involving libel, invasion of privacy and other First Amendment issues. A licensed instrument rated private pilot, he has successfully represented numerous clients in aviation related matters, including aviation crash cases and administrative proceedings before the Federal Aviation Administration. He served as a law clerk to the Honorable John W. Peck, United States Court of Appeals for the Sixth Circuit.

Ms. Hodge represents companies in a variety of circumstances, including: insurance coverage litigation, bad faith litigation, managing insurance claims to obtain coverage without the necessity of filing suit, construction claims, tort claims, contract claims, and employment claims. She is an experienced litigator having tried, arbitrated and mediated many cases with extensive experience in insurance matters.

Mr. Irwin has represented creditors’ committees, court appointed legal representatives, and the trustees of mass tort settlement trusts in large mass tort bankruptcy proceedings. Mr. Irwin is lead counsel to the Celotex and UNR asbestos trusts, respectively one of the largest and oldest such asbestos settlement trusts operating today. He has represented creditor groups in many mass tort bankruptcy proceedings, including the Eagle Pitcher Industries, Wallace & Gale, Dow Corning, Babcock & Wilcox, and G-I Holdings Corp. cases. Mr. Irwin also represents secured and unsecured commercial creditors in insolvency related matters inside and outside bankruptcy proceedings. He regularly appears in bankruptcy courts throughout the nation.

Ms. King's practice is concentrated in the areas of general corporate, mergers and acquisitions, and finance. She has been the lead partner on many of the firm’s merger and acquisition engagements. She regularly represents clients in the insurance and financial services industries in major acquisitions and divestitures, such as Great American Life Insurance Company, American Financial Group, Inc., and Great American Financial Resources, Inc. Ms. King also handles finance transactions for major lending institutions. She is the first African-American female to be named a partner in a major law firm in Cincinnati.

Ms. Malas is the leader of the Family Law section of the Private Client Services Group. Her practice is concentrated in all areas of domestic relations, including divorce, dissolution, premarital agreements, juvenile law, grandparent rights, and collaborative law. She is a frequent lecturer in the area of family law and is one of the founding members, and current Steering Committee member, of the Collaborative Family Lawyers of Cincinnati. Ms. Malas represents clients in Hamilton, Butler, Warren, and Clermont counties.

In practice since graduating from Harvard Law School in 1981, Mr. Timothy B. Matthews heads the Commercial Finance and Reorganization Practice Group at Keating Muething & Klekamp. He has dedicated much of his career to bank transactions, including mergers, acquisitions, divestitures, portfolio sales and financing transactions. Mr. Matthews also represents a variety of institutional and fund lenders and investors, as well as serving as corporate counsel to a number of companies.

Mr. Steiner is co-leader of the firm’s Business Representation and Transactions Group. The focus of his practice is corporate, securities and financing law, where he has extensive experience in mergers, acquisitions and divestitures representing both public and closely-held corporations and other entities. He is part of the team at Keating Muething & Klekamp that has overseen more than 300 acquisition and divestiture transactions in the past five years with an aggregate transaction value in the billions of dollars. He also regularly represents investment limited partnerships in venture capital and private equity investment transactions, as well as institutional investors in their acquisitions of interests in venture capital and private equity limited partnerships. He has significant experience in initial and follow-on public offerings of securities, and in representing issuers and investors in private placements of securities. He also regularly represents franchisors and franchisees.

Hunton & Williams' Edward S. Finley appointed to NC Utilities Commission
Hunton & Williams LLP announced today that Edward S. Finley, a partner with the Raleigh office, has been appointed by Governor Mike Easley to the North Carolina Utilities Commission. As part of the Utilities Commission, he will also serve as a member of the North Carolina Tax Review Board, the Energy Policy Counsel and the Agency for Public Telecommunications.

After graduating from the University of North Carolina School of Law in 1974, Finley joined Joyner & Howison, which merged with Hunton & Williams in 1980. Finley has dedicated his legal career to representing electric, natural gas, telecommunication, water and wastewater, public utilities in rate cases, mergers, acquisitions and divestiture proceedings. In addition, Finley has considerable experience in administrative, trial and appellate court litigation.

“This announcement is bittersweet for the entire Hunton & Williams family,” says William S. Patterson, managing partner of the Raleigh office of Hunton & Williams. “For more than thirty-two years, Ed has distinguished himself as a utilities attorney and has been instrumental in the growth of the Raleigh office. His appointment to the Utilities Commission is a crowning achievement in Ed’s legal career. We wish him the best in his new position, and know without a doubt that his contributions to the Commission will benefit our entire State.”

The Utilities Commission consists of seven members who serve eight-year terms. Appointments are made by the Governor, subject to confirmation by the General Assembly by joint resolution. The Commission is, by law, an administrative board or agency of the General Assembly created for the principal purpose of carrying out the administration and enforcement of the Utilities Act. The Commission is accountable to the General Assembly and is subject to legislative oversight by the Joint Legislative Utility Review Committee.

Tom Julin Quoted by Law.com
According to its January 24 article "Fla. Court Grapples With Security Worries and Media Fights Over Lunsford Murder Trial," Law.com Florida court administrators are preparing for an expected "media frenzy" at a trial involving the horrific murder of a 9-year-old girl, trying to balance open access to the proceedings, the defendant's right to a fair trial, and security.

Although judges have a range of methods to deal with the media to ensure a fair trial, the article quotes Hunton & Williams First Amendment Rights lawyer Thomas R. Julin, saying "there are limits to a judge's discretion. The media are considered an extension of the public in the courtroom. In Florida, in almost every instance since 1980, the courts have concluded that the right of access will outweigh the fair trial rights, provided there is no really egregious instance."

Julin is a partner in the Miami office of Hunton & Williams LLP. He focuses his practice on the defense of media and communications companies against claims for defamation, invasion of privacy and newsgathering torts; defense and prosecution of intellectual property claims; and complex appellate matters of all types. Clients have included newspaper and magazine publishers, national television networks, local broadcasters and new media companies in major Florida trial and appellate proceedings.

Art Dudley and Marcus Williams named to Who's Who in Black Detroit
Butzel Long attorneys Arthur Dudley II and Marcus A. Williams have been named in the 2006 inaugural edition of Who's Who in Black Detroit®. The book includes photos, historical and biographical data on local leaders in the metropolitan Detroit area. The book is produced by Who's Who Publishing Company, the nation’s largest annual directory publisher targeting the African-American market.

Arthur Dudley II – He has practiced law for more than 25 years and has extensive experience in nearly all aspects of corporate law. He has had primary responsibility for mergers and acquisitions, securities matters (including public offerings), general counsel work, counseling minority business enterprises, and a variety of other matters, including executive compensation, corporate contracts, joint ventures and strategic alliances and technology licensing.

Mr. Dudley provides ongoing counseling to public companies involving issues concerning corporate governance, compliance with the Sarbanes-Oxley Act, transactions in restricted securities, transactions governed by Section 16(b) of the 1934 Act and matters related to corporate disclosure. His securities law experience with public companies has also included a variety of other transactions, such as mergers and acquisitions.

He has represented emerging high tech corporations in venture capital private placements and as general counsel, and has had principal responsibility for or participated in international acquisitions and divestitures and international corporate restructurings and reorganizations. He has many years of experience in designing and drafting equity based compensation plans as well as individual executive employment agreements. He is experienced with change of control and corporate governance issues, as well as "golden parachute" issues.

In 2006, Mr. Dudley was honored by the Michigan Minority Business Development Council and received the Council’s 7 GEMS Award. He also serves as a member of the Council’s Board of Directors. Last year, Mr. Dudley was honored by Black United Fund (BUF) for 20 years of volunteerism and was elected as Vice President of the Legal Aid and Defender Association, where he also serves as a member of the Board of Directors.

Mr. Dudley has been an Adjunct Professor in the College of Business and Administration at the University of Detroit Mercy, where he taught graduate and undergraduate courses in business law.

Mr. Dudley received a Juris Doctor degree from Yale Law School and a Master of Arts degree in Economics from Yale University in 1977. Prior to law school, Mr. Dudley attended Harvard College as National Merit Scholar, graduating cum laude with a Bachelor of Arts degree in Economics in 1973.

Marcus A. Williams – His practice includes corporate transactions, corporate finance, securities and business law. He is actively involved in all phases of negotiating, drafting and closing complex corporate transactions, domestic and international, for public and privately held companies, including mergers and acquisitions, equity investments in growth companies, joint ventures and strategic alliances. He also advises securities issuers and broker-dealers with respect to compliance matters under the Securities Act of 1933, the Securities Exchange Act of 1934 Act and the Sarbanes-Oxley Act.

Prior to joining Butzel Long, Mr. Williams was a tax consultant for PricewaterhouseCoopers, LLP, where he specialized in tax planning and compliance for business combinations and divestitures. His tax practice focused primarily on transactions involving wealthy individuals, closely held corporations and flow-through entities. He has represented taxpayers in audits and other disputes before the Internal Revenue Service. Mr. Williams has considerable experience in real estate transactions and valuation, particularly in eminent domain proceedings. He has represented the Detroit/Wayne County Stadium Authority, the Detroit Water and Sewerage Department, and the Detroit Economic Development Corporation in various real estate acquisition and condemnation matters.

Mr. Williams is a graduate of the University of Michigan Law School (J.D. 1996) and the University of Michigan Business School (B.B.A. 1993), where he specialized in Corporate Finance. He is currently a director and Chair of the Audit Committee of Think Detroit Police Athletic League, a non-profit corporation which is widely recognized for its management excellence. He serves on the Board of Advisors of the Boll Family YMCA in Downtown Detroit, where he serves on the Leadership Development Committee and the Strong Kids Campaign Committee. He is also Vice Chairman of the Board of Directors of the Paula L. Tutman Children's Toothfairy Foundation, a non-profit corporation which was recently organized to provide dental care funding to under served children in the Metropolitan Detroit Area. He has served on the Executive Board of the National Association of Black Accountants, Detroit Chapter, as Co-Chairperson of the Student Affairs Committee, and is a member of the University of Michigan Business School Club of Detroit.
