Bracewell & Giuliani Partners to Speak at TASA Midwinter
Bracewell & Giuliani LLP school law partners Phillip D. Fraissinet, J. David Thompson and Merri Schneider-Vogel will be among the presenters at the Texas Association of Administrators Midwinter Conference, which will be held at the Austin Convention Center in Austin on Jan. 28-31.

Mr. Fraissinet’s topic will cover conflicts of interest disclosure by government officials, Ms. Schneider-Vogel's session "Election Advertising: The Do's and Don'ts" will address the laws governing political advertising and Mr. Thompson will lead a session on school finance.

Partner Wendell Taylor Celebrated as “Diversity Hero”
Lawyers Weekly recognizes Wendell C. Taylor as one of five “Diversity Heroes” in Massachusetts. This is the first year for this recognition, given to those who “have demonstrated by their achievements that they have been able to move beyond the slights and slurs, or whatever barriers may have been placed in their way as members of minorities, as they sought to advance in their profession.”

Taylor—not only a Corporate Partner at WilmerHale, but an active member in the Firm’s Youth and Education Initiative, and co-chairman of WilmerHale’s Committee on Diversity—is applauded for “having broken the color 'barrier'” while achieving partner status and “grooming others for similar successes.

WilmerHale Wins Unanimous Verdict in New York Supreme Court for Loral Space and Communications
A WilmerHale team led by Howard Shapiro won $51 million for client Loral Space and Communications when a jury in the New York Supreme Court, New York County, unanimously ruled in its favor after a seven-day trial in a breach of contract action brought against Cablevision Systems Corporation.

The dispute related to a joint venture Loral and Cablevision formed in 1996 to launch a direct broadcast satellite service. In March 2001, Loral sold its interest in the venture to Cablevision. When Cablevision in turn sold the venture’s key assets to Echostar in 2005, the WilmerHale team maintained, and the jury agreed, that Loral was entitled to an accelerated payment under the contract between Cablevision and Loral.

Willkie Represents Building Materials Corp. in $1.15 Billion Offer for ElkCorp.
Willkie client Building Materials Corp. of America submitted a $1.15 billion bid for roofing and building products maker ElkCorp. This bid, at $43.50 per share, tops previous bids made by Washington buyout house Carlyle Group. New Jersey-based BMCA already holds a 10.4% stake in ElkCorp. BMCA’s latest bid, which includes $173 million of debt, gives ElkCorp shareholders a roughly 73% premium to the stock's closing price on Nov. 3, the last trading day before ElkCorp announced that it had hired UBS Investment Bank to help it review its strategic alternatives. The matter is being handled by partners Maurice Lefkort and David Rubinsky, and associates Suzanne Sylvester, David Mrazik, Jarret Slepian, Seth Zelnick and Adam Orford.

The Economies of Lithuania and Latvia Continue to Attract Overseas Investment
White & Case is advising private equity firm Mid Europa Partners ("Mid Europa") in its acquisition of 100 per cent of Baltic mobile operator Bité from Danish company TDC, as well as advising on the financing for the deal. Mid Europa has agreed to purchase Bité for the purchase price of €0.45 billion. The transaction ranks as the largest ever leveraged buy-out (LBO) in the Baltic region, as well as being among the largest LBOs in Central Europe to date.

Bité is one of the fastest growing mobile telephone companies in Europe. It is the number two operator in Lithuania, holding a 30 per cent share of the mobile market in terms of revenues, as well as being the number three operator in Latvia, where it has successfully developed its business since its launch in September 2005.

"We have seen increased investor confidence in this region, largely due to the rapid development of the economies of countries such as Lithuania and Latvia," commented Rob Irving, lead White & Case partner advising on the deal. "These countries have fast-growing mobile telecommunications markets and Mid Europa’s acquisition of Bité puts it in a very good position."

This acquisition marks Mid Europa’s fifth investment in the mobile GSM market. The company plans to leverage its strong track record and established experience in the mobile telecommunications sector to add significant value to Bité, through consolidating its market position in Lithuania and expanding in Latvia.

Mid Europa is a leading private equity firm investing in Central and Eastern Europe. Operating from London, Budapest and Warsaw. Mid Europa advises and manages funds with committed capital in excess of €1.1 billion.

The White & Case team advising Mid Europa was led by Budapest-based partner Rob Irving, working with associates Anthony O’Connor, Orsolya Szabó, Chris Budway, Tibor Szántó and Balázs Fazekas on the M&A aspects of the transaction. London-based partners Barbara Choi and Rob Mathews led on the financing of the transaction, working alongside counsel Jonathan Bloom and associates Anna-Marie Slot and Vanessa Small.

This is not the first time that White & Case has advised Mid Europa on an LBO in Central and Eastern Europe. Last year the Firm advised Mid Europa, acting on behalf of the AIG Emerging Europe Infrastructure Fund ("EIFF") and a subset of investors in EIFF, in the sale of Karneval Media s.r.o and Forcable s.r.o. to Unite Holdco III B.V., for €322.5 million.

V&E Appoints New Corporate Finance Partner in London
International law firm Vinson & Elkins RLLP has further extended its global corporate finance and securities practice with the appointment of Peter Young as a partner in its London office.

Mr. Young, who joins V&E from Shearman & Sterling's London office, has a strong cross-border capital markets practice.

He has represented investment banks and European companies that operate across a wide spectrum of industries, including banking, insurance, healthcare, retail, manufacturing, power, oil and gas, technology, pharmaceutical, specialty chemicals, and other sectors. Mr. Young has worked on numerous securities offerings and a broad range of debt and equity transactions, including high yield debt and listings of equity on the New York Stock Exchange, Nasdaq, and on several leading European stock exchanges, particularly the Oslo and Stockholm stock exchanges. He also has extensive experience advising European companies on corporate advisory and governance matters.

Mr. Young's appointment is a further step in the evolution of V&E's expanding London office, which was established in 1971.

"Peter adds yet more depth to our London capital markets practice," said Jeff Eldredge, the head of V&E's London office. "He has a rare ability to understand the full range of issues under U.S. and U.K. securities laws, relating both to debt and to equity, and we are absolutely delighted to have him on board."

Demonstrating V&E's continued commitment to the London market, Mr. Young is the fifth senior lawyer (and the twelfth qualified lawyer in total) that the firm has recruited for its London transactional practice since the start of 2005.

During 2005, Vinson & Elkins handled more than 100 offerings of debt or equity securities, having a total transaction value exceeding $15 billion.
