Paul Hastings Strengthens Intellectual Property and M&A Practices with Addition of Etsuo Doi
Paul, Hastings, Janofsky & Walker (Paul Hastings), a leading international law firm, is pleased to announce the addition of a new partner, Etsuo Doi to the Tokyo office. Prior to joining Paul Hastings, Mr. Doi was a partner in Orrick's Tokyo office.

Mr. Doi has experience in global intellectual property disputes and transactions, whose practice covers on both Japanese-based, and international companies in matters relating to cross-border transactions, M&As, foreign inbound and outbound investments and general corporate finance work.

He is well versed in Japanese technology law and he has been a panel speaker at numerous technology conferences. He is one of a few Japanese private practice lawyers who has both in-house counsel and Internet venture start-up experience.

Mr. Doi is an adjunct professor of law at Temple University Law School (Japan campus) and has taught courses on the Comparative Enforcement of Intellectual Property Rights, Comparative Intellectual Property, and East-West Negotiation.

Mr Doi is a patent attorney qualified to practice law in Japan and New York.

OMM Files Amicus Brief in Federal Sentencing Guidelines Case
O'Melveny recently filed an amicus brief on behalf of The Sentencing Project and the American Civil Liberties Union in Claiborne v. United States, in which the U.S. Supreme Court will examine whether a below-guideline sentence is unreasonable.

Mario Claiborne was convicted of possession of 5.03 grams of crack cocaine. In light of Claiborne's lack of a criminal history and the absence of violence associated with his offense, the district judge applied a safety-valve exemption from the otherwise-applicable mandatory minimum sentence and ultimately imposed a sentence far below the recommended guideline-range sentence.

The U.S. attorney appealed to the Eighth Circuit Court of Appeals, arguing that the facts of the case did not permit a sentence so far below the "presumptively reasonable" guideline-range sentence. The Eighth Circuit agreed, and Claiborne appealed to the Supreme Court for relief.

O'Melveny's brief, drafted by Washington, D.C. counsels Matt Shors and Pammela Quinn, argues that the guideline-range sentences for crack cocaine violations like Claiborne's should not be deemed presumptively reasonable after Booker v. United States, 543 U.S. 220 (2005), and that the facts of Claiborne's case justified the sentence imposed, which was still well in excess of that which would have been imposed had his offense involved powder rather than crack cocaine. The Supreme Court will hear oral arguments in the case on February 20.

O'MELVENY & MYERS REPRESENTS JER PARTNERS IN $1.7B ACQUISITION OF GENESIS HEALTHCARE CORPORATION
O'Melveny & Myers represented JER Partners, the private equity investment arm of J.E. Robert Companies, in acquiring Genesis HealthCare Corporation (NASDAQ: GHCI), one of the largest long-term care providers in the U.S., in an all-cash transaction valued at $1.7 billion. JER partnered in the acquisition with Formation Capital, LLC, a leading operator and investor in the senior housing and care industry. The transaction should close in the summer.

Partners Drake Tempest and Paul Scrivano and associates Mick Stanton and Aytan Dahukey led the deal team from the New York office. Partner Bob Rizzi (DC) and associate Doug Henry (NY) provided tax advice, counsel Bruce Goldberger (NY) worked on benefits matters, counsel David Deaton (LA) assisted on health care matters, and counsel Rebecca Farrington (DC) advised on antitrust matters.

Genesis has more than 200 skilled nursing centers and assisted living residences in 13 eastern states. The company also supplies contract rehabilitation therapy to over 600 health care providers in 20 states and the District of Columbia.

JER Partners is a real estate investment management company with more than 25 years of experience in sourcing, underwriting, and managing a broad spectrum of real estate, debt products, and equity investments in North America and Europe. Most of JER's investments are in office, hospitality, retail, multi-family, and industrial properties. Other areas of investment include commercial mortgage-backed securities, health care related real estate, and mezzanine financing.

Fulbright’s Mark Baker Appointed an Officer on LCIA Users’ Council
Fulbright arbitration lawyer Mark Baker has been appointed to the Users’ Council of the London Court of International Arbitration. The appointment by Court members designates Baker as one of two vice presidents of the North American Council.

Baker is also the co-head of Fulbright’s Arbitration and ADR Practice Group as well as its International Department.

Foley Strengthens Health Care Practice with Addition of Alan Einhorn in Boston
Foley & Lardner LLP announced today that Alan H. Einhorn will be joining its Boston office as a member of the Health Care Industry Team effective February 1, 2007.

“We are pleased to add Alan to our team and to continue our development as one of Boston's leading law firms offering diversified services for the health care industry,” said J. Mark Waxman, chair of the firm's Health Care Industry Team. “We have a very strong core of experienced health care practitioners at the firm and continue to look for new talent in this area.”

The announcement of Einhorn follows on the heels of Michael L. Blau, who came to Foley to head the firm's health care venture effort and Lawrence W. Vernaglia, both of whom joined Foley's Health Care Industry Team in August 2006.

Einhorn joins Foley after serving as a partner at Nixon Peabody LLP, where he established a strong practice in health care law. He represents provider networks, hospitals, health plans, nursing homes, clinics, professional associations and individuals in entity formation, mergers, corporate reorganization, joint ventures, managed care contracting, health planning, staff development and licensure. He regularly advises clients on strategic, corporate compliance and tax exemption–related issues as well as regulatory issues associated with the formation and operation of provider entities.

Einhorn currently serves as treasurer and board member of the Massachusetts Health Council. He served on the national, New England and Massachusetts Affiliate boards of directors of the American Diabetes Association for nearly two decades. In addition, he served terms as chair of both the Eastern New England Region and the Massachusetts Affiliate of the American Diabetes Association.

Einhorn earned his juris doctorate from Boston University School of Law and a bachelor's degree from Cornell University.

Finnegan Henderson Plans to File Application to Open Shanghai Office
Finnegan Henderson announced its intention to file an application with the Chinese Ministry of Justice seeking approval to open an office in Shanghai. The proposed office will serve as a base for providing legal services related to U.S. intellectual property issues to clients operating in Greater China. The office will also expand the firm's presence and reach in Asia. Finnegan Henderson opened a Tokyo office in 1988, followed by the opening of an office in Taipei, Taiwan in 2003.

Federal Government Relations Director Ron Platt Quoted in National Law Journal
Ron Platt was quoted in the January 18, 2007, edition of the National Law Journal in an article titled "Building D.C. Clout." Platt is the senior director of federal government relations with the Washington, D.C., office of Buchanan Ingersoll & Rooney PC. He is the chair of the firm's Federal Government Relations Section and is a member of the Tax Section.

The article discusses the recent Democratic takeover of Congress and the resulting power shift among law firms that are jockeying for government relations talent and an expected increase in work due to congressional investigations and legislative proposals.

Platt told the National Law Journal that Buchanan has been fielding calls from clients and potential clients who note the firm's close relationships with key congressmen, and that he expects new work to be forthcoming in the areas of tax, health care and financial services issues.
