Simpson Thacher Represents ITC Holdings in Acquisition of IP&L Transmission Business
The Firm represents ITC Holdings Corp. in its agreement to acquire through a subsidiary substantially all of the electric transmission assets of Interstate Power and Light Company, a subsidiary of Alliant Energy Corporation, in a transaction valued at approximately $750 million. Through its operating subsidiaries, ITCTransmission and Michigan Electric Transmission Company, ITC Holdings Corp. is the largest independent electric transmission company in the United States. The transaction, which involves carving out Interstate Power’s electric transmission business from its previously integrated electric utility business, is subject to customary closing conditions and regulatory approvals, including approval from the Federal Energy Regulatory Commission, the Iowa Utilities Board, the Minnesota Public Utilities Commission and the Illinois Commerce Commission as well as expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act. ITC Holdings Corp. expects the transaction to close in the fourth quarter of 2007.

Shearman & Sterling Advises Siemens in UGS Acquisition
Shearman & Sterling is representing Siemens AG in its $3.5 billion acquisition of UGS Corp. from private equity firms Bain Capital, Silver Lake Partners and Warburg Pincus.

Siemens, headquartered in Berlin and Munich, is one of the world's largest electrical engineering and electronics companies and provides innovative technologies and comprehensive know-how to customers in 190 countries.

UGS is headquartered in Plano, Texas and is a leading global provider of product lifecycle management (PLM) software and services with 4.3 million licensed seats and 46,000 customers worldwide. UGS was purchased by the private equity firms in 2004 for nearly $2 billion.

San Diego Corporate Practice Continues to Grow
The San Diego office of McDermott Will & Emery is pleased to welcome associates George Colindres and Monique Ho to its corporate practice. Their arrival comes on the heels of the arrival of partner Peter N. Townshend, who joined McDermott late last year. All three lawyers are members of the Firm's Private Equity/Emerging Companies Practice Group.

He earned his J.D. from the University of California, Los Angeles School of Law and his B.S.F.S. from the Georgetown University School of Foreign Service.

Ms. Ho's practice includes venture capital and other private equity financings, mergers and acquisitions, corporate formation and maintenance, corporate governance, convertible note and other debt financings, licensing, stock option plans and executive compensation, executive employment agreements, and cross-border transactions. She earned her J.D. from the University of California, Davis School of Law and her B.A. from the University of California, Davis.

Mr. Townshend has extensive experience representing emerging companies and investors in venture capital and various other transactions. His practice includes mergers and acquisitions; venture capital; corporate formation; distribution, development, manufacturing, licensing and other commercial transactions; and executive compensation and employment agreements. His clients span various industries, including life sciences, medical device, software, wireless, semiconductors, internet, telecommunications, computer hardware, venture funds and angel networks. He earned his J.D. from the University of California, Berkeley Boalt Hall School of Law, his M.B.A. from the University of California, Berkeley Haas School of Business and his B.A. from Yale University.

JORDEN BURT Alert: CFTC Adopts New Electronic Filing Requirement
Persons claiming relief from regulation or registration as commodity pool operators or commodity trading advisors under regulations 4.5, 4.7, 4.12(b), 4.13, and 4.14(a)(8) of the Commodity Futures Trading Commission will be required to file electronically their notices of exemption or exclusion with the National Futures Association through its electronic exemption filing system. The rule amendments will no longer require persons filing such notices with NFA to do so in paper form.
