Clark Hill Attorneys David M. Hayes and Matthew Tolbert Smith will present at the National Business Institute’s “Resolving Problems and Disputes on Construction Projects,” seminar on February 12, 2007 in Southfield, Michigan.

Hayes will present “Taking Action When you have a Defective Bid,” “Managing Contract Changes,” and “Handling Threats of Contract Termination.” Smith will present, “Knowing What to do When the Plans and Specifications are Deficient,” and “Understanding the Construction Contract Before You Sign It.”

Hayes is a member in Clark Hill’s Detroit office, where he practices in the litigation practice group, focusing on a wide variety of sophisticated and complex litigation matters throughout the country. In the corporate and commercial area, he has litigated cases involving securities fraud, industrial property tax assessments, corporate takeovers and tender offers.

In the construction law area, Hayes provides a full range of service to owners, construction managers, contractors, architects, engineers, subcontractors and suppliers, including contract drafting and negotiation, contract administration, insurance and bond matters, liens, defect claims, delay and cost overrun claims, and dispute resolution in all forums. He has successfully tried complex construction cases before juries, trial judges, and arbitration panels.

Hayes is a member of the American Arbitration Association - Large Complex Case Panel of Arbitrators, the American Bar Association - Forum on the Construction Industry, a Fellow of the American College of Trial Lawyers, a member of the International Association of Defense Counsel and a member of the State Bar of Michigan. He has also been named repeatedly in the Best Lawyers in America publication, and was named in the inaugural edition of Michigan “Super Lawyers.”

He earned his B.A. from Western Michigan University and his J.D. from Wayne State University Law School.

Smith is a member in Clark Hill’s Lansing office, where he practices in the Litigation Practice Group. Smith specializes in commercial and construction-related matters. Smith also has experience in bankruptcy, creditor’s rights, real estate and civil litigation.

Smith joined the United States Marine Corps in 1993 and has achieved the rank of Major. After receiving his law degree he practiced bankruptcy, real estate and corporations’ law. In 1995, he returned to active duty for the Marines and attended Naval Justice School in 1996, receiving certification as a Judge Advocate of the United States Marine Corps.

Smith served as government counsel, defense counsel, and as a Special Assistant United States Attorney for the Marine Corps’ Office of the Staff Judge Advocate in San Diego, California. He returned to Michigan in 1999 to practice creditors’ rights law, construction litigation, real estate and corporations’ law, while also working for the U.S. Marine Reserves.

Smith earned his B.A. degree in Financial Administration from Michigan State University in 1991, where he received several scholarships and awards. He earned his J.D. from the University of Detroit School of Law.

Chapman and Cutler Names Felice Foundos and Morrison Warren Co-Chairs of Investment Company Practice
Leading financial services law firm Chapman and Cutler LLP announced that Corporate and Securities partners Felice Foundos and Morrison Warren have been named co-chairs of the firm’s Investment Company practice. Both Ms. Foundos and Mr. Warren have extensive experience in the fund industry. Chapman’s Investment Company Practice Group represents some of the country’s leading retail mutual funds and unit investment rusts.

With a broad swath of clients across the investment industry, the Investment Company group represents numerous open and closed-end funds, including large and small-cap equity funds, domestic and foreign equity and debt funds, insured and uninsured tax exempt money market funds, multi-fund complexes and other retail and institutional unds. The group also advises numerous independent fund directors, investment advisors and broker-dealers.

The group was established more than 40 years ago, when Chapman and Cutler did pioneering work on the formation of the first tax-exempt Unit Investment Trust. UITs are fixed portfolios of securities sold to investors via individual units as part of a trust. Today the firm remains the premier counsel in the unit trust market, representing the most significant players in the sector.

In recent years, Chapman has significantly expanded its investment company counsel. The firm now advises many fund managers and their funds, including the growing number of exchange traded funds that are becoming an important factor in the retail market. Most recently, the Investment Company group advised on the first-ever reorganization of a closed-end fund into an exchange traded fund. The new exchange traded fund, First Trust Value Line Dividend Income Fund, now trades on the American Stock Exchange.

Mr. Warren joined Chapman as a summer associate in 1990. From 1993–97, he served as associate counsel to Nuveen Investments, where his practice concentrated on securities and corporate law matters related to investment company issues. He served as co-chair of the Investment Company Sub-Committee of the Chicago Bar Association from 2003-05. He has also been an active member of CBA’s Chicago Committee on Minorities in Large Law Firms. In 2003, Mr. Warren was selected for “40 Illinois Attorneys Under 40 to Watch” by Chicago Daily Law Bulletin. He was admitted to the Illinois Bar in 1991 after graduation from the University of Notre Dame Law School. He attended Occidental College, receiving an BA in Political Science.


Ms. Foundos joined Chapman in 1996, after working as a senior attorney in the Division of Investment Management at the Securities and Exchange Commission in Washington, DC. While at the SEC, she was part of the Office of Investment Company Regulation where she helped formulate policy recommendations and evaluated applications for xemptions regarding the Investment Company Act of 1940, and provided advice to members of the public based on legal positions of the Division’s staff. She also was assigned to the Office of Chief Counsel. With Mr. Warren, she served as co-chair of the Investment Company Sub-Committee of the Chicago Bar Association from 2003-05. She earned her law degree from the University of Notre Dame Law School and graduated summa cum laude from Loyola University in Chicago with a BBA in Economics.

Beth Gotthelf named Vice Chair of ABA Water Quality & Wetlands Committee
Butzel Long attorney and shareholder Beth S. Gotthelf has been named vice chair of the Water Quality & Wetlands Committee of the American Bar Association’s Section of Environment, Energy, and Resources.

Ms. Gotthelf, a Birmingham resident, practices in the areas of environmental, energy and land use law and regulation. She represents and counsels a diverse mix of clients in numerous matters throughout the country. These matters include: permitting under and compliance with local, state and federal air, wastewater, stormwater and water regulations; state and federal enforcement cases; compliance audits; remediation of contaminated sites; ethanol and other alternative energy plants; wetland permits; addressing endangered species; tax and other financial incentives under Brownfield and other programs; removal of underground storage tanks; superfund (state and federal); environmental insurance claims; administrative procedures; treatment, storage and disposal of solid and hazardous waste; landfills; occupational safety and health, and land use.

She is past chair of the Michigan State Bar, Environmental Law Section, and a past Section Council person and chair of the Program Committee. Ms. Gotthelf has been active for a number of years on several section committees, including Superfund, Solid and Hazardous Waste and Insurance. She is past chair of the Environmental Law Committee of the Oakland County Bar Association and is a past member of the State Bar Representative Assembly on behalf of Oakland County.

Ms. Gotthelf serves as Chair of the City of Birmingham (Michigan) Brownfield Authority. She is also Chair of the Detroit Regional Chamber of Commerce Task Force on Water and Sewer Issues and a member of the Chamber's Transportation Business Leadership Committee. Ms. Gotthelf is general counsel to the Michigan Association of Metal Finishers and past general counsel to the Wayne County Brownfield Authority. Ms. Gotthelf was on the Federal Advisory Committee charged with recommending stormwater rules and served as a Director of the Detroit Area Commercial Board of Realtors, which covers the State of Michigan. She serves as an arbitrator for the National Arbitration Forum. Ms. Gotthelf is a Fellow of the Michigan State Bar and Oakland County Foundations.

Ms. Gotthelf is very active in the community. She is immediate past president of the Board of Trustees for the National Multiple Sclerosis Society, Michigan Chapter; Board of Directors for the University Cancer Foundation; Trustee of the Jewish Vocational Services; member of the Jewish Federation of Metropolitan Detroit, State Government Relations Oversight Committee; the Seymour Gill Financial Women's Advisory Board; serves on the board of Sister to Sister; and is a member of the Board of Trustees of Oakland Plus Foundation.

Ms. Gotthelf is listed as a Michigan Super Lawyer and has received a number of awards and special recognitions. In 2003, she was named as an emerging leader by the Detroit Regional Chamber. She was recognized by the National Association of Metal Finishers in 2002 for her work on an initiative to streamline environmental rules on behalf of the metal finishers. Corp! magazine named her as one of "Michigan's 95 Most Powerful Women" in 2002. In 1999, she was named as one of Corp! magazine's Top 10 Business Attorneys for Southeast Michigan; and in 1994 she was recognized as one of Crain's Detroit Business' 40 emerging leaders under age 40 (40 Under 40).

Ms. Gotthelf writes and lectures extensively. Recently she authored articles of national interest for the ABA on Proposed Wastewater Regulations and Underground Storage Tanks, and authored a public policy update on the Detroit wastewater ordinance amendments for Detroiter magazine online edition. Some of her national lectures include speaking at COATING 2005 on "Doing Business in China"; the ABA Annual Meetings, Section of Natural Resources, Energy and Environmental Law concerning water issues (2004 and 2002); "A Civil Reaction: Confronting Environment Problems in the New Millennium" (1997); "Annual Fundamentals of Real Estate Taxation" (1997, 1998, 2000, 2001 and 2002); and at the National Association of Metal Finishers, "Federal Wastewater Pretreatment Issues.

Top Political Strategist Joins Blackwell Sanders
Freightquote.com recently announced its completed acquisition of Rockwell Transportation Services, Penn.-based transportation brokerage provider specializing in truckload, less than truckload and intermodal solutions for a wide variety of shippers. Blackwell Sanders acted as counsel to freightquote.com in negotiating, drafting documents and due diligence. The Blackwell Sanders team included Jim Ash, Shari Wright, Fang Shen, Scott Thompson, Chris Masoner, Daryl Ward, Pat Martin and Ken Hoffman.

According to a press release on freightquote.com’s Web site, “Rockwell brings Freightquote significant value including complementary geographic strength, vertical customer segment knowledge and new carrier relations. These factors will ultimately benefit customers of all Freightquote companies. Similarly, Rockwell customers will eventually benefit from the services and technology of Freightquote.”

Operating in the same manner as the company’s 2005 acquisition of Twin Model, the two brands will remain separate, and freightquote.com will operate Rockwell as an independent company.
Freightquote.com is the leading provider of web-based freight transportation management services. Founded in 1998 and based in the Kansas City area, the company and its subsidiaries have annualized revenues in excess of $350 million and more than 700 employees.

Energy Law360 Ranks Baker Botts No. 1 in Energy Litigation
In the the launch of Energy Law360 last week, the publication's editors conducted a survey that determined "Baker Botts is the most sought after firm for major energy litigation."

"With a client list unsurpassed by any other law firm in the country, Baker Botts has clearly made a name for itself as the go-to firm for energy litigation, particularly among major oil and gas companies," the Energy Law360 editors stated.

Energy Law360 surveyed federal litigation from 2002 through 2006 involving the 100 largest oil and gas companies in the world measured by last year's revenues, as well as the 100 largest electric and diversified utilities in the United States, also measured by sales. All in all, the publication reviewed more than 1,600 lawsuits before excluding bankruptcy proceedings, and cross-checked those dockets against its list of U.S. firms with at least 300 lawyers.

Arnold & Porter Increases Its Commitment to Pro Bono Effort
Arnold & Porter LLP Chairman Thomas Milch and Managing Partner Richard Alexander announced today several new initiatives for pro bono, one of the core values of the firm since its founding.

The initiatives include a renewed commitment to pro bono activities, a special awards program, and the creation of a new senior pro bono partner position to be held by James Sandman, the firm’s former managing partner. Mr. Sandman will work closely with Philip Horton, chair of the pro bono committee, to lead the renewed effort that aims to fully integrate pro bono activities with the business and professional development efforts in all practices and offices of the firm. Mr. Sandman also will be actively involved in handling pro bono cases on a day-to-day basis.

"This move builds on a longstanding pro bono legacy that is deeply imbedded in our culture," said Mr. Milch. "Pro bono is important not only to us, but also to our clients, many of whom are expanding in-house pro bono efforts of their own."

“Pro bono is among the most important work performed by the firm,” said Mr. Alexander. "Our pro bono program has been a key factor in recruiting and retaining the best legal and other talent, and helps to provide a rewarding work environment for our firm.”

Esther Lardent, president and chief executive office of the Pro Bono Institute at Georgetown University Law Center, commented, “The decision of Arnold & Porter’s new management to place a former managing partner in such a pro bono leadership role at a law firm is unparalleled, and represents a ground-breaking movement in the pro bono field.”

Arnold & Porter has established an awards program to honor two of the firm’s lawyers each year who have distinguished themselves through their pro bono work. Each of the two lawyers will select a pro bono legal services provider to which Arnold & Porter will make a contribution of $15,000 in that lawyer’s honor, for a total of $30,000 every year.

Additionally, Arnold & Porter has resolved to continue its policy of encouraging lawyers to spend up to 15 percent of their time on pro bono matters and that every Arnold & Porter lawyer—including partners, counsel, associates and staff attorneys—work on least one pro bono matter each year.

Mr. Sandman is currently President of the District of Columbia Bar. He served as managing partner of Arnold & Porter from 1995 to 2005, and serves on several of the firm’s key committees. He has performed pro bono work throughout his 30 years at the firm, including during his tenure as managing partner, and has been involved with several pro bono organizations outside of the firm.

Mr. Horton has been chair of the pro bono committee since 2000, and has led Arnold & Porter to achieve the highest number of pro bono hours the firm has ever seen. He manages the pro bono program in all offices. His efforts in the past six years have led the firm to receive numerous awards and recognition for its pro bono activities, in Washington, D.C., New York, Los Angeles and nationally. Mr. Horton is on the Board and Executive Committee of The Legal Aid Society of the District of Columbia. Under Mr. Horton’s guidance, Arnold & Porter has been a recognized leader in pro bono, and has received numerous awards from public service groups and Bar associations, including a Pro Bono Publico Award from the American Bar Association in 2004.
