RJ&L Announces First Recipient of the RJ&L Michael D. Nosler Scholarship
Rothgerber Johnson & Lyons LLP is pleased to announce that Jefferson L. Exil has been selected for the RJ&L Michael D. Nosler Scholarship. In its commitment to making the legal profession more diverse, inclusive, and reflective of the communities in which we live and work, the firm has established the Scholarship to honor and recognize RJ&L's past Managing Partner, Michael D. Nosler, who, for many years, has demonstrated an unwavering commitment to diversity in the legal profession.

This scholarship program provides an opportunity for a talented diverse second-year law student from either the University of Denver Sturm College of Law, or the University of Colorado School of Law to receive $10,000 towards his or her third-year law school tuition upon completion of a paid clerkship with RJ&L during the second semester of the recipient's second year of law school. In addition to financial assistance, the scholarship program is designed to provide the recipient with a learning experience that will develop and enhance his or her legal writing skills and provide exposure to the private law firm environment and the real-world practice of law.

Born and raised in Port-of-Prince, Haiti, Mr. Exil currently serves as mentor to African-American, Haitian and Persian law students and speaks fluent French and Haitian Creole. He is in his second year of law school at the University of Denver Sturm College of Law, where he is the Staff Editor for the Transportation Law Journal. He received a Bachelor of Arts in Psychology and a Minor in Philosophy from the College of the Holy Cross in Worcester, MA in 2002. Jeff was both surprised and elated to hear that he was selected for an interview and then ultimately selected for the scholarship and clerkship with the firm.

ROTHGERBER JOHNSON & LYONS ATTORNEY KRISTIN BRONSON RECEIVES 2006 RICHARD MARDEN DAVIS AWARD
Rothgerber Johnson & Lyons LLP is pleased to announce that Kristin M. Bronson has been presented with the 2006 Richard Marden Davis Award. The award is presented annually by Davis Graham & Stubbs, the Denver Bar Foundation and the Davis family to a young Denver lawyer under 40 who has combined excellence as a lawyer with civic, cultural, educational and charitable leadership in the tradition of Dick Davis early in his career.

Ms. Bronson has distinguished herself as a real estate trial lawyer and a leader, succeeding in trials for multi-million dollar verdicts and judgments and chairing RJ&L's women's and attorney training initiatives. She is a respected leader in the legal community, serving as the DBA Representative to the CBA's Board of Governors, volunteering as a moot court judge for CU or DU every year, taking pro bono cases through Metro Volunteer Lawyers, representing abused women for SafeHouse Denver, and volunteering for Dress for Success and Girls, Inc. Ms. Bronson is president of Commercial Real Estate Women (CREW) Denver for 2007, and has served on its board and chaired committees for over five years. She was recently honored with the "Women Who Makes a Difference Award" by CREW Denver.

Ms. Bronson finds time for her commitment to nonprofit and cultural organizations in the Denver community, serving on the Board of Directors for the Curious Theatre Company and providing all its legal services. Based on her active role and interest in education, Governor Owens appointed Kristin to serve as a member of the Colorado Advisory Committee on Licensing of Child Care Facilities, which advisees and consults on regulation and enforcement. She was selected as a nominee by the Denver Business Journal for its annual "Outstanding Women in Business" award in 2005 and 2006. Kristin is a 1990 graduate of the University of Virginia, served as a legislative assistant for U.S. Senator Bob Graham in Washington, and joined Rothgerber Johnson & Lyons in 1997 after receiving her J.D. from the University of Colorado School of Law.

ROTHGERBER JOHNSON & LYONS ANNOUNCES NEW MANAGING PARTNER
The law firm of Rothgerber Johnson & Lyons LLP announced that effective January 1, 2007, Frederick J. Baumann will become the firm's new Managing Partner, succeeding Michael D. Nosler.

Mr. Nosler steps down after serving as Managing Partner for ten years, a period characterized by strong growth in the firm's many practice areas, as well as continued emphasis on community involvement by the firm's attorneys. According to Mr. Baumann, "We will miss Mike's strong and steady leadership of our firm. As a result of Mike's stewardship over the past decade, we are well-positioned to continue to provide quality services to a wide variety of businesses and individuals. We intend to build on Mike's legacy of outstanding service to our clients and the community, as well as his longstanding commitment to expanding the diversity of our firm and the legal profession." Mr. Nosler, who has been recognized as one of Colorado's "Super Lawyers," will continue his active litigation practice as Chair of the firm's Labor & Employment Practice Group.

Mr. Baumann's practice focuses on a variety of complex corporate and business litigation, including representation of individual and corporate defendants in class and derivative actions, and in connection with government investigations, as well as representation of local and national corporate entities in contract, fraud, and other business litigation. Fred, a graduate of the New York University School of Law and Williams College, is a Fellow of the American College of Trial Lawyers, has been named a Colorado "Super Lawyer" and has been recognized in "The Best Lawyers in America" for Commercial Litigation.

Shearman & Sterling Represents Marafiq on $3 Billion Water and Power Project
Shearman & Sterling represented Marafiq, the utility company for Jubail and Yanbu in Saudi Arabia, on the development of the landmark Jubail Independent Water and Power Project.

A Shareholders' Agreement and Power and Water Purchase Agreement were signed on January 16 by a consortium of Suez Energy, GIC and ACWA Power.

The US$3 billion Jubail IWPP is one of the largest facilities of its kind in the world, with an output of 2,745 MW and 800,000 cubic metres of water per day. It will serve domestic and industrial consumers in Jubail and the wider region, and facilitate further development of the Jubail industrial city.

The Jubail IWPP project company will be owned 60% by the Suez Consortium, 30% by Marafiq and 5% each by the Public Investment Fund of Saudi Arabia and the Saudi Electricity Company. Financial close is anticipated by April 20. Citigroup is acting as financial advisor to Marafiq and Lahmeyer/ILF are advising on the technical aspects.

Commenting on the deal, Shearman & Sterling partner Nigel Thompson said: "We are all delighted that Marafiq has achieved this key milestone in a landmark project. Shearman & Sterling has long been active in the Saudi market and the opportunity to work with Marafiq and its shareholders has been a valuable one."

DLA Piper advises Zambian government on privatisation of state bank
DLA Piper has advised the Government of the Republic of Zambia on the sale of 49% of the shares in the Zambia National Commercial Bank Plc (Zanaco) to Dutch financial services giant Rabobank for an undisclosed sum. Zanaco is the largest state owned bank in Zambia and also the country's largest consumer bank, with more than 50 branches across the country and over 1,100 employees. The privatisation is part of a government led programme of economic reform, which is intended to encourage greater private ownership and to expedite the development of the country's financial services sector.

Following financial and legal close of the transaction (which is still subject to local regulatory approval), the Zambian government will offer 25.8% of the shareholding to the Zambian public and local institutions. The remaining 25% stake will continue to be owned by the Zambian government.

DLA Piper was pleased to assist the Zambian government, acting through the Zambia Privatisation Agency, with all aspects of the transaction. Alan Barnett, senior associate in the London office and Grant Henderson, Legal Director for Africa, based in Lusaka, together led the multi-jurisdictional legal team advising on the deal. PricewaterhouseCoopers acted as financial advisers for the government with Corpus Globe providing local legal support. Rabobank were advised by their internal legal team and Zambian law firm Mulenga Mundashi & Co.

Charles Morrison, head of DLA Piper's Africa Group said: "The consummation of this transaction and related investment by Rabobank clearly support and further substantiate the recently published view of the Executive Committee of the International Monetary Fund that, Zambia's prospects for robust economic growth in the years ahead continue to look favourable.
