Kaiser Aluminum Corporation Common Stock Offering
Davis Polk & Wardwell advised UBS Investment Bank and Bear, Stearns & Co. Inc. as joint bookrunners and representatives of the underwriters on a $384.7 million registered offering of 6,281,150 shares of common stock of Kaiser Aluminum Corporation. The shares were sold by the VEBA for Retirees of Kaiser Aluminum and other selling stockholders. Kaiser Aluminum common stock is traded on the Nasdaq Global Market under the symbol “KALU.”

Based in Foothill Ranch, California, Kaiser Aluminum is an independent fabricated aluminum products manufacturing company, operating 11 production facilities in North America. The company produces rolled, extruded, drawn and forged aluminum products within three product categories consisting of aerospace and high strength products, general engineering products and custom automotive and industrial products.

The Davis Polk team included partner Joseph A. Hall of the New York office, associates Sarah K. Solum and Peter M. Lamb of the Menlo Park office and legal assistants Cari M. Davis Polk & Wardwell

Davis Polk Advises Marsh & McLennan Companies on Its Sale of Putnam Investments
Davis Polk & Wardwell is advising Marsh & McLennan Companies on its sale of Putnam Investments, one of the largest investment management firms in the United States, to Great-West Lifeco Inc., a financial services holding company controlled by Canadian Power Financial Corporation.

According to the terms of the stock purchase agreement, Great-West Lifeco will acquire Putnam Investments for $3.9 billion in cash. The transaction is subject to regulatory approval, required client consents and other customary closing conditions, and is expected close in the middle of 2007.

Marsh & McLennan is a global professional services firm with annual revenue of approximately $12 billion. It is the parent company of Marsh, Guy Carpenter, Kroll, Mercer and Putnam Investments. At the end of 2006, Putnam had approximately $192 billion of assets under management.

The Davis Polk corporate team includes partner David L. Caplan and associates Michael Davis, Christopher Taylor and Johannes Wirtz. The investment management team includes partner Nora M. Chapter Thirteen Trustee

OCP Formatting
The Court has asked that all offices refrain from submitting Orders Confirming Plan with text boxes and other complex formatting in the signature portion of the document. These objects cause processing problems for the Court. The Court has begun rejecting orders that cannot be processed by their system.

A revised version of the OCP is available on the Forms page, found in the Libary link, on our web site. This form has not been certified by the Court as functional but it does not have any objects in the signature portion of the document.

Slightly different versions are available in Word & Word Perfect format on the Court's web site HERE.

We ask that everyone please review your OCP documents and make any revisions required.
Orders that are returned to us by the Court will be returned to the originating office for correction.
