Stacy G. Freeman Joins Troutman Sanders Public Affairs Group LLC
Troutman Sanders Public Affairs Group LLC (“TSPAG”) is pleased to announce the addition of Stacy G. Freeman as Principal. TSPAG is a wholly-owned subsidiary of Troutman Sanders LLP ("Firm"). Freeman is also Of Counsel with the Firm. He will focus his practice on insurance regulation, legislative action and governmental relations.

Freeman comes to Troutman Sanders from McKenna, Long & Aldridge where he was Of Counsel from 2003 to 2006 for the firm’s Public Law practice.

Freeman's legislative practice involves testifying at committee hearings and study committees before the Georgia General Assembly. Additionally, he drafts, tracks and monitors legislation and advocates for the passage, revision or defeat of legislation before the Assembly. As a lobbyist, Freeman has represented numerous clients, including a national health carrier, a national property and casualty insurance trade association, and a southeastern residential contractor/lender. His representative experience also includes counseling city governments, Fortune 150 companies, major hospital systems and natural gas marketers.

Freeman's insurance regulatory practice deals with regulation issues imposed by the Georgia Department of Insurance. He counsels clients with change of control filings and hearings, examinations, enforcement and disciplinary actions, licensing and regulation revision, and rate and form filing issues. He also assists clients in Georgia and across the country with insurance concerns in the areas of property and casualty, life and health, and reinsurance.

Freeman says he looks forward to continuing his work for long time clients, which include, among others, Humana and GEICO. "Over the years I have worked with members of TSPAG on a variety of matters of mutual interests to our clients. I am excited about the synergies created by the merging of my client base with that of TSPAG's," said Freeman.

Freeman received a Bachelor of Arts from Emory University in 1990 and a J.D. from Mercer University in 1993.

First Court Decision Handed Down In Surf City Trademark Dispute
The first significant legal development in the trademark case involving the Huntington Beach Conference and Visitors Bureau, the owner of alleged trademark rights to "Surf City USA," and Noland's on the Wharf, a small Santa Cruz t-shirt shop which sold t-shirts bearing the allegedly infringing logo "Surf City SANTA CRUZ CALIFORNIA USA," took place late yesterday when U.S. District Court judge Maxine Chesney declined to transfer the case out of Northern California.

Huntington Beach sought to have the case transferred from federal court in Northern California, where it claims it can't get a fair trial, to Southern California or some other neutral venue. In a brief ruling, the court ruled that there is no basis for transferring the case and that the case can be heard fairly in Northern California.

Salans marks aggregate CIS deal value of over 20 billion US dollars in 2006 with four new CIS partners
International law firm Salans in its annual round of promotions made up a third of its new partners in the CIS (the Commonwealth of Independent States): Mikhail Dikopolski and Andrei Strijak in Moscow, Artem Zhavoronkov in St. Petersburg, and Igor Davidenko in Kyiv. By the third quarter of 2006 Salans had completed or in progress over 170 transactions with an approximate aggregate value of over 20 billion US dollars in the CIS.

The results for the financial year ending in 2006 will be the best since the firm established a network of CIS offices in the early 1990s.

Simpson Thacher Represents Weight Watchers International, Inc. in “Modified Dutch Auction” Tender Offer and Related Amendment to Senior Credit Facility
Simpson Thacher represented Weight Watchers International, Inc. in its recently completed “modified Dutch Auction” tender offer pursuant to which Weight Watchers purchased an aggregate of 8,548,027 shares of its common stock at a purchase price of $54.00 per share for an aggregate purchase price of approximately $461.6 million. In addition, the firm is representing Weight Watchers in the related acquisition of 10,511,432 shares of common stock from Artal Holdings Sp. z o.o., its majority shareholder, at the price established by the tender offer (for an aggregate purchase price of approximately $567.6 million) in order to maintain Artal’s percentage ownership interest after the tender offer equal to its current level. The repurchase from Artal is expected to close on February 2, 2007.

In connection therewith, Simpson Thacher also represented Weight Watchers in its amendment to its senior credit facility to increase its borrowing capacity up to $1.2 billion to finance the purchases pursuant to the tender offer and from Artal and to refinance certain indebtedness of its subsidiary, WeightWatchers.com, Inc.

Adrienne B. Pitts Joins Sidley Austin LLP as a Litigation Partner
Sidley Austin LLP announced today that Adrienne B. Pitts has joined as a partner in the firm’s Litigation Practice in the Chicago office. Her practice will focus principally on complex commercial litigation, antitrust litigation, and white collar defense matters.

Ms. Pitts has extensive federal and state trial and litigation experience involving antitrust, securities, tax fraud, health care fraud, bank fraud, breach of contract and consumer fraud. She has also counseled clients through several federal grand jury investigations. Ms. Pitts’ clients include Fortune 100 companies as well as individuals, and she was recently one of the trial attorneys who defended former Illinois governor George Ryan in his seven-month federal corruption trial.

“In addition to Adrienne’s stellar track record as a litigator, she has a passionate commitment to the community and to giving back. We are fortunate to have her at Sidley,” said Charles Douglas, Chair of Sidley’s Management Committee and head of the firm’s global litigation team.

Ms. Pitts received her J.D., with honors, from Boston University School of Law in 1995 and her B.A. from the University of Pennsylvania in 1990. She is extremely active in the legal and Chicago communities and has served on the Board of Directors for the Chicago Committee on Minorities in Large Law Firms since 1997. Ms. Pitts served as its Chairperson from 2001-2003. She is also Vice President of the Board of Directors for L.E.A.R.N. Charter School.
