Brian Hermann Comments on Foamex's Exit From Chapter 11
Bankruptcy partner Brian Hermann commented on the confirmation of our client Foamex International Inc.'s reorganization plan in yesterday's Daily Deal. The article notes that at a hearing yesterday, Foamex confirmed that it plans to take $790 million in exit financing with $150 million in equity financing to pay creditors and fund the company's operations post-emergence. The confirmation order paves the way for the foam cushion maker to emerge from bankruptcy, which is expected to happen on February 12. The publication noted that the plan, "which was altered significantly since the company experienced a dramatic uptick in operating performance, will pay all of its creditors in full and allow stockholders to keep their shares, subject to dilution from the rights offering." Brian, the debtor's counsel, told the publication, "It's truly a remarkable turnaround, and I think it's attributable to quality management taking a fresh look at the business and the business plan.

Corporate and Securities Attorneys Join Carlton Fields in Miami
Carlton Fields is pleased to announce that Dennis J. Olle, Seth P. Joseph, Linda C. Frazier, Carlos A. Mas, and Jay M. Rosen have joined the Firm in the Miami office.

Olle has an extensive securities practice including public and private offerings, corporate disclosure, and mergers and acquisitions. In addition, he represents clients in capital raising and all types of general corporate matters. Olle received his J.D., with honors, from Columbia University in 1976.

Joseph has an extensive securities and mergers & acquisitions practice. He represents corporate issuers and underwriters in public and private offerings, merchant banks, private equity funds, venture capital firms, and emerging clients in acquisition and financing activities. He has extensive experience in the telecommunications and technology industries. He received his J.D., magna cum laude, from the University of Miami School of Law in 1979.

Frazier’s primary areas of practice include corporate, securities, and general business law. She represents public and private companies in connection with entity formation and governance, equity and debt financing, and mergers and acquisitions. She also has extensive securities experience with public and private offerings and compliance with securities law. She received her J.D. from the University of Miami School of Law in 1993. She is admitted to practice law in Florida and Massachusetts.

Mas’ primary areas of practice include corporate, securities, and general business law. He represents private and public companies in connection with various matters including entity formation and governance, equity and debt financing, mergers and acquisitions, and securities law matters. He also has experience in the field of municipal finance. He received his J.D., with honors, from George Washington University School of Law in 1998.

Rosen represents public and private companies in connection with entity formation and governance, equity and debt financing, mergers and acquisitions, and corporate tax and securities matters. He received his J.D., cum laude, from the University of Miami School of Law in 2002 and his LL.M. in taxation from Boston University School of Law in 2003. He is admitted to practice law in Florida and Massachusetts.

Carlton Fields Shareholder, Seymour Benson, Speaker at Florida Conference of Circuit Judges and Family Law Board Certification Program
Carlton Fields Orlando Shareholder, Seymour Benson, participated in the Mediation for Senior Judges presentation at the Florida Conference of Circuit Judges on December 5, 2006. In addition, Benson presented on the subject of valuing stock options at the Family Law Board Certification program on January 26, 2007.

Benson is a member of the Firm's Family Law Practice Group and the Business Litigation & Trade Regulation Practice Group. He practices in the areas of marital and family law and alternative dispute resolution. Benson is Board Certified in Marital and Family Law by The Florida Bar. He is a Certified Family Arbitrator by the American Academy of Matrimonial Lawyers and a Certified Family Law Mediator by the State of Florida. Benson received his B.A. from the University of Miami, his M.A. from the University of Miami, and his L.L.B. from Brooklyn Law School.

Carlton Fields Shareholder, Nancy Ciampa, Appointed to Board of Directors for Legal Services of Greater Miami, Inc.
Carlton Fields Miami Shareholder, Nancy Ciampa, was recently appointed to the Board of Directors of Legal Services of Greater Miami, Inc. Her three-year term began January 1, 2007. LSGMI is a non-profit organization providing free legal services to income eligible persons residing in Miami-Dade and Monroe Counties.

Ciampa practices in the areas of appellate and trial support law, including civil appeals. She has briefed and orally argued cases in the areas of product liability, personal injury, admiralty and maritime, insurance and insurer "bad faith" and commercial litigation. Ciampa received her B.A. from the University of Maine in 1975, her Masters in Education, summa cum laude, from Boston University in 1979, and her J.D., summa cum laude, from Nova Southeastern University Law School in 1997.

Former U.S. Attorney Joins G&K
Phoenix-based Gallagher & Kennedy, P.A., a full service business law firm, today announced the addition of former U.S. Attorney for the District of Arizona, Paul K. Charlton, as partner in the Phoenix office.

Mr. Charlton’s practice at Gallagher & Kennedy involves general business law and criminal defense with an emphasis on corporate compliance and Indian law issues. Prior to resigning from the Arizona post, Mr. Charlton served as U.S. Attorney for the District of Arizona for more than five years.

Appointed by President Bush and confirmed by the U.S. Senate on November 12, 2001, Mr. Charlton is a career prosecutor who has committed himself to public service. As U.S. Attorney, he successfully prosecuted federal crimes and crimes on Indian reservations in addition to overseeing major enforcement initiatives against terrorism, methamphetamine production and trafficking, public corruption and illegal immigration. Mr. Charlton also served as the Chairman for the Border Subcommittee, comprised of U.S. Attorneys from around the nation, chaired the Arizona High Intensity Drug Trafficking Area Committee for two years and established the Anti-Terrorism Task Force in the wake of the September 11 terrorist attacks.

Prior to his presidential appointment, Mr. Charlton worked for 10 years as an Assistant U.S. Attorney in the District of Arizona. In this position, he prosecuted extensive criminal cases ranging from homicide to white collar offenses and was also assigned to the Organized Criminal Drug Enforcement Task Force. Mr. Charlton’s depth of prosecution experience, coupled with his ability to speak Spanish, was noticed by his superiors at the Department of Justice in Washington, D.C., leading him to instruct a number of Department of Justice courses offered in Spanish to prosecutors in Argentina, Columbia, Venezuela and Chile. Mr. Charlton also served the state of Arizona as an Assistant Attorney General in the Arizona Attorney General’s Office, assigned to the Organized Crime and Racketeering Division.

Mr. Charlton’s many professional achievements include being honored as “Prosecutor of the Year” by the Federal Law Enforcement Officers Association. He earned his juris doctor in 1988 from the University of Arizona College of Law. Following law school, he was a clerk to the Honorable Thomas Kleinschmidt, Judge of the Arizona Court of Appeals. Mr. Charlton received his bachelor’s degree in 1983 from the University of Arizona and went on to enroll in graduate studies in Madrid, Spain.

London office takes on a whole new look with the launch of Fasken Martineau Stringer Saul LLP
UK law firm Stringer Saul has now formally joined the Fasken Martineau family. The deal was completed in London on February 1 when managing partner David Corbett and partners of Stringer Saul signed the final papers to confirm the coming together of the two firms. The deal also means that the existing Fasken Martineau office, previously based in the City of London, moves to the one base in London's Hanover Square in the centre of the West End. The London office will be known as Fasken Martineau Stringer Saul LLP., and it creates the first ever full-service Canadian-UK law partnership.

Norman Ziman, formerly managing partner of Stringer Saul, who becomes managing partner of the new combined London office, said, "A lot has passed through our doors over nearly 30 years of Stringer Saul and this will continue in greater volume with our new identity. We are all delighted the deal has now been completed and we look forward to joining forces with our new Canadian colleagues in a range of new joint initiatives to take the business further, here and around the world.

Vornado Submits Topping Bid to Acquire Equity Office Properties
Davis Polk & Wardwell is advising J.P. Morgan Securities as financial adviser to Vornado Realty Trust in connection with Vornado’s topping bid to acquire Equity Office Properties Trust (EOP). Vornado is a New Jersey-based fully integrated real estate investment trust (REIT). Based in Chicago, EOP is the largest publicly traded office building owner and manager in the United States, with a total office portfolio consisting of whole or partial interests in more than 590 buildings comprising over 105 million square feet of office space in the country’s major metropolitan markets.

According to the terms of the offer, Vornado has proposed to acquire EOP for $56.00 per share (plus dividends to the closing), valuing the offer at approximately $39 billion.

The Davis Polk corporate team includes partners George R. Bason Jr. and Marc O. Williams and associate Himanshu P. Singh, all of the New York.
