Local Staffing Firm Taps Cannon as President
R. Dean Cannon, Of-Counsel to GrayRobinson, P.A., has been hired as President of 4 Corner Resources and will join the company on March 1, 2007. His role will be centered on strategic expansion, business development, asset allocation, and continuing the strong growth curve the company has achieved. 4 Corner Resources specializes in the placement of information technology and engineering personnel.

Cannon has practiced law with GrayRobinson for 11 years representing numerous public and private entities, including 4 Corner Resources. Davies leads all major Canadian Law firms in Top Ten Business Cases of 2006
Davies Ward Phillips & Vineberg was involved in three of the Top Ten Business Cases for 2006 published in the January edition of LEXPERT Magazine, more than any other major Canadian law firm.

The three cases listed include:

* the highly publicized dismissal of a proposed $3.9 billion class action in Option Consommateurs v. Novopharm Ltd.
* the Sears Holding Corp. v. Ontario Securities Commission case which altered the conduct of bidders in the context of takeover bids in Canada; and
* the landmark decision in Canada v. Canada Pipe which shifted the abuse of dominance criteria under the Competition Act.

As a result of these and other highly complex cases, Davies is consistently recognized for excellence in business-related litigation.

V&E Named “Best Company to Work for in Texas”
For the second consecutive year, Vinson & Elkins LLP has been recognized as one of the “Best Companies to Work for in Texas.” This program, created by the publishers of Texas Monthly, the Texas Association of Business (TAB), the Texas State Council of the Society for Human Resource Management (TSC-SHRM), and Best Companies Group, is in its second year.

This award is based on a two-part survey designed to identify, recognize, and honor the best employers in Texas. The first part of the survey evaluates each nominated company’s workplace policies, practices, philosophy, systems, and demographics. The second measures employee experience through an employee survey. The combined scores, analyzed by ModernThink LLC, are used to determine the top companies as well as the final ranking. For 2007, there are just 60 companies in Texas named to this list.

The results of “Best Companies to Work for in Texas” will be published in a special section in the February 2007 edition of Texas Monthly. The companies included on the list were honored at a gala awards luncheon on Jan. 31, 2007, at the Capitol Marriott in Austin, TX.

In addition to this award, V&E was named for a second time in two years as one of the “Best Places to work in Houston” by Houston Business Journal, ranking second in its category of companies with 500 or more employees.

R. Max Crane - Lifting the Lid-CEO pay to dominate US annual meeting
R. Max Crane, Deputy Managing Partner of the Firm and a Member of the Firm's Corporate Practice, was interviewed for this Reuters article by Martha Graybow on executive pay discussions at this spring's annual stockholders' meetings. According to the article "CEO salaries are sure to feature front and center [at annual meetings] this year." The article continues, "Max Crane, a lawyer who counsels corporate executives, said there's unlikely to be any repeats of last year's Home Depot annual meeting, in which then-CEO and Chairman Nardelli -- under heavy shareholder criticism for his pay package -- was the only director to show up." According to Crane, "What I tell my clients is that it's no different than the president of the United States holding a press conference. He may not like it, but it's his obligation. For boards, it's an obligation to their shareholders to hear what's on their mind.

Orrick Litigator Offers Advice to Executives Facing Internal Investigations
Securities litigation partner Jim Meyers is quoted in a CFO.com article about what executives should do if asked to speak to internal investigators.

"The first thing an executive should do is get his or her own lawyer," says Meyers. "It is fair to say the [SEC] is looking more closely at individuals than at companies to hold someone responsible."

Deciding whether to cooperate with an internal investigation is a difficult decision, according to Meyers, who advises executives to consider such factors as the duration of the behavior in question, the existence of personal profits, and any probes by the SEC and the DOJ. "The lesson one draws from the resignations you see now -- people are balancing relative risks.

Nixon Peabody LLP Elects Thirteen Attorneys to Partnership of the Firm; Firm Adds Depth to Partnership Ranks in Six Offices and Seven Practices

Boston

* John R. Condon, Syndication, focuses on two primary areas: (1) the structuring, documentation, and due diligence review associated with the syndication of multifamily real estate projects eligible for low-income housing tax credits and/or historic tax credits, and (2) asset management work deriving from previously syndicated transactions. Mr. Condon has participated in the Citizens School mock trial program, which provides inner-city youth with the opportunity to gain insight into the legal process and careers in law. He is a graduate of Merrimack College and Suffolk University Law School.
* Patricia K. Dolan, Business, is a general corporate lawyer who focuses her practice on mergers and acquisitions and federal securities law matters. Her mergers and acquisitions experience includes public and privately negotiated acquisitions and divestitures in a variety of industries, including telecommunications, information technology, and life sciences, among others. Her securities practice includes representing issuers in connection with primary and secondary offerings of debt and equity securities, reviewing and drafting publicly filed annual, quarterly, and current reports and proxy statements, and advising boards of directors, audit committees, and other committees on corporate governance matters. Between 2004 and 2005, she participated in an attorney exchange program through which she spent the year working in-house for a client in Australia as an ambassador of Nixon Peabody. * Christopher P. Keefe, Business, represents buyers and sellers in private and public company mergers and acquisitions. Mr. Keefe also represents funds and companies in private equity (including LBOs and PIPEs), venture capital, and asset-based finance transactions. * Gregory M. O’Shaughnessy, Business, concentrates his practice on a wide range of corporate and business law matters. * Peter N. Tamposi, Financial Restructuring and Bankruptcy, represents creditors, landlords, lessors, debtors, debtors in possession, and trustees in all aspects of debt reorganization and liquidation. * Stavros D. Adamidis, Global Finance, represents domestic and foreign institutional lenders and corporate borrowers in commercial lending transactions, workouts, and restructurings. * Linn F. Freedman, Health Services, practices health care law and advises hospital systems, health care providers, and physicians on a broad range of legal and regulatory issues. She is a health care litigator known for litigating complex matters and was the lead prosecutor in the first case in the country against the lead pigment industry as former deputy chief, Civil Division, of the Rhode Island Department of the Attorney General. She is experienced in health information technology and chairs the firm’s Health Information Technology group. Ms. Freedman is a founder and serves as general counsel of the Rhode Island Quality Institute. She is also a founder of the Rhode Island Business Group on Health. Washington, DC

* Molly R. Bryson, Syndication, structures and negotiates transactions involving the acquisition and syndication of ownership interests in multifamily rental housing projects eligible for federal and state low-income housing tax credits and/or historic rehabilitation tax credits. She also has experience in structuring and negotiating transactions involving the new markets tax credit. Ms. Bryson is a frequent speaker at national low-income housing tax credit conferences. She is a graduate of the Catholic University of America and the Catholic University of America, Columbus School of Law.
* Randall Kelly, Affordable Housing, represents for-profit and nonprofit developers in the acquisition, rehabilitation, and preservation of existing federally insured and assisted multifamily properties, particularly properties receiving subsidies under the Section 8 and Section 236 programs. He is a frequent speaker at national conferences and is regularly recognized as a top lawyer in his field. Mr. Kelly is chairman of the Affordable Housing Production Trust Fund as well as of the DC Homestart Initiative, and a board member of the Jubilee Support Alliance. He is a graduate of the University of Missouri and Washington University School of Law.
* Kelly B. Kramer, White Collar, focuses on white-collar criminal defense and government investigations. He represents corporations and individuals in criminal and administrative enforcement actions and conducts internal investigations. Mr. Kramer serves on the Executive Committee of the White Collar Subcommittee of the Young Lawyer’s Section in Washington and is a member of the Edward Bennett Williams American Inn of Court. He is a graduate of the College of William and Mary and the University of Pennsylvania Law School.
* Scott D. Sergio, Syndication, represents equity investors in the acquisition, development, and syndication of affordable housing projects utilizing federal and state low-income housing tax credits, federal and state historic rehabilitation credits, conventional or tax-exempt bond financing, and various other government loan or grant programs. He also has experience with general real estate matters. He is a graduate of the University of Richmond and Temple University School of Law.
* Patrice Harris Talbott, Affordable Housing, focuses on transactional and HUD regulatory matters, and serves as developer’s counsel in the acquisition and new construction/rehabilitation of affordable housing projects nationwide, utilizing bond financing, low-income housing tax credits, and various governmental programs. Ms. Talbott is also experienced as developer’s and PHA counsel in all aspects of complex HOPE VI and mixed-finance transactions involving the demolition and construction of public housing for low-income and market rate tenants.
