Katten Named One of 100 Best Companies for Working Mothers by Working Mother Magazine
Katten Muchin Rosenman LLP is pleased to announce that Working Mother magazine today named it one of the 100 Best Companies for Working Mothers. Katten is one of only four law firms in the country to make the Best Companies list and the only Chicago-based firm. This recognition comes on the heels of Working Mother magazine’s August 2007 issue, which also listed Katten as one of the nation’s 50 Best Law Firms for Women.

New Rules for Social Security Administration "No match" Letters
When an employee provides a social security number to his employer and the employer subsequently receives a letter from the Social Security Administration (“SSA”) stating that the name and number do not match the government's records, what should the employer do?

Until very recently, there was a great deal of confusion and conflicting advice. On August 10, 2007, new rules were issued that tell businesses what they can do to respond and how to enjoy a measure of protection from government investigations regarding the employment of illegal and unauthorized workers, as well as from claims by employees for alleged discrimination.

Frost Brown Todd Recipient of the Republic Bank “We CARE Award”
Frost Brown Todd was the proud recipient of the 2007 Republic Bank We CARE Award in the Medium Business Category. The We CARE Awards were created to honor and give recognition to companies in the Central Kentucky region who encourage their employees to do great things for their community.

This recognition comes on the heals of Wm. T. (Bill) Robinson III being named a winner of the 2007 ABA General Practice, Solo and Small Firm Division’s Difference Maker Award for “Making a Difference through Community Service”. The Difference Maker Award recognizes local attorneys whose dedication has made a difference to their profession or the community.

Kenneth A. Rosenberg of Fox Rothschild to Speak at Staff Management Seminar
Kenneth A. Rosenberg, an associate at Fox Rothschild LLP, will speak at the Bergen County Cooperative Library System’s (BCCLS) personnel seminar entitled, "Managing Staff: Best Practices & Effective Discipline." The seminar will be held at the New Milford Public Library on Thursday, October 25, 2007, from 9:30 a.m. to noon.

Rosenberg will present, "Reviewing Legal Aspects of Progressive Discipline" as part of the seminar. He also will serve as a panelist to discuss daily management challenges such as absenteeism, questionable on-the-job injury, cell phone use, and other personnel issues. Additionally, Mary Joyce Doyle, a retired director and co-founder of BCCLS, will present "Coaching Staff for Best Results."

Rosenberg is a member of the firm's Labor & Employment Department. He represents employers in various labor relations matters, including contract negotiations, interest and grievance arbitrations, disciplinary matters, unionization campaigns, unit clarification issues, and unfair/improper practice proceedings. Rosenberg enjoys speaking on various labor and employment topics and has spoken before the New Jersey Institute for Continuing Legal Education, the Public Employment Relations Commission's Annual Conference, the New Jersey Association of Counties' Annual Conference, the New York State Public Employer Labor Relations Association's Annual Conference, and the Council on Education in Management.

New Washington Legislation Requires Employers to Report Corporate Officers and to Provide Unemployment Insurance to Officers
Under a new Washington law, employers must register all corporate officers with the Employment Security Department (“ESD”) by September 30, 2007. An employer who fails to timely register with the ESD could be subject to a penalty of $25.00 per violation.

The new law also requires corporations to provide unemployment coverage for all corporate officers, unless an exemption applies. This provision goes into effect on January 1, 2009.

The law was intended to ensure that ineligible corporate officers are not able to collect unemployment benefits. In addition, the law holds corporate officers personally liable if they deliberately try to evade unemployment tax bills.

Fenwick & West Represents Opsware in $1.6B Acquisition by HP
Fenwick & West LLP represented Opsware Inc. (NASDAQ: OPSW) in its acquisition by Hewlett-Packard Company (NYSE: HPQ) through a cash tender offer for $14.25 per share, or an enterprise value (net of existing cash and debt) of approximately $1.6 billion on a fully diluted basis. Opsware, based in Sunnyvale, CA, is a provider of data center automation software products for enterprises, government agencies and service providers seeking to reduce the cost and improve the quality of their data center operations.

Industry Leaders to Discuss Ownership and Financing Issues at 2007 NAB Radio Show®
A panel of major industry CEOs – including Ed Christian (CEO of Saga Communications, Inc.), Lew Dickey (CEO of Cumulus Media Inc.), Joe Schwartz (CEO of Cherry Creek Radio, LLC), Jeff Smulyan (CEO of Emmis Communications), and Peter Smyth (CEO of Greater Media, Inc.) – will headline Dickstein Shapiro LLP’s annual financing conference at the National Association of Broadcasters Radio Show® on the morning of Wednesday, September 26, 2007, in Charlotte, NC. Broadcast analyst Vic Miller of Bear Stearns & Co. Inc. will provide the opening remarks.

As in past years, the Dickstein Shapiro conference – entitled "Broadcast Financing 2007: Radio’s Changing Landscape" – will be the first program of the NAB Radio Show®. The conference will focus on the fundamental changes in the radio industry, including changes in the nature and makeup of radio’s owners and those who provide debt and equity financing for acquisitions.
