Freshfields advises Mach on purchase of Cibernet
MACH, the leading global clearing and settlement partner for mobile based transactions, has announced that it has entered into a definitive merger agreement to acquire CB Holdings, Inc., the parent company of Cibernet, a leading mobile roaming, clearing and business solutions provider. The transaction is subject to regulatory approval and is expected to close in the first half of 2007. Luxembourg-based MACH is a portfolio company of Warburg Pincus.

International law firm Freshfields Bruckhaus Deringer is advising Mach in the transaction.

The Freshfields team was led by New York corporate partner Matthew Herman and London corporate partner James Wood, and included the following US/European team:

New York: Lisa O'Brien (partner, finance), Gretchen Johanns (associate, corporate) and Yayoi Shionoiri (associate, corporate)

Fenwick & West Represents Intuit in $1 Billion Senior Notes Offering
Fenwick & West LLP represented Intuit Inc. (NASDAQ: INTU) in its recent public debt offering of $1 billion of investment-grade senior unsecured notes. Citigroup Global Markets Inc. and J.P. Morgan Securities Inc. acted as Joint Bookrunners, and Morgan Stanley & Co. Incorporated acted as Joint Lead Manager. Intuit, based in Mountain View, CA, is a provider of business and financial management solutions for small and mid-sized businesses and financial institutions.

The Fenwick & West transaction team included corporate attorneys David Michaels, Jeff Vetter, Bill Hughes, Paul Dutton, Kee Bong Kim, Robert Ricca; and tax attorneys David Forst and Tim Fitzgibbon.

Four Attorneys Join Duane Morris in Florida
Duane Morris LLP is pleased to welcome four attorneys to its Florida office: partners Jerry Wolf and Tom Karr, both formerly of Berger Singerman, partner David Carlisle, formerly of Akerman Senterfitt and associate Mayrav Bond, formerly of Berger Singerman. Two paralegals from Berger Singerman are also joining Duane Morris. The addition of these attorneys strengthens the firm's presence in Florida.

Jerry Wolf, who will divide his time between Miami and Boca Raton, has spent most of his career in private law practice in both Florida and New York. He was selected by the Robb Report Worth Magazine as one of the "Top 100 Attorneys in the United States" in 2005 and 2006 and has been recognized in Best Lawyers in America. South Florida Legal Guide named Jerry one of the "Top South Florida Lawyers in Tax and Estate Law" for 2007.

He is a moderator and speaker in The Florida Bar's Continuing Legal Education program, has appeared as a panelist for programs sponsored by the Florida Attorney/Trust Officer Liaison Conference, and was primary draftsperson of the revisions to Florida's prior trust law (Chapter 737, Florida Statutes). He is a recipient of the Annual Achievement Award by the Real Property, Probate and Trust Law Section of The Florida Bar, and has been selected as an Intermediary by the Bahamian Financial Services Board of the Commonwealth of the Bahamas. Jerry earned his J.D. from Duquesne University School of Law in 1973 and his B.A. from George Washington University in 1970.

Tom Karr, who will join the firm's Trial Practice Group, focuses his practice on complex probate and fiduciary litigation. South Florida Legal Guide recently named Tom one of the "Top South Florida Lawyers in the areas of Fiduciary and Probate Litigation" for 2007. He is actively involved in the Real Property Probate and Trust Law Section of The Florida Bar, serving as co-vice chair of the Probate and Trust Litigation Committee and as a member of the Probate Law Committee and the Executive Council. He is also a circuit representative to the Executive Council from the Eleventh Judicial Circuit. He has taught probate litigation and speaks regularly to probate practitioners on current case law topics.

Tom earned his J.D., cum laude, in 1982 from the University of Miami School of Law and his B.A., cum laude, in 1979 from the University of Miami.

David Carlisle focuses his practice on trusts, estates and guardianship litigation, and estates and guardianship administration. He has been recognized as a fellow by the American College of Trust and Estate Counsel. He is a member of The Florida Bar and the American, Coral Gables and Dade County bar associations. David is actively involved in the Real Property Probate and Trust Law Section of The Florida Bar; presently he is chair of the Guardianship Law and Procedure Committee, a member of the Probate Litigation Committee, the Probate Law Committee and Durable Power of Attorney Committee as well as a member of the Section's Executive Council. He also lectures frequently in the areas of trust, estate and guardianship litigation and fraudulent transfers.

David earned his J.D. from the University of Miami School of Law in 1984 and his Bachelor of Music from the University of Miami in 1979.

Mayrav Bond focuses her practice in the areas of estate tax, gift tax, generation-skipping transfer tax and income tax. She advises high net worth individuals with respect to their estate planning and asset protection needs.

Mayrav earned her LL.M. (Taxation) from New York University School of Law in 2001 and her J.D. from Duke University School of Law in 1997. She graduated from The Johns Hopkins University with a B.A. in Economics in 1993.

Dickstein Shapiro Announces 2007 Diversity Scholars

Antoinette M. Pilzner to speak at SHRM national conferences
Butzel Long attorney and shareholder Antoinette M. Pilzner is a speaker in demand. She will be speaking at the Society for Human Resource Management (SHRM) Employment Law and Legislative Conference in Washington, D.C. on March 12, 2007. Ms. Pilzner, who also spoke at this conference in 2004, will be discussing new opportunities for employers to assist employee retirement savings created by the Pension Protection Act of 2006.

Ms. Pilzner also will be a speaker at the Institute of Continuing Legal Education's 32nd Annual Labor and Employment Law Institute April 12-13, 2007, at The Inn at St. John's in Plymouth, Michigan. Her presentation will focus on recent developments in the income taxation and reporting of settlements.

In addition, Ms. Pilzner will be a featured speaker at SHRM's 59th Annual Conference & Exposition June 24-27, 2007 in Las Vegas. She will be featured at two sessions during the conference, discussing defined contribution health care programs and COBRA continuation coverage. Ms. Pilzner has served on SHRM's Total Rewards/Compensation and Benefits Special Expertise Panel since 2003. She also served on the SHRM National Compensation and Benefits Committee from 1999 through 2003. This is the sixth year Ms. Pilzner has been a speaker at the SHRM Annual Conference.

SHRM is the world's largest association devoted to human resource management and represents more than 210,000 individual members.

Ms. Pilzner is based in Butzel Long's Ann Arbor office. She practices primarily in the area of Employment Retirement Income Security Act (ERISA) and employee benefits, including qualified retirement plans, executive compensation arrangements, and welfare benefit plans. She assists clients in establishing new benefit plans, revising existing benefit plans to address business needs and changes in federal law, administering plans to comply with ERISA and the Internal Revenue Code, and terminating benefit plans.

Ms. Pilzner is currently a member of the Employee Benefits Committee of the U.S. Chamber of Commerce. She was appointed by U.S. Secretary of Labor Elaine Chao to the Department of Labor's Advisory Council on Employee Welfare and Pension Benefit Plans and finished her three-year term in November 2005 after chairing the Council's Working Group on Communications to Retirement Plan Participants.

She speaks frequently both locally and nationally on employee benefits topics. She is a member of the State Bar of Michigan (Labor & Employment Law and Tax Law Sections) and the American Bar Association (Labor & Employment Law and Tax Law Sections). She is a Certified Public Accountant and a member of the Michigan Association of Certified Public Accountants.

Ms. Pilzner is a graduate of Wayne State University Law School (J.D., cum laude, 1995), where she was an Associate Editor of the Wayne Law Review and was awarded the Order of the Coif. She also has an M.S. in Taxation from Walsh College of Accountancy and Business Administration (with distinction, 1990).
