Morrison & Foerster Advises on £300 Million Outsourcing Deal to Transform UK Visa Application Process
Lawyers from the Global Sourcing Group of Morrison & Foerster have advised UKvisas on a business process outsourcing contract worth £297 million ($583 million). UKvisas is a joint Home Office and Foreign and Commonwealth Office directorate which runs the UK's visa services through British diplomatic missions overseas.

Under the terms of the agreements, UKvisas will outsource visa application processing for ten regions (and approximately 75 countries) across the globe. Computer Sciences Corporation (CSC) will establish Visa Application Centres in three regions covering 15 countries and in addition will provide information services, through Internet, e-mail and call centres, to an additional 87 countries in the Europe, Americas and North African regions. The remaining seven global regions will be run by VFS Global, part of the multinational Kuoni travel group. These regions include: Far East; former Soviet Union; Gulf/Pakistan; South Asia; Southeast Asia; Southern, Central, and East Africa; and West Africa.

The services to be outsourced include the establishment of physical Visa Application Centres in 52 countries; the capability to enroll the biometric details of all visa applicants, including photographs and fingerscans; the secure transmission of all visa applicant details; and the provision of information to visa applicants through a variety of channels, including multilingual call centres and web sites. There is a deadline of the end of 2007 for all applicants for a UK visa to provide biometric details.

The broad Morrison & Foerster team needed for this assignment was led by partner Alistair Maughan, head of Morrison & Foerster’s Global Sourcing Group. Also from the firm's outsourcing team, Mr. Maughan was supported by Anthony Nagle, Tim Roughton, Masayuki Negishi, Teresa Basile, Kristian Shearsby, and Reinhard Schu. Tax advice was provided by partner, Trevor James. The transaction also required significant HR and employment input, which was provided by Ann Bevitt and Suzanne Horne.

Alistair Maughan commented, “This was a highly complex deal covering very many countries with tight timescales. UKvisas selected three bidders who were all invited to negotiate for one or more of the regional contracts covering different parts of the globe. We were pleased to be able to support the great team at UKvisas on such a challenging project.”

CSC was advised by in-housers David Gray and Mike Morris. VFS was advised by James Snape and Katherine Calder of Nabarro.

Gibson Dunn Attorneys To Receive Judge Learned Hand Award
"Gibson, Dunn & Crutcher LLP is pleased to announce that Irvine associates Kelly Leggio and Lise Johnson, along with former Gibson Dunn associate Lori Ginex-Orinion, will receive the 2007 Emerging Leadership Award from the Orange County chapter of the American Jewish Committee. The attorneys are being honored for their dedication to public service, particularly their pro bono representation of the low-income tenants of a dilapidated apartment complex in Santa Ana, CA.

The award will be presented at the 2007 Judge Learned Hand Award Luncheon at the Irvine Marriott Hotel on Friday, March 16.

""We are proud to be honoring these outstanding young attorneys,"" said Rabbi Marc Dworkin, Executive Director of the American Jewish Committee's Orange County chapter. ""This is a very prestigious award that is given once a year to relatively new attorneys who have demonstrated significant leadership and initiative in their work. The project taken on by Lori Ginex-Orinion, Lise Johnson and Kelly Leggio makes them very deserving of this recognition.""

The attorneys lead a team of Gibson Dunn lawyers in winning significant victories for the tenants. Arising from their defense of one tenant family facing eviction, the team’s work has resulted in the application of an effective, rarely used procedure – the appointment of a health and safety code receiver – and a multi-claim class action.

""We are very proud that Kelly and Lise have continued the firm’s long tradition of community service,” said Nick Hanna, Chair of the Pro Bono Committee in Gibson Dunn’s Orange County office. ”Their hard work has made a concrete difference for this group of tenants, who otherwise would likely have gone without legal assistance. This office has seen a 42 percent increase in pro bono hours donated to the community in the last year – thanks to the dedication and enthusiasm of lawyers like Kelly and Lise.”

Gibson Dunn’s involvement began through a referral from the Orange County Public Law Center. The team volunteered to defend a tenant family in an eviction proceeding in early 2005, assuming the case only one week before the unlawful detainer action was set for trial.

In that week, the team conducted numerous interviews of the tenants and city officials and were stunned to learn that the City of Santa Ana had previously cited over 260 code violations at the subject apartment building, which was literally crumbling due to water damage, plumbing and electrical problems and vermin infestation. Despite three years of demands for repair from the City, the landlords allowed the property to continue to deteriorate. Given the Gibson Dunn team's preparations and after reviewing the trial brief, the attorney for the landlords appeared in court the morning of trial and dismissed the action.

The team continued to represent the family, negotiating with the landlords’ attorneys in an effort to convince them to make necessary repairs. Faced with the daily deterioration of the building's condition and inaction by the landlords, the team filed a class action complaint against the landlords in April 2005. Since then, the Gibson Dunn team has continued to document the building's uninhabitable conditions and has won significant victories on the tenants' behalf, including persuading the landlords to stop collecting rent and obtaining the appointment of a habitability receiver. The receiver was allowed to take out a loan on the property of over $1 million dollars, and repairs are well under way.

In August 2006, the Gibson Dunn team obtained a ruling from the court that the tenants had a “substantial likelihood” of success on their punitive damages claims. Then in October 2006, the Gibson Dunn team achieved further success by obtaining class certification. Under the court's order, all current and former tenants who have lived in the Santa Ana apartment complex since 2001 now have an opportunity to recover damages."

Susan Repetti, partner in Nutter’s Trusts and Estates Department, was invited to lead a discussion on “Qualified health savings account funding distributions” from IRAs at the National Meeting of the American College of Trust and Estate Counsel in Scottsdale, Arizona, on March 9. Susan updated the College on changes to the tax law by the Tax Relief and Health Care Act of 2006.

Global Trade Practice Recognized By Chambers Global and Chambers USA Including a Nomination for a Chambers Award for Excellence
Mayer, Brown, Rowe & Maw LLP is pleased to highlight the recent successes of it's Global Trade practice in the 2007 Chambers & Partners publications: Chambers Global and Chambers USA, the latter of which has nominated the group for a Chambers Award for Excellence.

In the recently released Chambers Global guide, the group is ranked highly in the International Trade/WTO sections, with specific mentions to four of the group's attorneys: Mickey Kantor, the former United States Trade Representative and U.S. Secretary of Commerce and Peter Scher, the former United States Special Trade Negotiator, in Washington, DC, as well as Paulette Vander Schueren and Edward Borovikov, two leading European trade lawyers, in Brussels.

Chambers noted, ".Mayer Brown's international trade practice has made waves in the market as it adds to the number of former senior government officials who have entered private practice. This has created a group that is perfectly placed to provide market access, trade remedy and export control advice."

Three leading members of the group's Brussels office have recently been recognized for their expertise and capabilities. Edward Borovikov and Paulette Vander Schueren, along with Nikolay Mizulin were recently named by Legal Media Group as Leading International Trade Lawyers, which ranks attorneys based on research and nominations from more than 2,000 senior in-house counsel, partners at pre-eminent law firms and other specialists in over 50 jurisdictions

Chambers USA, which will officially be released later this Spring, has also named Kantor and Scher to their rankings and has added Washington, DC partner James Jochum, the former Assistant Secretary of Commerce, to the International Trade: Trade Remedies Policy section for the 2007 edition.

In reviewing the caliber of work performed by the Global Trade practice during 2006 and the feedback gained from interviews with clients, the Chambers USA researchers were nominated the group for a Chambers Award for Excellence. These awards, presented each Spring at the launch for the new Chambers USA guide, highlight individuals and practice groups that have stood out among the competition.

The Global Trade Practice of Mayer, Brown, Rowe & Maw, LLP includes more than forty professionals in Washington, D.C., Brussels and Beijing, including former trade negotiators, senior U.S., European, Chinese and Russian Government policy officials and international trade lawyers with broad experience in all aspects of international trade.

In September of 2006 Mayer, Brown, Rowe & Maw added three new attorneys to the Global Trade Practice in Washington, D.C.: Duane Layton, Sydney H. Mintzer and Jeffery C. Jeffrey R. Ansel joined Winthrop & Weinstine in 1985 and has been a shareholder since 1992. He has also served on the firm’s management committees since 1994. His practice focuses on commercial litigation and alternative dispute resolution, representing litigants and acting as a neutral in arbitrations and mediations. Jeff concentrates on lawsuits including construction disputes, contracts, banking, real estate, securities fraud defense, entertainment and trade secrets.

Timothy M. Barnett has been practicing in the areas of corporate law, mergers and acquisitions, corporate finance and franchise law for over 20 years. Tim serves as corporate and transactional counsel to a large number of successful national, regional, and local companies in a variety of industries, including aerospace, construction, manufacturing, software licensing and sales, software development, real estate and quick service restaurants. Blending his law practice with a background as a Certified Public Accountant, he regularly counsels his clients on a variety of complex business transactions, including business acquisitions and sales, venture capital investments, strategic alliances, and debt and equity financings.

Scott J. Dongoske joined Winthrop & Weinstine in 1983 and currently serves as the firm’s president. His practice is focused in the areas of mergers & acquisitions, general corporate, and corporate finance and lending. Specifically, Scott represents many diverse public and private companies on a wide variety of corporate and corporate finance issues including corporate counseling, business formation, mergers and acquisitions, licensing, intellectual property matters and employment law. In addition, Scott is also general counsel for a number of rapidly growing companies and has considerable experience with corporate restructuring activities, corporate finance and the acquisition and sale of businesses. John A. Knapp is an experienced attorney in the areas of legislative and regulatory representation, as well as public utility, environmental, insurance, and general corporate law. WFW advise Technip on US$78 million sale of Perry Slingsby Systems
Watson, Farley & Williams LLP (WFW) have advised Technip on its sale of Perry Slingsby Systems to SCF Partners, a private equity business, for US$78 million. The sale took the form of a disposal of the shares of Perry Slingsby Systems Inc. (in the US) and Perry Slingsby Systems Limited (in the UK).

Perry Slingsby Systems manufactures remotely operated vehicles (ROVs) and other subsea equipment, with manufacturing sites at Jupiter in Florida (US) and Kirkbymoorside in Yorkshire (UK).

The WFW team was led by Frank Dunne and Nick Fothergill, with assistance from WFW’s New York and Paris offices.

Frank Dunne observed “We were pleased to work with Technip on this interesting and international deal, which involved an integrated team of WFW lawyers from London, New York and Paris.
