Henry Mitchell Reelected to the NCCBI Board of Directors

ATTORNEY PAUL DURHAM TO SPEAK AT DIGITAL FILMMAKING WORKSHOP
Paul J. Durham, attorney at the law firm Sheehan Phinney Bass + Green, will present entertainment law issues to a group of independent filmmakers at the upcoming Digital Filmmaking Workshop, “Producing, Marketing & Screening Your Independent Film.”

Back Lot films will host the event at the MCAM Studios in Manchester from March 31-April 1, 2007. The workshop will help film entrepreneurs in the lifecycle of the independent film process and video projects.

Paul joined Sheehan Phinney in January of 2007, and assists companies with varied

corporate matters including entertainment and media law.

Paul founded his own practice in 2005, and has taught undergraduate and MBA-level law and business courses at Southern New Hampshire University and Daniel Webster College since 2004. Paul also served as Senior Counsel at Playboy TV International, LLC, where he managed international legal affairs for the pay television company and assisted executives in launching branded television networks around the world. He also served as an associate at the Miami law firm of Bilzin Sumberg Baena Price and Axelrod LLP.

Sheehan Phinney is a regional business law firm with offices in Manchester, Concord and Lebanon, NH, and in Boston, MA. SEC REPORTING RULES BOOKS AVAILABLE AT WWW.SAUL.COM
Saul Ewing LLP is pleased to announce that members of the public can now access electronically three books compiling current SEC reporting rules, edited by a team of Saul Ewing attorneys.

This year?s books include the final version of the SEC?s newest rules for Executive Compensation Disclosures ? a must read for every corporate executive and financial professional involved in preparing 10-Ks, 10-KSBs and proxy statements. These new rules also affect 8-K disclosures and annual disclosures regarding corporate governance, beneficial ownership and transactions with related parties.

Two of the books, 2007 SEC Reporting Rules for Forms 10-K, 10-Q and 8-K and 2007 SEC Reporting Rules for Proxy Statements are intended for use by most public companies. The third book, 2007 SEC Reporting Rules for Forms 10-KSB, 10-QSB and 8-K and Proxy Statements, contains rules applicable to companies that qualify as small business issuers under SEC rules.

Patricia A. Gritzan, Partner and Co-Chair of the Firm's Securities Transactions Practice Group, led the editing effort, with support from Katayun I. Jaffari, a Partner in the Securities Transactions Practice Group; Craig F. Zappetti, Special Counsel in the curities Transactions Practice Group, and Anuradha Banerjee, Brian E. Curci and Jeffrey M. Ms. Gritzan said. ?Our presentation is unique because we interweave the relevant Regulation S-K or S-B text within the text of the disclosure form, eliminating the need to use two books to get the full disclosure requirements for a particular issue. Salans advises on Deutsche Bank AG’s $600 million financing of first Four Seasons hotel in Russia
International law firm Salans is acting as legal counsel to Deutsche Bank AG on their financing of the Moscow Hotel reconstruction project. The total amount of financing is expected to reach $600 million, and the project will be carried out in accordance with the construction schedule approved by the Moscow City government.

The Moscow hotel project is unique in terms of location, construction and quality and will be the first project in Russia operated by international hotel company Four Seasons. The legal structuring of the deal has been challenging in light of municipal policy in Moscow on large investment projects such as this one.

Moscow-based Timothy Stubbs is the lead Partner on the deal, assisted by London-based Partner Philip Prowse, Moscow Associates Sergey Trakhtenberg and Julia Konstantinova, and London Associates Abigail Townley and Roger Vallance. The deal is expected to disburse in the coming months.

"We are delighted to be working with such a prestigious financial institution as Deutsche Bank," said lead Partner Timothy Stubbs. "The banking and legal team at Deutsche are leaders in what they do, and we at Salans have worked hard to offer to Deutsche the combination of our long-standing knowledge of Russian property law with our emerging markets project finance experience. We look forward to continuing to serve Deutsche in Russia and the CIS."

By the third quarter of 2006 Salans had completed or in progress over 170 transactions with an approximate aggregate value of over 20 billion US dollars in the CIS. Salans is in the top two international law firms in Russia and the CIS by lawyer numbers and advises on international and local law. Salans' partners have advised global businesses and financial institutions in this region for over three decades, commencing in the Soviet era and expanding steadily throughout the region following the break-up of the USSR in 1991.

WilmerHale Advises Linde on the Sale of the Component Business of BOC Edwards to CCMP Capital
technology company The Linde Group sold the component business of its subsidiary BOC Edwards to international private equity firm CCMP Capital for approximately EUR 685 million (GBP 460 million). If the business develops successfully and is accompanied by an exit of CCMP Capital (e.g. through an IPO or a sale to a strategic investor), Linde further stands to receive an additional EUR 65 million (GBP 45 million). The sale remains subject to clearance by the competent antitrust authorities.

Following the acquisition of The BOC Group plc and the resulting focus on its international industrial gases and engineering businesses, Linde had decided to sell the component business of BOC Edwards (vacuum pumps and components for the semi-conductor industry). In the 2006 financial year, the component business of BOC Edwards achieved a turnover of approximately EUR 860 million, and employs over 4,000 staff.

WilmerHale regularly advises Linde on matters regarding competition law and merger control. In previous months, WilmerHale has advised and represented Linde on its acquisition of The BOC Group plc and Spectra Gases Inc., as well as the disposal of BOC Gazy Sp. z o.o., Linde Gas UK and KION GmbH. In addition, WilmerHale assisted Linde in the realignment of its various joint ventures with Air Liquide in Asia.

In the disposal of the component business of BOC Edwards, Linde was advised on merger control issues by Berlin partner Ulrich Quack as well as the associates Dr. Alexander Jüngling and Dr. Oliver Fleischmann from the Berlin office.

Paris Office Assists Schneider Electric in €1 Billion Share Capital Increase
It was announced that Willkie client Schneider Electric has launched a share capital increase with preferential subscription rights valued at approximately €1 billion. Proceeds will be used, among other things, to partially fund the acquisition of American Power Conversion. The share capital increase comprises a public offering in France, an international offering for institutional investors and a private placement in the United States. A leading power and control specialist, Schneider Electric serves clients in the residential, building, industry, energy and infrastructure markets. It operates world-class brands including Merlin Gerin, Square D and Telemecanique. The transaction was handled by partners Laurent Faugérolas and Stéphane Sabatier; special European counsel Jon Lyman (London office); and associates Charles Cardon and Nicolas Tollet.
