Weil Gotshal Represents KSS Holdings, Inc. in Sale of Key Safety Systems, Inc.
Weil Gotshal provided counsel in the transaction in which Ewing Management Group sold Key Safety Systems, Inc., to Crestview Capital L.P. The firm represented KSS Holdings, Inc., the parent company of Key Safety Systems, Inc. Key Safety Systems, Inc. is a leading global designer and supplier of automotive safety systems, including airbags, seatbelts and steering wheels.

Robinson & Cole Labor & Employment Partners Present at Employment Law Seminar
Robinson & Cole Labor & Employment partners Catherine E. Reuben and Bruce B. Barth presented "Top Employment Law Mistakes Likely to be Made by In-House Counsel in 2007 - and How to Avoid Them" to a group of in-house counsel. The seminar, held on February 27, 2007, was co-sponsored by Robinson & Cole and the Association of Corporate Counsel. The topics Cathy and Bruce covered included independent contractors, employee handbooks, union organizing, Massachusetts healthcare law, and deferred compensation.

Larry Vernaglia Moderates Ten-Part Web Conference Series on Reimbursement Presented by HCCA
Partner Lawrence Vernaglia will moderate a 10 part series, Reimbursement Primer for Compliance, Ethics and Legal Officers: “Everything You Have Always Wanted to Know About Reimbursement, but Were Afraid to Ask,” presented by HCCA.

Much of the work of compliance, legal and ethics officers in health care organizations relates to ensuring proper reimbursement for the services, devices, drugs and devices provided. It is a fundamental base of knowledge of for effective work in the industry. Often, these officers will have a good understanding of the specific reimbursement requirements of their own company (or, at least, relating to issues that have been brought to their attention). Yet, compliance, legal and ethics officers frequently do not have a broad base of reimbursement knowledge across industries. This is critical as your employer negotiates arrangements with other types of providers, or branches into new lines of service. This series is designed to provide that broad base of reimbursement knowledge in a "fundamental" and user-friendly format. This course is not intended to provide technical mastery of an entire subject. Rather, it is designed to offer the basics of reimbursement across the health care industry spectrum.

This 10 part series will offer the participants the basics of reimbursement in a variety of settings, including hospitals, medical practices, home health and hospice providers, long term care, health plans, and pharmaceutical enterprises. The program will wrap-up with a final session providing the perspective of the enforcement community on the reimbursement issues covered. The program will be useful both to the new as well as experienced compliance, legal or ethics officer. The program is intended to be taken in its entirety, though listeners are welcomed to join in to one or more discrete programs of interest to them.

Foley Expands Public Affairs Practice in Florida
Foley & Lardner LLP announced today that government relations attorney Jonathan Kilman has joined the firm's Orlando and Tallahassee offices in its Government & Public Affairs Practice.

Kilman will focus his practice on representing public and private clients in public affairs and government relations, community relations, litigation, appellate and administrative matters. He has broad experience representing private clients and state agencies, including advising the State Technology Office in procurement matters, and representing the Florida House of Representatives in litigation and appeals related to the redistricting of Florida's state and federal legislative districts. In 2004, he represented the Florida Secretary of State in state and federal election litigation and appeals. Most recently, Kilman served as legal counsel for the Charlie Crist for Governor Campaign. As such, he advised the campaign on a host of issues.

“Jonathan's experience advising government agencies will be a great resource in growing and developing the firm's Public Affairs Practice in Florida and beyond,” said Orlando Managing Partner Michael Gay. “His experience providing legal services in litigation and government matters will be a great resource for our Florida business clients.”

The announcement comes on the heels of Republican lobbyist Michael Harrell and former Department of Management Services Secretary Robert Hosay and Chris Kise, head of the firm's Appellate Practice, joining the firm's Tallahassee office in July. Kise has since left to serve within the Crist Administration as Counsellor to the Governor.

Kilman comes to Foley from GrayRobinson, P.A., where he was elected the youngest shareholder in the firm's history and serve as a member of the government, litigation, technology business law and technology licensing practices. Previously, he worked as an associate in the Boston office of Skadden, Arps, Slate Meagher & Flom LLP, where he represented clients in mergers and acquisitions, venture capital financing and intellectual property. Kilman also clerked within the U.S. Attorney's Office and the District of Massachusetts.

Kilman earned his juris doctorate from Harvard Law School and his bachelor's degree from the University of Florida.

Engineering Panel Helps HU Students Seek Patents
Howard University School of Engineering in conjunction with the Entrepreneurship Leadership and Innovation Institute (ELI) and Finnegan Henderson sponsored the first annual Patents and Technology Seminar on March 12. Anand Sharma of Finnegan Henderson moderated the panel and Frank DeCosta III participated as a panel member. Some of the ways panelists advised students on getting their patents and inventions bought by other companies is to put their ideas in journals and network at corporate events. They also advised students to never write their own patents and do research to make sure the patents they are working on do not already exist.

Ruling Will Limit Types of Questions In Patent Cases
A recent opinion by the U.S. Patent and Trademark Office Board of Patent Appeals will change patent lawyers’ actions in so-called “interference cases,” or disputes about who invented something first, and potentially affect the outcome of the cases, lawyers say. “The ruling both clarifies guidelines dating back to 1999 and underscores their importance to the Board,” said Herb Mintz of Finnegan Henderson. Mintz is concerned about the warning against non-substantive objections because it will force lawyers to “superprepare” witnesses. Mintz also noted that problematic questions could cause a witness to give erroneous or confusing answers. “If the record is unclear, it could be a disadvantage,” Mintz said.

Top Intel Execs Neglected To Save E-Mails, AMD Says
Several top executives of Intel may have failed to back up e-mail messages that could be relevant to an antitrust case brought against Intel by rival Advanced Micro Devices, says a lawyer for AMD. Intel has acknowledged lapses in its policies to preserve e-mail being sought by AMD, which sued Santa Clara-based Intel in June 2005 for allegedly coercing computer makers, retailers and distributors to buy its chips instead of AMD’s. Steve Morrissett of Finnegan Henderson commented, “If you identify certain individuals whose e-mails are important to the case, then the company has the obligation to notify those employees, and their attorneys have an obligation to make sure those are preserved and collected.
