WFW Advises Société Générale in €100,000,000 French Lease of Rail Cars to New Jersey Transit Corporation
Watson, Farley & Williams LLP has advised for Société Générale in connection with a €100,000,000 leveraged French lease facility for New Jersey Transit Corporation. Under the terms of the lease facility, an affiliate of Société Générale will purchase and lease to New Jersey Transit Corporation approximately fifty Bombardier multi-level commuter rail passenger cars as they are delivered to New Jersey Transit Corporation over the next nine months. Each purchase will be financed in part with term loans under a credit facility provided by Barclays Bank PLC.

Advising Société Générale in connection with the New Jersey Transit transaction were Stephen Millman and John Imhof in New York, Laurence Martinez-Bellet in Paris and Richard Goodman in London.

New Jersey Transit Corporation is an agency of the State of New Jersey and the third largest provider of bus, rail and light rail transit in the United States.

Stephen Millman, a partner in the New York office, commented: "Watson, Farley & Williams has been acting for Société Générale in several recent financings, including in the New York office, but this financing for the French bank required continuous consultation among lawyers in our New York, Paris and London offices to attain the desired results. This deal illustrates the importance of cross-border teams in structuring complex finance deals in today’s markets.

Merrill Mason Invited Speaker at UNC on "Cyberspace" Law Issues q
Smith Anderson partner Merrill Mason made a presentation to students in a Cyberspace Law class at the University of North Carolina School of Law.

Mr. Mason is well-recognized for his experience in providing legal and business guidance to many Triangle-area start-up and technology organizations. His presentation offered students insights into the practical legal issues of concern for software and other technology-based companies that have a web presence. The interactive session focused on specific intellectual property and other legal challenges faced by these companies.

Mr. Mason practices in the areas of corporate and securities law. He represents emerging and entrepreneurial companies and focuses his practice on venture capital; securities; mergers and acquisitions; intellectual property; and general corporate matters.

A frequent invited speaker and author, Mr. Mason also teaches Legal Issues for Start-Ups at the University of North Carolina's Kenan-Flagler Business School.

Schwartz Cooper Retained by MGM Mirage and Perini Building Company for CityCenter Project Training Program in Las Vegas
Schwartz Cooper is pleased to announce that the firm has been engaged by MGM Mirage and Perini Building Company to develop, administer and teach a training program for minority, women and diversity subcontractors working on the MGM CityCenter Project in Las Vegas. At 18 million square feet and estimated to cost over $7 billion, the CityCenter development is the largest privately funded construction project in U.S. history.

Attorneys Michelle Kantor, Ronald Grais and Joan Eagle will serve as instructors for the two-day training program. The program, “Construction and Business Management Program for Diversity Contractors," will include the following courses:

* Estimating: Right and Wrong Ways
* Scheduling Basics
* Banking and Financial Management
* Employment Law and Employer Responsibilities
* Critical Project Management Skills
* Understanding the Plans and Specifications
* Construction Law, Contracts and Claim Avoidance
* Leadership Skills and Ethics ; and
* E-Construction, E-Signatures and Technology

Ms. Kantor will teach the “Construction Law, Contracts and Claim Avoidance” and “E-Construction, E-Signatures and Technology” courses. Mr. Grais will teach the "Leadership Skills and Ethics" program, and Ms. Eagle will lead the "Employment Law and Employer Responsibilities” session. Other instructors include representatives from Fifth Third Bank; The Kenrich Group LLC; Industria, Inc.; Crandall Ritzu Architects; and Broadway Consolidated Companies, Inc.

As head of Schwartz Cooper’s Construction Practice Group, Ms Kantor is a regular presenter at construction industry seminars, conventions and trade association meetings nationwide. She also leads training programs on a variety of topics including, construction contract writing and negotiation, construction law, mechanics' liens, contract management, conflict resolution techniques, procurement law, design liability, technology law, and e-construction law.

Mr. Grais and Ms. Eagle also are experienced presenters. Mr. Grais, Schwartz Cooper’s Chief Operating Officer, has addressed legal and real-estate professionals on the subject of downtown redevelopment at national conferences, including the Urban Land Institute National Convention, the International Downtown Association National Conference, the Urban Mass Transit Agency National Symposium, and the International Council of Shopping Centers/HUD Conference on Centralized Retail Management. Ms. Eagle is head of Schwartz Cooper’s Labor & Employment practice and chair of the firm’s annual Employment & Business Law Seminar. She frequently speaks about labor and employment issues for organizations including, the North Shore Professional Women's Association, the Industrial Council of Nearwest Chicago, Illinois Women in Business, and the Council on Education in Management.

Stradley Ronon Adds Four Associates
Stradley Ronon has added Craig A. Gargano, Ryan M. Orr, Christopher E. Pushaw and Julia M. Rafferty as associates in the firm’s Philadelphia office.

As a member of Stradley Ronon’s business practice group, Gargano focuses his practice on structured finance, public and private securities work, private-equity investments, joint ventures, mergers and acquisitions, and other general business matters. Prior to joining Stradley Ronon, he was an associate with Pepper Hamilton, LLP in Philadelphia. Gargano received his J.D. from the University of Pennsylvania Law School.

As a member of Stradley Ronon’s investment management/mutual funds practice group, Orr advises clients in matters pertaining to the registration and regulation of investment companies and investment advisers under federal and state securities laws. Prior to joining Stradley Ronon, he was an associate with Ballard Spahr Andrews & Ingersoll, LLP in Philadelphia. Orr graduated from the University of Pennsylvania Law School.

As a member of Stradley Ronon’s litigation practice group, Pushaw concentrates his practice on complex commercial and securities litigation, and RICO matters. Pushaw received his law degree from Yale Law School.

Bruce Fenton Talks with The Record About Selling a Small-Business
Pepper Partner Bruce Fenton recently talked with The Record about some of the dos and don’ts for small-business owners looking to sell.

Fenton helps small-business owners sell their companies. Part of the process, he says, involves helping owners set aside their emotions over parting with something that is practically a family member, as well as valued employees who might end up jobless.

Nutter selected as 2007 recipient of PAIR Project pro bono award
The Political Asylum/Immigration Representation (PAIR) Project has selected Nutter as the recipient of its 2007 pro bono award. PAIR specifically mentioned the work of Christa von der Luft, partner in the Litigation Department, as an example of the excellent representation Nutter has provided to indigent asylum clients. The award will be presented to the firm at a gala reception on June 5.

The PAIR Project is committed to providing legal services to secure the safety and freedom of asylum seekers and to promoting the rights of immigration detainees. This is accomplished through the Pro Bono Asylum Program and the Detention Center Program.
