Keating Muething & Klekamp is Accepted as a "DAD" by Pink Sheets, LLC
"Keating Muething & Klekamp PLL (KMK), a Cincinnati law firm, has been accepted as an Attorney Designated Advisor for Disclosure (DAD) for OTCQX listed companies by Pink Sheets, LLC. As a DAD, KMK will provide general corporate legal advice with respect to clients'' OTCQX listing requirements, as well as securities law compliance, generally.

Initially KMK will serve as the DAD for Meritage Hospitality Group, a publicly traded corporation headquartered in Grand Rapids, Michigan which owns and operates 49 Wendy’s restaurants and five O’Charley’s restaurants.

The OTCQX is a new market tier offered by Pink Sheets that provides a premier trading, quotation and disclosure venue for the securities of the highest quality companies in the U.S. OTC markets. Companies that have substantial operating businesses and provide credible disclosure to the public may qualify for the premium tier OTCQX, which commenced trading on March 5, 2007. Each OTCQX company must nominate either an Investment Banker or an Attorney as their DAD to advise them in providing disclosure to the market and meeting the OTCQX listing requirements. The DAD advisory role will bolster investor confidence in the quality of OTCQX issuer disclosure.

Milbank Attorney Janet K. Parkhurst Recognized for Leadership in Human Resources Outsourcing
The Human Resources Association (“HROA”) has nominated Janet K. Parkhurst, an attorney at the international law firm Milbank, Tweed, Hadley & McCloy LLP, for the association’s “Attorney of the Year” Award. “Attorney of the Year” is one of fourteen awards that HROA will present at its “Awards Gala” dinner in New York City on April 17, 2007. Ms. Parkhurst works in Milbank’s Strategic Sourcing & Technology Group in the New York office.

In 2006 Ms. Parkhurst was the lead attorney on three major human resources outsourcing (“HRO”) deals: Johnson & Johnson, Avon, and Cendant. She also developed ground-breaking HRO arrangements for AT&T/Aon; Home Depot/Hewitt; Synovus/ADP; Cendant/Accenture; and DuPont/Convergys.

Ms. Parkhurst is recognized by leading industry observers as a thought leader in HRO. Most recently, Chambers USA 2006 referred to Ms. Parkhurst as a young outsourcing attorney “to watch.”

Mayer, Brown, Rowe & Maw advises TIAA-CREF on its acquisition of Printemps de l'Homme for 186 million Euros
International law firm Mayer, Brown, Rowe & Maw LLP has advised TIAA-CREF on its 186 million Euros acquisition of Printemps de l'Homme, a major retail property located in the centre of Paris, from KANAM.

TIAA-CREF is the leading U.S. provider of retirement services in the academic, research, medical and cultural fields. It is also one of the largest institutional real estate investors. The latest acquisition is a key addition to its existing US$1.35 billion European real estate portfolio, focused primarily on the core UK and French markets.

Laura McGrath, Managing Director of TIAA-CREF's European investment programme adds: "We are very excited about this investment. In line with our diversification strategy, the deal has enabled us to extend our existing French portfolio to include retail."

Kramer Levin Aids Successful Defense of Executive Order Respecting Marriages of Same Sex Couples
A New York trial court has declared lawful an executive order issued by Westchester County Executive Andrew J. Spano directing county agencies to recognize the marriages of same-sex couples validly contracted out-of-state. Justice Joan B. Lefkowitz of New York Supreme Court, Westchester County, dismissed an action brought by conservative religious activists claiming that Spano had acted illegally in following the lead of then-Attorney General Eliot Spitzer and other government leaders who had opined that New York law required recognition of such marriages. The suit was defended both by the county and by same-sex spouses who moved to intervene as defendants, represented by Kramer Levin and Lambda Legal Defense and Education Fund.

Echoing arguments made by Lambda Legal and Kramer Levin, Justice Lefkowitz ruled that "[a]bsent legislation or [an] appellate court ruling that declares same-sex marriages out-of-state void here, though valid there, there is no positive law to interdict recognition of the marriage." The court also noted the variety of rights recently extended to same-sex couples to demonstrate why recognizing valid out-of-state marriages was not abhorrent to public policy, but indeed required by long-established comity-rooted principles.

STEFANIE M. STEIN JOINS WHITEFORD, TAYLOR & PRESTON

WFW advise Citigroup on $1bn refinancing of Celtel Nigeria
Watson, Farley & Williams LLP (WFW) have advised Citigroup on a US$984m refinancing and provision of an additonal US$450m foreign currency facility, to enable Celtel Nigeria to further roll out its mobile telephone business in Nigeria.

Using this new facility Celtel Nigeria will embark upon the accelerated expansion of its already broad network in order to reach even more of the potential 140m subscribers within Nigeria. WFW also advised on the original financing to provide the initial tranche of funds to enable the roll out of the first stage of this project back in 2005.

WFW have long been associated with specialist finance projects in Sub-Sharan Africa, whether corporate transactions relating to the mining sector, private equity investments, or the raising of corporate funds. It is the particular expertise we have in this market which enables the firm to provide practical advice and solutions to the growing business market.
