Honeywell International Inc. Debt Offering
Davis Polk & Wardwell advised Banc of America Securities LLC, Barclays Capital Inc. and Citigroup Global Markets Inc. as joint book-running managers on an SEC-registered offering by Honeywell International Inc. of $1 billion aggregate principal amount of senior notes. The offering consisted of $400 million principal amount of 5.3% senior notes due 2017 and $600 million principal amount of 5.7% senior notes due 2037.

Honeywell International Inc. is a diversified technology and manufacturing company, serving customers worldwide with aerospace products and services, control sensing and security technologies for buildings, homes and industry, turbochargers, automotive products, specialty chemicals, electronic and advanced materials, and process technology for refining and petrochemicals.

The Davis Polk corporate team included partners Winthrop B. Conrad Jr. and Richard A. Drucker and associate Patrick Jackson (not yet admitted). Partner Dana L. Trier and associate Kimberly A. ANADIGICS, Inc. Common Stock Offering
Davis Polk & Wardwell advised Credit Suisse Securities (USA) LLC as sole bookrunner and Craig-Hallum Capital Group LLC, Jeffries & Company, Needham & Company, LLC and ThinkEquity Partners LLC as co-managers on a $105.7 million SEC-registered offering of common stock by ANADIGICS, Inc. The offering consisted of 8,625,000 shares of common stock listed on the NASDAQ Global Market.

Based in Warren, New Jersey, ANADIGICS, Inc. is a leading global provider of radio frequency integrated circuits and radio frequency front-end solutions in the rapidly growing wireless handset and broadband communications markets.

The Davis Polk corporate team included partner Alan F. Denenberg of the Menlo Park office and associates Hiro N. Aragaki and Mehrsa Baradaran and legal assistant Maria Norbis, all of the New York office.

The Hartford $500 Million Debt Offering
Davis Polk & Wardwell advised Citigroup Global Markets Inc. and J.P. Morgan Securities Inc. as joint book-running managers on a $500 million SEC-registered offering by The Hartford Financial Services Group, Inc. of its 5.375% senior notes due 2017.

The Hartford is one of the nation’’s largest financial services and insurance companies and a leading provider of investment products, individual life, group life and disability insurance products, and property and casualty insurance products.

Touro Law School To Recognize Rigano For Pro-Bono Work
Touro College Jacob D. Fuchsberg Law Center will bestow upon James P. Rigano its “Outstanding Pro Bono Attorney Award” at the Center’s Annual Goods and Services Auction. Mr. Rigano, a Partner at Certilman Balin, has concentrated his practice exclusively in environmental law for more than two decades.

Mr. Rigano serves on the Board of the Association for a Better Long Island, Nassau County Boy Scouts, and has served on the boards of the Long Island Life Science Initiative, Sustainable Long Island, and the Central Pine Barrens Advisory Committee. He co-chairs the Continuing Legal Education Committee of the Environmental Section of the New York State Bar Association. Additionally, he is Chairman of Boy Scout Troop 568 and serves on the Parish Council of St. Paul’s Greek Orthodox Church.

Mr. Rigano earned his Juris Doctor degree from Hofstra University School of Law in 1982. He also holds a Master of Science degree in Biology from New York University and a Bachelor’s degree in Marine and Environmental Science from Adelphi University.

Governor Appoints Briggs and Morgan Attorney to MN Sentencing Guidelines Commission
Briggs and Morgan attorney Kari Berman has been named one of seven governor-appointed members of the Minnesota Sentencing Guidelines Commission. She is the only new addition among several reappointments. Berman will serve a four-year term that expires Jan. 3, 2011. Kari Berman is a shareholder in the firm of Briggs and Morgan, Professional Association. She is Articles Nexis member of the business litigation section and in her practice, has handled a variety of business issues, including contract disputes, employment law, ERISA, civil RICO, products liability and tort claims. She joined the firm at the close of 2006 after previously serving as president of her own boutique law firm.

This is Berman’s second appointment by Gov. Tim Pawlenty, who also selected her to be a commissioner of the Metropolitan Airports Commission (MAC) between the years of 2003 and 2006.

The Minnesota Sentencing Guidelines Commission develops and maintains rational and consistent sentencing standards that seek to reduce sentencing disparity, increase proportionality in sanctions, and ensure more equitable and uniform sentencing for convicted felons. The commission consists of 11 members, including seven appointed by the governor.
