Four Prominent Lawyers From Venable Move To Miles & Stockbridge
Miles & Stockbridge P.C. announced today that four lawyers from Venable LLP have joined the firm. J. Michael Brennan, Sandra L. Howard, Charles E. Rosolio and Theresa J. Withers-Williams bring a significant amount of experience in banking and finance; corporate and securities; franchise and distribution and real estate law to the firm and its Towson office.

"Miles & Stockbridge is committed to enhancing its competitive position in the mid-Atlantic region by expanding the range and depth of services that are important to businesses operating within and from the region," said John Frisch, chairman and chief executive officer. “We are thrilled to have Mike, Sandy, Chuck and Theresa on our team.”

The group will work with middle-market companies – a specific focus of Miles & Stockbridge’s work. "We share the firm's focus and we are looking forward to working with the Miles & Stockbridge team to expand the firm's business and real estate capabilities in those areas," said Rosolio.

Lawyer Biographies:

J. Michael Brennan represents developers, businesses and financial institutions in real estate, corporate and other transactional matters. Mr. Brennan represents lenders and borrowers in asset-based lending and real estate financing, negotiating and documenting the purchase, sale and development of all types of real estate, drafting and reviewing commercial leases, and representing clients in property tax appeals, in connection with land trusts and conservancies, and in environmental matters.

He also represents businesses in entity formation, corporate governance and general corporate matters, negotiating and documenting the purchase and sale of businesses, providing general counseling for corporations, partnerships and limited liability companies, and drafting and reviewing employment agreements, stockholders and partnership agreements, non-compete agreements and general commercial contracts.

In addition, Mr. Brennan is a regular speaker on general real estate, commercial lending and land preservation programs and is a member of the Board of Chesapeake Habitat For Humanity and the Baltimore County Loan Review Board. Before joining Miles & Stockbridge, Mr. Brennan worked as a partner with Venable in the areas of real estate areas of real estate, corporate and loan transactions.

Sandra L. Howard represents financial institutions, regional and national developers, homebuilders, and other businesses on a broad range of commercial real estate matters. She represents a number of local, regional and national lenders in real estate lending transactions. In addition, she represents regional and national developers in land acquisition, development, leasing, and related real estate matters. She also represents commercial landlords and business tenants in office, retail, and industrial leasing matters. Before joining Miles & Stockbridge, Ms. Howard worked as a partner with Venable in the firm’s Real Estate practice group.

Charles E. Rosolio represents private and publicly held businesses on a diverse range of corporate and other transactional matters. He serves as general counsel to numerous privately held corporations, business entities, health care, and other professional practices throughout the United States, working closely with company management on matters involving mergers and acquisitions, asset sales, joint ventures, venture capital investments, financing transactions, and general corporate planning. Mr. Rosolio also has helped global companies and their on-shore affiliates with major corporate reorganization and restructuring.

In addition, Mr. Rosolio represents both private and publicly held companies who operate as franchisors, sub-franchisors, multi-unit franchisees in the operation of their franchise businesses, and other companies engaged in the national distribution of products. He is an Adjunct Professor of Law at the University of Maryland School of Law, where he teaches a course on Franchise Law. Mr. Rosolio is an author and frequent contributor to national franchise publications. He also is a frequent presenter and participant at various national franchise organizations, and was a recent member of the International Franchise Association Legal Symposium Program Planning Task Force. Before joining Miles & Stockbridge, Mr. Rosolio worked as a partner with Venable.

Theresa J. Withers-Williams is a corporate lawyer who represents businesses on a diverse range of other corporate and transactional matters, including mergers and acquisitions, asset sales, joint ventures, venture capital investments, financing transactions and general corporate planning. She also represents both private and publicly held companies operating as franchisors, sub-franchisors, multi-unit franchisees in the operation of their franchise businesses, and other companies engaged in the national distribution of products. Before joining Miles & Stockbridge, Ms. Withers-Williams worked as a corporate lawyer with Venable.

H&H Stays Ahead of the Class in Musicland
Chief Judge Bernstein of the Bankruptcy Court for the Southern District of New York issued a written decision denying a motion to certify a class action in the Musicland bankruptcy cases. The decision was based on the objection of Musicland's Creditors' Committee, who is represented by Hahn & Hessen. The decision is crucial to the underlying cases as the pending confirmation of a liquidating plan could have been derailed if the Court had certified the class action and allowed it to proceed. Partner Mark Power and Associates Edward Schnitzer and Jeffrey Zawadzki handled the matter.

Greenberg Traurig Shareholder Norman J. Benford Teaches College Course on Estate Planning
Norman J. Benford, a shareholder in the Miami office of Greenberg Traurig, LLP and head of the firm’s national trusts and estates practice, recently taught a course in the LLM Program in Estate Planning at the University of Miami School of Law on the subject of international estate planning.

A graduate of Yale University (B.A.) and Yale Law School (LL.B.), Mr. Benford who is Board Certified in Estate Planning and Probate Law by the Florida Bar Board of Legal Specialization and Education, focuses his practice on counseling high-net-worth individuals and families on estate planning, tax issues, non-tax family matters and business succession. He also represents individuals and institutions serving as fiduciaries of estates, trusts and guardianships in connection with family disputes and disputes with the Internal Revenue Service.

Mr. Benford is a member of the American College of Trust and Estate Counsel (having served as a Regent and member of the Exclusive Committee of the College and President of ACTEC Foundation) and is also a member of the Advisory Committee of the Philip E. Heckerling Institute on Estate Planning and the International Academy of Estate and Trust Law.

Federal Court Denies Effort By Tata America International To Dismiss Class Action Lawsuit Against Tata For Requiring Workers to Hand Over Federal and State Tax Refunds
Class counsel announced that District Court Judge Vaughn Walker yesterday denied the motion of Tata America International Corporation and its parent corporations Tata Consultancy Services, Ltd., and Tata Sons, Ltd. (collectively referred to as "Tata") to compel arbitration in India and dismiss the nationwide class action lawsuit in United States court. The complaint, brought in Federal court in San Francisco by Gopi Vedachalam, an employee of Tata America International Corporation, alleges Tata unjustly enriched itself by requiring all of its non-U.S.-citizen employees to endorse and sign over their federal and state tax refund checks to Tata.
"Judge Walker upheld the principle that before a company can force an employee working in the United States to give up the right to have his or her claims heard in a United States court, it must show that both the company and the employee clearly and mutually agreed that these claims would be heard elsewhere," stated Steven M. Tindall of Rukin Hyland Doria & Tindall, co-class counsel for plaintiffs. "The Court found that the documents purportedly requiring arbitration in India applied one set of rules to Mr. Vedachalam and another set to Tata, negating any mutual agreement to arbitrate legal disputes."
"The Court's order ensures that Mr. Vedachalam will have his day in court in the United States before a neutral judge, not in India in front of a private arbitrator of Tata's choosing," explained Kelly M. Dermody of Lieff Cabraser Heimann & Bernstein, LLP, also co-class counsel for plaintiffs. "Mr. Vedachalam and the thousands of workers he seeks to represent are an important step closer to obtaining justice."
The complaint alleges further that, at least until July 2005, Tata required its non-U.S.-citizen employees to sign power of attorney agreements delegating an outside agency to calculate and submit each employee's tax return to state and federal authorities. Tata then required its non-U.S.-citizen employees who received tax refunds from state and federal
tax authorities to endorse the tax refund checks and send them back to Tata. Under California Labor Code Section 221, it is unlawful "for any employer to collect or receive from an employee any part of wages theretofore paid by said employer to said employee." The complaint charges that Tata's conduct violates this Code section as well as the common law forbidding unjust enrichment and conversion.
From 2000 to 2003, plaintiff Gopi Vedachalam worked in Hayward, California, as a Tata project manager assigned to Target. Since 2003, he has worked as a Tata project manager for 21st Century Insurance in Woodland Hills, California.
One of India's largest business conglomerates, Tata's revenues in the last fiscal year totaled nearly $22 billion. The proposed class consists of thousands of current non-U.S. citizen employees of Tata working in the United States, plus former Tata employees dating back to 2000. Mr. Vedachalam seeks compensation and damages for current and former employees who were not paid what they were promised and who were deprived of their tax refunds.

Farella Braun + Martel Named Among Top Law Firms For Diversity By Multicultural Law Magazine
Farella Braun + Martel has been honored by Multicultural Law magazine as one of the "Top 100 Law Firms for Diversity." The survey, conducted by the annual publication, analyzes information collected from more than 200 law firms. The resulting list was published in the 2007 issue, which reaches more than 40,000 readers and is now available.

Farella Braun + Martel maintains a diverse employee roster and has launched various initiatives to support its efforts. HARVARD LAW’S CHARLES HAMILTON HOUSTON INSTITUTE TO HOST EVENT COMMEMORATING DRED SCOTT RULING
The Charles Hamilton Houston Institute for Race & Justice at Harvard Law School will host “The 150th Anniversary of Dred Scott v. Sandford: Race, Citizenship & Justice,” a national conference sponsored by Bingham McCutchen LLP, on April 6-7 to observe the historic U.S. Supreme Court decision and analyze its significance and its contemporary implications.
U.S. Supreme Court Associate Justice Stephen G. Breyer will preside over a mock court argument that will reconsider Dred Scott v. Sandford, the 1857 case that ruled on the citizenship status of African-Americans. Several federal judges, noted lawyers and legal scholars from throughout the United States will join Breyer for this historic event on April 7, including Kenneth Starr, dean of Pepperdine University School of Law, Drew Gilpin Faust, president-elect of Harvard University, and Derrick Bell, a professor at New York University School of Law.
“We are delighted to have Bingham McCutchen sponsor this historic reconsideration of the Dred Scott case on the 150th anniversary of the opinion,” said Charles J. Historians and legal scholars also will participate in several panel discussions that will examine the significance of the March 6, 1857, ruling, the issues of citizenship and jurisdiction, and a constitutional analysis of the case’s significance today.
The conference also will include a panel discussion examining the implications of Mendez v. Westminster, a case that predated Brown v. Board of Education and ruled that the segregation of Mexican-American school children was unconstitutional. Another panel will feature survivors of the Tulsa Race Riot of 1921, in which an entire neighborhood in Tulsa, Okla., was destroyed and hundreds were killed.
