Masco Notes Offering
Davis Polk & Wardwell advised Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc. and J.P. Morgan Securities Inc. as joint book-running managers on an SEC-registered debt shelf takedown by Masco Corporation of $300 million aggregate principal amount of floating-rate notes due 2010 and $300 million aggregate principal amount of 5.85% notes due 2017.

Based in Taylor, Michigan, Masco manufactures, distributes and installs home improvement and building products, with emphasis on brand name products and services holding leadership positions in their markets.

The Davis Polk corporate team included partner Bruce K. Dallas of the Menlo Park office and associates Nadine M. Arendt and Jeremy M. Schwartz (not yet admitted) of the New York office. The tax team included partner Po Sit and associate Arie Rubenstein (not yet admitted) of the New York office. Danielle Y. Eswar of the New York office was the legal assistant on the transaction.

Cox Smith Matthews Expands Dallas Presence, Further Strengthens Litigation Capabilities
Cox Smith Matthews Incorporated today announced that Chris Gilbert and Marcus Johnson have joined the firm’s Dallas office. Gilbert will continue to focus on complex commercial and business litigation while Johnson’s practice will center on intellectual property litigation.

“These attorneys add additional depth to our Dallas office in a manner consistent with our strategy,” said Managing Director Jamie Smith. “Since its inception, our goal in Dallas has been to assemble an experienced and talented team to focus on bankruptcy, bankruptcy litigation, intellectual property, intellectual property litigation, and business and commercial litigation. Chris and Marcus will be key players on this team.

Chris joins the firm as a shareholder and has extensive experience in litigation, representing both plaintiffs and defendants in complex business and commercial litigation, including bankruptcy and creditors’ rights, and intellectual property litigation. During his years in practice, in addition to a wide variety of commercial litigation, Chris has represented creditors in the enforcement of claims and judgments in excess of $450 million.

Chris received his J.D. from the University of North Carolina School of Law and his B.A. and M.A. from Midwestern State University. Prior to joining Cox Smith Matthews, Chris was a partner at Nashville-based Boult Cummings Conners & Berry PLC, where he was actively involved with TAGLaw, one of the largest global legal networks. Chris will continue his role as Co-Chair of the TAGLaw Litigation and Alternative Dispute Resolution Specialty Group in his new position at Cox Smith Matthews.

Marcus joins the firm as an associate after completing two judicial clerkships. From 2004-2005, he clerked at the Mississippi Supreme Court with Presiding Justice Kay B. Cobb, and the following year, he clerked with United States District Judge T. John Ward in the Eastern District of Texas. Marcus received his J.D. from Baylor University School of Law, and his B.A. and M.A. from Baylor University.

Chris’s and Marcus’s additions come on the heels of steady growth for the Dallas office, with the recent addition Zachery Annable, and it further strengthens the firm’s bankruptcy, litigation and intellectual property practices in the Dallas area. Their work and expertise will compliment the efforts of David M. Bryant, the senior litigator in the Dallas office, and Deborah D. Williamson, head of Cox Smith Matthews’ Bankruptcy and Creditor’s Rights Department. Marcus will work closely with David Henry, an IP shareholder in the Dallas office, and Pam Huff, head of the firm’s IP department.

Manko, Gold, Katcher & Fox Attorney's to Lead Workshops at the Pennsylvania Bar Institute's Environmental Law Forum 2007
Jill Hyman Kaplan, Joseph Manko, Brenda H. Gotanda, Michael Meloy, Jonathan Rinde, and Todd Kantorczyk, attorneys with Manko, Gold, Katcher & Fox, LLP (MGKF), an environmental and land use law firm, will participate in a series of workshops to address fellow lawyers on a variety of topics including green technology and how to help clients gain an environmental advantage at the Pennsylvania Bar Institute’s Environmental Law Forum 2007. The two-day educational forum will be held at the Harrisburg Hilton and Towers in Harrisburg, Pa on Wednesday, April 11 and Thursday, April 12.

With small businesses and corporations “going green,” competition is not only about cost and quality, but also environmental performance. This year’s Environmental Law Forum will focus on how to gain the “environmental advantage.” Workshops will cover new developments in legislation, litigation, water, energy and real estate.

Jill Hyman Kaplan serves as a course planner at the Environmental Law Forum. With a wide range of experience in environmental counseling and litigation, her current practice includes matters relating to brownfields redevelopment, environmental aspects of real estate development and management; environmental, health and safety audits, asbestos, mold and indoor air quality, lender liability; environmental insurance; hazardous and non-hazardous waste regulations; storm water; OSHA issues, and site contamination and cleanup. Kaplan is a past chair of the Environmental, Mineral and Natural Resources Law Section of the Pennsylvania Bar Association.

Joseph Manko, a founding partner of Manko, Gold, Katcher & Fox, LLP, will moderate the panel discussion on Federal and State Environmental Issues. Manko, who has 33 years of experience in environmental law, is a strong advocate and academic expert on environmental compliance and protection. Recently, he has delivered lectures on global warming to local and international audiences, including his presentation in December 2006 at an international conference in Bariloche, Argentina. Manko has served as a lecturer-in-law at the University of Pennsylvania Law School, teaching courses on environmental law, practice and policy, and as a guest lecturer at Vermont Law School.

Brenda H. Gotanda will moderate the panel discussion on Water Permitting. Gotanda counsels and represents businesses, industry, private parties and coalitions on a wide variety of environmental issues in regulatory, transactional, permitting, and enforcement matters. She serves on the Radnor Township Environmental Advisory Committee and is a founder and Director Emeritus of the Society of Women Environmental Professionals of Greater Philadelphia (SWEP), a non-profit organization formed as a resource for women in the environmental field.

Michael Meloy will lead the panel discussion on General Permits and Permits by Rule. Meloy has a legal and engineering background and represents clients in connection with a broad spectrum of environmental litigation, regulatory and transactional issues. He chairs the Solid Waste Advisory Committee for the Pennsylvania Chamber of Business and Industry and serves on the Clean Fill Subcommittee of the Pennsylvania Cleanup Standards Scientific Advisory Board. Meloy has taken a leading role on behalf of the regulated community in the development and implementation of Pennsylvania's waste regulations. He is a member of the Delaware Basin Regional Water Resources Committee and has chaired the Agricultural Law Committee of the Pennsylvania Bar Association. He is also a member of the Advisory Council of the Department of Civil and Environmental Engineering at the University of Delaware.

Jonathan Rinde will moderate the panel discussion on Endangered and Threatened Species and Sensitive Habitats. Rinde focuses his practice on matters relating to environmental aspects of real estate development and management, water, waste and air regulation and permitting, wetlands regulations, brownfields redevelopment, military base conversions, business transactions and environmental litigation. He is on the board of directors of the Conservancy of Montgomery County and also serves as a member of the Montgomery County Agricultural Lands Preservation Board.

Todd Kantorczyk will moderate the panel discussion on Energy and the Environment. He focuses his practice on regulatory compliance counseling and litigation, particularly in the areas of air, climate change and energy. Kantorczyk is a member of the American Bar Association Section of Environment, Energy and Resources.

PHILLIPS LYTLE PARTNER ADAM S. WALTERS PARTICIPATED AS LORMAN EDUCATION SERVICES PRESENTER AT SEQRA SEMINAR
Adam S. Walters, a Partner with Phillips Lytle LLP, one of the region’s largest full service law firms, participated in a Lorman Education Services seminar about the State Environmental Quality Review Act. Alston & Bird Receives the Atlanta Gay & Lesbian Chamber of Commerce Corporate Community Ally of the Year Award for 2007
Alston & Bird received the 2007 Corporate Community Ally Award presented by the Atlanta Gay & Lesbian Chamber of Commerce. This is the second year in a row the firm has been nominated. The award was presented at the Annual Awards Dinner & Celebration on Wednesday, March 14, at the Fox Theatre, in Atlanta. Peter Varney, associate in Atlanta office, received the award on behalf of the firm. Nominees are judged on their accomplishments, their activity in the GLBT community, as well as what separates them from their peers and competitors.

Judge Dismisses Charges Against Former Hewlett Packard Chairman Patricia Dunn
James Brosnahan of Morrison & Foerster, lead counsel for former Hewlett-Packard (NYSE:HPQ) Chairman Patricia Dunn, today announced that all charges against Ms. Dunn have been dismissed by the judge.

"We have maintained from the beginning that Pattie Dunn was innocent and thus vigorously fought the charges against her. Today, the judge dismissed the case. Ms. Dunn did not plead to anything. This is the right result," stated Mr. Brosnahan.

"We had numerous discussions with the California Attorney General's office and appreciate very much that the administration of the new Attorney General decided to allow the judge to dismiss the case against Pattie Dunn," he added.

Ms. Dunn stated, "I am pleased that this matter has been resolved fairly, and want to express my deep gratitude to my husband and family, who never lost faith in me throughout this ordeal. I have been strengthened by wonderful support during this difficult time - both from my dear friends and from people I have never met. I have always had faith that the truth would win out and justice would be served - and it has been."
