Strasburger Represents Ekco S.A.B. in Acquisition of Largest Aluminum Smelter in Mexico
Ekco, S.A.B., represented by Strasburger & Forastieri, S.C., acquired aluminum products maker Industria Mexicana del Alumunio, S.A. de C.V. (Imasa), in a US$23.4 million all-cash deal that closed on February 28, 2007.

Based in Mexico City, Ekco manufactures and sells cookware and cutlery home products. Imasa owns the largest aluminum smelter and rolling mill in Mexico, specializing in the fabrication of laminated aluminum products such as discs, rolls, sheets and plates.

Jose Ramón Elizondo Anaya, Chief Executive Officer of Ekco, commented, "The acquisition will enable Ekco to enhance its position as a leading supplier of quality products to retailers." Ekco expects Imasa to boost the company’s sales by 75% this year and to provide operational synergies in the medium term. Mr. Elizondo continued, "We had an outstanding group of legal advisors from Strasburger & Forastieri who helped us negotiate the complexities of the deal."

Strasburger & Forastieri, S.C. is a joint venture between Texas-based law firm Strasburger & Price, LLP and Mexico City law firm Forastieri Abogados, S.C. James W. Saxton Presents at ACI's Bariatric Surgery Centers of Excellence Conference
James W. Saxton, Chair of Stevens & Lee’s Health Care Litigation Group and Co-Chair of the Health Care Department was invited as the Keynote Speaker at the Active Communication International’s (ACI) Bariatric Surgery Centers of Excellence Conference held March 8-9 in San Francisco, California.

Mr. Saxton presented to surgeons, “Reducing Your Bariatric Risk While Enhancing Your Program,” where he discussed the professional liability landscape for bariatric programs with a focus on how to proactively reduce risk not with defensive medicine, but with excellence. The discussion included what other surgeons are doing to change their liability equation.

Mr. Saxton lectures frequently and is an invited speaker across the country on health care issues, including liability reduction and risk management. He presents to nationally prominent health care organizations such as the American Society for Healthcare Risk Management, the Medical Group Management Association, the American College of Surgeons and the American Health Lawyers Association.

Mr. Saxton is an active trial lawyer – a practice he has sustained for over 25 years – representing providers, including hospitals, physicians and retirement communities, in state and federal court and administrative proceedings. His practice includes litigation, licensing and medical staff issues. He uses his extensive experience as a litigator to advise hospitals, medical groups and retirement communities throughout the United States in connection with understanding and reducing their professional liability risk.

In addition to his trial practice, Mr. Saxton develops risk reduction strategies for health care providers and organizations nationwide and has created innovative strategies and educational programs to support them. This includes the creation of complete customized loss control programs and event management systems for self-insured organizations and captive insurance groups. Mr. Saxton has published more than 200 articles, several handbooks and four textbooks including most recently, Five-Star Customer Service: A Step-by-Step Guide for Physician Practices.

Danielle Mettler Joins Hiscock & Barclay’s Environmental Group
Danielle E. Mettler joins the Rochester Office of Hiscock & Barclay, LLP as an Associate Attorney. Mettler handles a wide array of environmental matters. Gunster Secures Sale of Dania Jai Alai

THE DEAL: Berger Singerman attorneys represented The Aragon Group, the owners of Dania Jai Alai, and its shareholders in the sale of the equity in the company to Boyd Gaming (NYSE: BYD). The equity of The Aragon Group, which owns the facility and the surrounding 50 acres of land, was purchased for $77.5 million paid at closing for the facility and its related land, and an additional $75 million in March 2010 (or earlier) if certain conditions are satisfied.

DETAILS: Through an amendment to the Florida Constitution in November 2004, and state legislation passed in January 2006, Dania Jai Alai became one of four Broward County facilities granted approval to operate 1,500 Class III slot machines and has received its slot machine license to install and operate slot machines at the facility.

Boyd Gaming Corporation is one of the premier casino entertainment companies in the United States. It was represented locally by Mahesh Nanwani, Bill Perry, Mark Scheer and Gaida Zirkelbach of Gunster Yoakley & Stewart in the transaction. The company has stated that it intends to implement a master plan design, which will include an expansive gaming floor, poker room, a variety of restaurants, and entertainment lounges. In addition to the casino facility, the company will continue to offer off-track-betting and live jai alai performances and wagering.

Background: Tom Wells and Dan Lampert are Shareholders with Berger Singerman. James Berger serves as the firm’s Co-CEO. Phyllis Bean is Of Counsel with Berger Singerman. Mahesh Nanwani, Bill Perry, Mark Scheer are Shareholders with Gunster Yoakley, and Gaida Zirkelbach is an Associate with the firm.

Goldberg Kohn Supports Chicago Bar Foundation's "Investing in Justice Campaign
The Chicago Bar Foundation (CBF) has embarked on a new community-wide fundraising effort, the “Investing in Justice Campaign,” to take ownership of, and effectively address, a legal aid crisis recently identified by a widely-publicized CBF study. Goldberg Kohn principal, Matthew Zapf, is on the Steering Committee for the Campaign and will also serve as a Vice-Chair.

All of the Campaign funds in its inaugural year will be used to provide special grants to Chicago’s pro bono and legal aid organizations, to begin the process of increasing yearly salaries for attorneys to levels that will allow their staff members to remain in legal aid. In future years, funds from the Campaign will be used to further build the capacity of the pro bono and legal aid system. The first annual “Investing in Justice Campaign” will be taking place city-wide during the month of March.

“I have agreed to participate in this Campaign because I strongly believe that we are facing an imminent legal aid crisis, and I am gratified that Goldberg Kohn is fully supporting the Campaign” said Mr. Zapf. The Campaign is asking individual lawyers, law firms and corporate law departments to provide financial support to legal aid attorneys and services throughout Chicago as part of this comprehensive campaign. Currently, there are only about 250 legal aid attorneys in the Chicago area to serve the more than 750,000 Cook County residents living in poverty. As a result, more than half of low-income Chicagoans who seek legal assistance that is often critical to their safety and independence are turned away because pro bono and legal aid organizations do not have the capacity to serve them. Hundreds of thousands more are left to try to solve often complex legal problems on their own.

Moreover, a new study (available at www.chicagobarfoundation.org), published by the Chicago Bar Foundation and the Illinois Coalition for Equal Justice, takes an in-depth look at legal aid attorney recruitment and retention and reveals that nearly half will leave their jobs in the next three years because they simply cannot afford to stay given their low wages. Many have significant debt from law school and are finding the burden impossible to bear with the inordinately low salaries that are typical in our legal aid system today. The study concluded that losing just 10% of our experienced legal aid attorneys over the course of a year means that about 10,000 fewer low-income Chicagoans have access to critical legal services.

The CBF’s Investing in Justice Campaign is a unique opportunity for all Chicago area lawyers to take ownership of this problem and to make an important investment in justice.

Fish & Richardson announces new principals
Fish & Richardson announced that it has promoted sixteen attorneys to the rank of principal, or partner, of the firm. The new principals include four in the firm's Boston office, three in Dallas, two in New York, three in San Diego, two in Silicon Valley, and two in Twin Cities.
