Firm Defends Signified Investments LLC Against Fraud
"Bracewell & Giuliani LLP attorneys Coy M. Connelly and Tamara D. Stiner recently represented defendants Dennis Bordyn, David O'Keefe, and Signified Investments LLC, an investment company, against allegations of fraud and a request for declaratory judgment to void a promissory note and deed of trust.

The plaintiff sued Bordyn, O'Keefe and Signified Investments LLC to void a contract the parties entered into for a $40,000 loan secured by waterfront property. The plaintiff alleged that the defendants fraudulently induced him into entering the loan agreement and sought to void the contract due to lack of consideration.

Bordyn, O'Keefe and Signified Investments LLC countersued the plaintiff for breach of contract for failure to pay back the money under the loan and for fraud. The defendants sought $66,000 in damages, which consisted of $40,000 for the principal on the loan and $26,000 in interest, in addition to $100,000 in attorney fees. After a jury trial from February 27 through March 1, 2007, the defendants were awarded $33,000 in damages and recouped the full amount of their attorney fees."

Richard M. Rosenfeld Joins Pillsbury’s Corporate and Securities Practice as Partner
Washington: Pillsbury Winthrop Shaw Pittman LLP today announced that securities attorney Richard M. Rosenfeld has joined the firm’s Washington, DC, office as a partner.

Rosenfeld, who served more than eight years in the Enforcement Division of the Securities and Exchange Commission (SEC) and more recently as a partner with Akin Gump Strauss Hauer & Feld LLP, focuses his practice on regulatory, compliance and enforcement matters for broker-dealers, hedge funds, investment advisers and other financial service providers both in the U.S. and abroad. He provides strategic counseling to public companies, financial institutions, insurance companies, hedge funds, broker dealers and other clients on matters of securities law and compliance, with a focus on international securities regulation and enforcement.

Rosenfeld represents clients before the SEC, self-regulatory organizations and other law enforcement agencies around the globe. He has extensive federal securities laws experience, including handling matters involving insider trading, fraudulent financing, market manipulation, accounting fraud and auditor independence. Rosenfeld has also been involved in numerous criminal proceedings, both prosecuting on behalf of the U.S. Department of Justice and defending on behalf of various clients. These matters involved money laundering, tax evasion, securities fraud and bank, mail and wire fraud in the U.S. and in several foreign jurisdictions.

“Rich has an outstanding practice that dovetails nicely with our existing practices. A large percentage of our client work has an international component, which is why Rich’s background in international securities regulation and litigation should greatly benefit our clients. Moreover, his SEC and practice experience makes him an important addition to our SEC enforcement, regulatory and compliance practices, as well as our private equity and hedge fund practices,” said Bob Robbins, head of Pillsbury’s Corporate & Securities practice. “Our corporate securities practice includes about 225 lawyers, located in all of our principal U.S. offices and in London, Tokyo and Sydney; and our securities litigation and enforcement practice includes about 50 lawyers in Washington, New York, San Francisco and Los Angeles. Rich will help build our SEC compliance, regulatory and enforcement practices not only in Washington, but nationally and internationally.”

As the SEC’s representative in London, its first and only representative based outside of the United States, Rosenfeld managed and directed SEC v. AremisSoft Corp, et al, a $1.1 billion financial fraud case and the largest international freeze and repatriation in the SEC’s history. Rosenfeld also handled many other key securities fraud and money laundering cases, including several high profile matters in which Rosenfeld served as a federal prosecutor where he secured landmark sentences and repatriated laundered funds.

“Pillsbury is well known for its strong financial services representations and securities defense work, as well as bread and butter corporate, fund, M&A, capital markets and transactions practices,” said Rosenfeld. “The firm’s deep, sophisticated and growing securities practice routinely handles some of the most complex and critical securities matters for various market participants. It is an excellent fit for my clients and practice.”

Rosenfeld received his J.D. from Cornell Law School, where he was a member of the Cornell International Law Journal’s board of editors. Throughout his career he has received numerous awards, including the SEC Chairman’s Award for Excellence and the SEC Enforcement Division Director’s Award, as well as awards from other U.S. governmental agencies, including the Department of Justice, Federal Bureau of Investigations and the Internal Revenue Service.
