McGuireWoods Lands A $58 Million Verdict In Patent Case For Verizon
A team of McGuireWoods Intellectual Property litigators represented Verizon Communications, Inc. in a major victory over Internet phone provider Vonage Holdings Corp. On March 8, a jury in U.S. District Court in Alexandria found that Vonage had infringed on three patents held by Verizon and awarded Verizon $58 million. A hearing is set for March 23 on Verizon’s motion to permanently enjoin Vonage from using Verizon’s patented technology. The jury ordered Vonage to pay a royalty of 5.5 percent of future revenue to Verizon for any ongoing infringement if Vonage is not enjoined.

One of the Verizon patents involves the technology that allows Voice over Internet Protocol (VoIP) callers to make phone calls to people using traditional phones. Another patent allows custom calling features, such as “call waiting.” The third supports phone calls on Wi-Fi networks.

Tyler Addresses Cleveland Bar
Cleveland lawyer Corinne Tyler, who concentrates her practice in the field of employee benefits and executive compensation, was invited to address the Labor & Employment Law Section of the Cleveland Bar Association.

In her March 23 presentation, "Executive Compensation—IRS Code Section 409A: Traps for the Unwary," Ms. Tyler will discuss the practical side to Code Section 409A and what it really means to employment lawyers.

Ms. Tyler has considerable experience with the design, implementation, administration, amendment and termination of qualified employee benefit plans for both for-profit and tax-exempt organizations. She has represented clients before the IRS and the Department of Labor and has successfully defended fiduciaries in prohibited transaction disputes, resulting in considerable savings to her clients.

Villegas Keynote Speaker at UCLA School of Law event
Los Angeles lawyer Antonio Villegas was the keynote speaker for the UCLA School of Law's Second Annual Law Firm Diversity Reception held on February 28. The goal of the reception was to raise funds for the UCLA Law Fellows Program.

Villegas, who was a Law Fellow in 2001, was invited to speak and provide his perspective as a former Fellow who now practices at a national law firm. Thirty-eight law firms were represented and 160 prospective and current law students also attended the event, which raised over $100,000 for the program.

The UCLA Law Fellows program goal is to expand the pool of law school applicants by providing students from socially and economically disadvantaged backgrounds with intensive and ongoing preparation for law school and the law school application process.

Former U. S. Congressman Chris Bell (D-TX) Joins Patton Boggs LLP
Patton Boggs LLP is pleased to announce that former U.S. Congressman Chris Bell (D-TX) has joined the firm as Of Counsel. Mr. Bell will be based in the firm’s Dallas office and will counsel clients on a wide range of matters related to public policy and lobbying issues, administrative and regulatory matters, and litigation and dispute resolution cases.

While serving in the U.S. House of Representatives (District 25, Texas), Mr. Bell was Senior Whip, Chair and Founder of the Congressional Port Security Caucus, and a member of the Committees on Financial Services, International Relations, Science, and Government Reform. Notably, he succeeded in securing record sums for district projects, while traveling extensively to Iraq, India, and Israel with congressional delegations. He was later the Democratic nominee for Governor of Texas in 2006.

“Chris’ depth of political experience and legal capabilities will offer our clients the type of nuanced counsel that they have come to expect from Patton Boggs professionals. Before serving in the House, Mr. Bell was an at-large member of the Houston City Council and chaired its Ethics, Fiscal Affairs, and Customer Service Committees. His diverse background also includes experience in law and journalism. Most recently, he was a partner at a Houston-based commercial litigation firm. During his legal career, he has handled civil and criminal matters involving securities arbitration, employment law, contract disputes, personal injury, fraud and defamation. Mr. Bell is also a certified mediator.

Before earning his law degree, Mr. Bell worked as a television and radio anchor and reporter, covering both general news and legal and political developments. In 1990, he was named "Best Radio Reporter" by the Texas Associated Press, and during his eight-year journalism career, he was recognized for his investigative and feature reporting. Mr. Bell now writes a weekly column about state government for Houston Community Newspapers.

He attended the South Texas College of Law, earning a J.D. in 1992 and graduated from the University of Texas at Austin, with a B.J. in 1982.

Drinker Biddle Names New Partners, Counsel
Drinker Biddle & Reath LLP has named a total of 10 new partners of the firm and named an additional six lawyers as counsel to the firm. The group includes three partners and two counsel elected by Gardner Carton & Douglas LLP shortly before the merger of the two firms became effective on Jan. 1, 2007.

Attorney A. Fred Ruttenberg Joins Flaster/Greenberg’s Cherry Hill Office
A. Fred Ruttenberg (Fred) has joined Flaster/Greenberg as a shareholder and member of the firm's Business and Corporate Services Practice Group in its Cherry Hill office. A former undergraduate classmate of Richard J. Flaster, founding shareholder of Flaster/Greenberg, at the University of Pennsylvania, Ruttenberg was previously a shareholder at Blank Rome in Cherry Hill, NJ.

An accomplished corporate and securities lawyer, Ruttenberg concentrates his practice in general corporate law, securities, public and private offerings, mergers and acquisitions, loan transactions and workouts and bankruptcy and restructuring. He represents public corporations in large transactions and securities matters.

“Fred is a highly accomplished lawyer with extensive experience in public and private offerings in the mid-cap middle market, ” said Peter R. Spirgel, managing shareholder of the firm. “He will play an integral part helping counsel clients in the area of securities, venture capital financing and mergers and acquisitions and is a key addition to our business and corporate services practice group.”

Some of Ruttenberg's notable achievements include representation of a medical transcription company in an acquisition of a competitor requiring Hart-Scott-Rodino filings; a public mortgage company in a merger with a major insurance company, and a snack food company in various acquisitions and SEC filings. He represented a sports memorabilia company in venture capital financing and issuance of convertible subordinated debentures, and a phone service company in its acquisition and merger with a public company.

Admitted to practice in New Jersey, Ruttenberg is a member of the New Jersey and Camden County bar associations. He is the current counsel to the Golf Association of Philadelphia and is a past president of the American Cancer Society - Camden County Division and Woodcrest Country Club in Cherry Hill, NJ.

A graduate of the University of Pennsylvania Law School, he also earned his B.S. from the University of Pennsylvania. Ruttenberg resides in Cherry Hill, NJ with his wife Judy.

Ardagh to Acquire Rexam’s Glass Container Manufacturing Business
Davis Polk & Wardwell is advising Ardagh Glass Group on a bridge loan arranged by Citigroup, Inc. and on other U.S. aspects of the financing arrangements in connection with its acquisition of Rexam plc’s glass container manufacturing division. Ardagh currently operates 9 glass plants in Germany, Italy, Poland and the United Kingdom. Rexam’s glass container manufacturing business operates 13 glass plants in Denmark, Germany, Holland, Poland and Sweden.

According to the terms of the transaction, Ardagh will acquire the division for €660 million on a debt-free/cash-free basis. Ardagh is financing the acquisition through a €300 million bridge loan facility arranged by Citigroup, drawings under a new senior secured term debt facility of €338 million from a syndicate of banks led by Anglo Irish Bank, a €10 million equity rights issue and €40 million from Ardagh’s own cash resources. In addition, Ardagh has arranged a €150 million working capital revolving credit facility with the Anglo Irish Bank syndicate. The transaction is subject to competition authority approvals in Germany and Poland.

The Davis Polk corporate team includes partner Nigel D.J. Wilson and associates Harald Halbhuber, Nghiem Nguyen and Lina E. Ziurys, all of the London office. Rachel Sterling of the London office is the legal assistant on the transaction.
