American Inns of Court Selects Judge Greenhill to Receive 2007 Professionalism Award
Former Texas Supreme Court Chief Justice Joe R. Greenhill has been selected to receive the American Inns of Court's 2007 Professionalism Award for the Fifth Circuit. The award will be presented during the Fifth Circuit Judicial Conference in San Antonio on May 7, 2007. Greenhill is currently of counsel at Baker Botts working out of the firm's Austin office.

The Honorable Patrick E. Higginbotham, a judge on the U.S. Court of Appeals for the Fifth Circuit, has also been selected to receive the AIC's 2007 Professionalism Award.

The American Inns of Court Professionalism Awards are presented to honor senior practicing judges or lawyers whose professional lives reflect sterling character and unquestioned integrity, coupled with ongoing dedication to the highest standards of the legal profession. Candidates are nominated through circuit-wide open nominations and selected by a panel of distinguished judges and representatives from both the circuit and the American Inns of Court Foundation.

Throughout his professional life, Judge Greenhill has distinguished himself. At age 92, he continues his service to clients and the profession in the litigation department/appellate section at Baker Botts.

Greenhill graduated at the top of his class from the University of Texas Law School, passed the Texas bar exam as a second-year law student, and was a Rhodes Scholar finalist. After listening to President's Roosevelt's speech in the wake of Pearl Harbor, Greenhill left a prestigious law clerkship and enlisted in the Navy and served on the Pacific front.

After the war, he finished his clerkship and served as First Assistant Attorney General in Texas. After becoming a highly regarded appellate advocate in private practice, he was appointed to the Supreme Court of Texas in 1957. In 1958 he was elected to the Court after a hard-fought campaign against another legendary judge, Sarah T. Hughes. In all, Judge Greenhill served on the Texas Supreme Court longer than anyone else-25 years, the last 10 of which were as Chief Justice.

The program of four panels, sponsored by the Property Insurance, Insurance Industry, Insurance and ADR Sections, covered all aspects of mediation, from initial client communications to alternative ADR formats, and a panel of mediators discussing closed door sessions and persuasion techniques.

O'MELVENY & MYERS ADVISES TUI AG ON MERGER WITH FIRST CHOICE HOLIDAYS PLC
The Boards of TUI AG and First Choice Holidays PLC announced their agreement to create a global leisure travel group, TUI Travel PLC. O'Melveny & Myers LLP is handling competition matters globally for TUI AG, and the U.S. and Chinese merger filings for both TUI AG and First Choice. Blake, Cassels & Graydon LLP is handling the filing requirements in Canada for both parties. Herbert Smith LLP is advising First Choice.

The O'Melveny legal team is being led by Brussels' John Cook and includes François Renard, Anja Siebel, Christina Hummer, and Elizabeth Turner. Washington, D.C.'s Rebecca Farrington and Beijing's Nate Bush advised on U.S. and China issues, respectively.

LABATON SUCHAROW & RUDOFF LLP FILES CLASS ACTION LAWSUIT AGAINST WORLDSPACE, INC.
Labaton Sucharow & Rudoff LLP filed a class action lawsuit on March 15, 2007 in the United States District Court for the Southern District of New York, on behalf of persons who purchased or otherwise acquired publicly traded securities of WorldSpace, Inc. (“WorldSpace” or the “Company”) (NASDAQ: WRSP) pursuant to the initial public offering (the “IPO”) of WorldSpace commencing on or about August 4, 2005, (the “Class Period”). The lawsuit was filed against WorldSpace, Noah A. Samaram, Sridhar Ganesan, and UBS Securities LLC (“Defendants”).

The complaint alleges that Defendants violated Section 11, 12(a)2, and 15 of the Securities Act of 1933. The Complaint alleges that the representations made in connection with the sale of WorldSpace common stock in the IPO were materially false and misleading because the Company’s share price was artificially inflated because subscribers who had purchased a three-month, pre-paid subscription to the WorldSpace “access control system” pursuant to a promotional offer, but who declined to continue or to pay for a subscription following the end of the promotional period were not timely removed from the Company’s subscriber count. Rather than report these expired subscriptions as “churned,” Defendants continued to include these expired subscriptions in the Company’s subscriber count for an additional 90-days following the expiration of the initial three-month promotional period. At the time these facts and their effects on the Company’s operating results were fully disclosed , the price of the Company’s common stock declined.

On March 16, 2006, on a conference call with investors, WorldSpace revealed that service to subscribers was not immediately discontinued when a customer failed to renew its subscriptions. This news shocked the market, causing WorldSpace share to plummet the next day, March 17, 2006, by $2.63 per share, a more than 22% drop from the previous day’s closing price of $11.52 per share.

Davis Polk Advises ABN AMRO on Its Potential Combination With Barclays
Davis Polk & Wardwell is advising ABN AMRO Holding N.V. on its exclusive preliminary discussions with Barclays plc concerning a potential combination of the two organizations. Based in the Netherlands, ABN AMRO is an international bank. Based in the United Kingdom, Barclays is a financial services group with a large international presence in Europe, the United States, Africa and Asia.

Davis Polk has been ABN AMRO’s principal U.S. counsel for many years.

The Davis Polk corporate team includes partner Margaret E. Tahyar of the Paris office and partner Thomas J. Reid and associate John B. Meade, both of the London office. Partner Randall D. Guynn of the New York office is providing U.S. bank regulatory advice.

Davis Polk Advises Freeport-McMoRan Copper & Gold on Financings Related to Its Acquisition of Phelps Dodge
Davis Polk & Wardwell advised Freeport-McMoRan Copper & Gold Inc. on a series of financings related to its acquisition of Phelps Dodge Corporation. Freeport-McMoRan will use the proceeds from the financings to fund a portion of the acquisition cash consideration and pay related transaction fees and expenses. The financings included an SEC-registered high-yield debt offering in aggregate principal amount of $6 billion and an aggregate of $11.5 billion in senior secured credit facilities. The debt offering is the second-largest high-yield offering in history.

The high-yield debt offering consisted of three tranches of senior notes, including $1.5 billion of 8.25% senior notes due 2015, $3.5 billion of 8.375% senior notes due 2017 and $1 billion of senior floating-rate notes due 2015. The credit facilities consisted of a $2.5 billion senior secured Term A loan, a $7.5 billion senior secured Term B loan and a $1.5 billion senior secured revolving credit facility.

J.P. Morgan Securities Inc. and Merrill Lynch & Co. were the joint book-running managers for the senior notes offering and joint lead arrangers for the credit facilities.
