GARRIGUES WINS AWARD FOR ITS ADVICE ON MITTAL’S TENDER OFFER FOR ARCELOR
Garrigues has been awarded ‘M&A Deal of the Year’ by the International Financial Law Review (IFLR) for its advice on Mittal’s tender offer for Arcelor. The Firm advised Mittal Steel Company in connection with the Spanish law issues surrounding its tender offer for all the shares and convertible debentures of Arcelor. Garrigues shares this recognition with the advisors of both companies.

Mittal’s advisors, who Garrigues worked shoulder-to-shoulder with, are US firm Cleary Gottlieb (the company’s advisor in France, the Netherlands and Belgium) and law firm Bonn Schmitt Steichen (advisors in Luxembourg). In the driving seat of the deal at Garrigues were partners Javier Ybáñez and Ramon Girbau (corporate/commercial) and Ignacio Calvet (tax). The award ceremony took place last week at The Natural History Museum in London.

The players in this deal were the two steel industry giants: Mittal Steel Company, based in the Netherlands, which was the largest steel producer in the world, and Arcelor, based in Luxembourg, one of the largest groups in the industry, created in February 2002 out of the merger of Aceralia, Arbed and Usinor. Along with the complexity of the deal, another of the factors considered by the IFLR for the award was the sum involved: more than €28,000, making it the largest deal carried out in the steel industry, which has given rise to the Arcelor Mittal group with close to 320,000 employees and producing more than 100 million tons of steel a year.

This is the third award which Garrigues has received from the same publication. The IFLR’s awards are highly prestigious internationally, and one of the best displays of professional recognition that can be gained at present.

11 GARDERE ATTORNEYS EARN 2007 TEXAS RISING STARS HONORS
Eleven attorneys from Gardere Wynne Sewell LLP have been selected to the 2007 listing of Texas Rising Stars.

Earning Rising Stars honors are partners Alan Buckner of Houston and Barry Golden, Matthew Schroeder, John Slates and Celeste Winford of Dallas; and associates Peter Scaff of Houston and Christopher Converse, Michael Cooley, Marcus Helt, Michele Spillman and Paula Tucker of Dallas.

“We have always had the opinion that we have some of the brightest young lawyers in Texas,” says Gardere Managing Partner Steve Good. “When your peers validate that opinion, it is something everyone at the firm can take pride in.”

Rising Stars are the top up-and-coming Texas attorneys who are 40 or younger or have been in practice for fewer than 10 years. Rising Stars are selected based on nominations by members of the elite Texas Super Lawyers list. Only 2.5 percent of Texas attorneys were chosen for this honor.

The Rising Stars list appears in both the April 2007 issue of Texas Monthly and in Texas Rising Stars 2007 from the publishers of Law & Politics Media Inc.

Douglas M. Hershman and Michael J. Scali Host Food 4 Thought Presentation for NCCBOR
Douglas M. Hershman, a director at The Bayard Firm, and Michael J. Scali, an associate at The Bayard Firm, hosted the March Food 4 Thought Presentation at the New Castle County Board of Realtors (NCCBOR) office located in Wilmington, Delaware. The presentation entitled "Real Estate Title Issues and Title Insurance" took place on March 20, 2007. Doug and Mike spoke to a large group of licensed realtors on topics that included types of estates and forms of ownership as well as more complex information on title searches, title insurance and title issues.

Eight Attorneys Honored as Georgia Super Lawyers

After receiving the results, Law & Politics conducts extensive research which includes a review of the background and experience of each candidate. Only 5 percent of the total lawyers in the state are selected for inclusion in Super Lawyers.

Tonkon Torp CEO Addresses National Equal Justice Conference
Robert E. Hirshon, Chief Executive Officer of Tonkon Torp LLP, believes that now, more than ever, attorneys have a professional and ethical obligation to vigorously defend the Constitutional principle of equal treatment before the law.

Hirshon, a former president of the American Bar Association, is taking this message to his fellow lawyers as a featured speaker at the ABA’s national Equal Justice Conference in Denver on March 22 - 24.

Hirshon’s remarks focus on the Bar’s critical role as champions of justice for all, including detainees at Guantanamo Bay. He is critical of public officials who have called for a boycott of law firms who are providing pro bono representation to detainees.

“We are strong enough as a nation to insist that every accused has his day in court, even a person accused of terrorism,” says Hirshon. “A vigorous defense is what keeps our legal system accountable and is a vital part of the balance that insures justice.”

Hirshon also argues for a review of the administration’s current electronic surveillance program, on a case-by-case basis, by courts that specialize in national security law.

“Bob’s continued leadership – on issues ranging from equal justice, to the importance of an independent judiciary, to increased diversity in law firms – makes him a respected speaker at important conferences and debates on topics that affect attorneys, their clients and all of us,” said Michael M. Morgan, chairman of Tonkon Torp’s managing board.

Neisen Named Partner of Smith Moore
The law firm of Smith Moore LLP has named Wilmington attorney Jay Neisen as partner. Neisen is a leading member of the firm's real estate practice group.

"This is a tremendous honor and I am certainly excited at the timing of the offer," said Neisen, who joined the firm in 2005. "Most lawyers hope to be named partners and this certainly happened sooner than I could have imagined."

Neisen focuses his practice on commercial real estate development and leasing. He is a member of the New Hanover County Bar Association, and the bar associations of North Carolina, Virginia and New York.

Smith Moore's Wilmington office is a nine-member legal team led by three attorneys, three paralegals and three support staff members.

Mortgages: After Another Tough Week, Hint of Daylight for Three
Robert Nachman, a principal in the firm's Bankruptcy, Insolvency & Creditors' Rights practice, was quoted by American Banker for an article discussing the financial problems plaguing the subprime lending industry. According to Mr. Nachman, "many subprime firms are trying to sell assets in the short term in an effort to avoid bankruptcy." He calls the current crisis, "a recipe for a less than optimal reorganization" and says "there is no reason for a troubled lender to keep employees on the payroll." Mr. Nachman adds, "there will certainly be a flurry of reorganizations of some sort, whether it takes place in bankruptcy or a private sale of assets. I think what we're seeing now are companies trying to continue their operations in an effort to preserve value for a potential buyer." The article, "Mortgages: After Another Tough Week, Hint of Daylight for Three," appeared in the May 20, 2007 issue of the publication.
