K&L Gates Boosts London Banking and Finance Group with CMBS Team
Kirkpatrick & Lockhart Preston Gates Ellis LLP (K&L Gates) welcomes partner Andrew Petersen to the firm’s banking and finance group. Petersen will be joined by two associates. All three join the firm from Dechert LLP.

Petersen focuses his practice on real estate financing, advising lenders on secured and structured domestic and international debt, including corporate restructuring. He has experience in both U.S. and European secondary loan markets, acting for high-yield investors purchasing subordinated CMBS pieces, loan tranches, notes and mezzanine loans. His experience also includes acting for loan originators advising on CMBS origination through to securitization.

Tony Griffiths, K&L Gates’ London Administrative Partner, said: “Securitisation and structured finance is a complementary discipline to our existing strengths in finance and real estate. To recruit Andrew, who has published the leading work on European CMBS, is a tremendous step forward for our banking and finance group in London and worldwide and will enhance the firm's fast-growing securitisation, structured finance and banking capabilities.”

The hiring of Petersen’s team follows the September 2006 addition of Trevor Beadle, who also joined K&L Gates from Dechert.

Davis Polk Advises Gafisa on Its NYSE IPO
Davis Polk & Wardwell advised Gafisa S.A. in connection with a $500 million public offering of 39,676,600 of its common shares, including common shares in the form of American Depositary Shares. The American Depositary Shares are listed on the New York Stock Exchange and the common shares are listed on the São Paulo Stock Exchange.

Gafisa is one of Brazil’s leading homebuilders. Over the last 50 years, it has completed and sold more than 924 developments and constructed over 37 million square meters of housing, with 900 developments and over 10 million square meters under the Gafisa brand and 24 developments and 27 million square meters under the Alphaville brand.

The underwriters included Merrill Lynch, Pierce, Fenner & Smith Incorporated, Itaú Securities Inc. and Citigroup Global Markets Inc., acting as joint book-running managers, and HSBC Securities (USA) Inc. and UBS Securities LLC acting as co-managers for the offering.

The Davis Polk corporate team included partner Manuel Garciadiaz, associates Jean Weng and Ross A. Oliver and foreign temporary associate Ivana Martins. Partner Kathleen L. Ferrell and associate Amir C. Chenchinski provided tax advice. Partner Nora M. Jordan and associate Rachel J. Strum provided 1940 Act advice. Danielle Y. Eswar was the legal assistant on the transaction. All members of the Davis Polk team work in the New York office.

The Stanley Works Equity Units and Notes Offerings
Davis Polk & Wardwell advised Citigroup Global Markets Inc., Morgan Stanley & Co. Incorporated and Banc of America Securities LLC as joint book-running managers on an SEC-registered offering of $300 million stated amount of floating-rate equity units of The Stanley Works. We also advised Goldman, Sachs & Co. and UBS Securities LLC as joint book-running managers on a concurrent SEC-registered offering by The Stanley Works of its 5% notes due 2010 in aggregate principal amount of $200 million. In addition, we advised affiliates of Citigroup Global Markets Inc., Morgan Stanley & Co. Incorporated and Banc of America Securities LLC on convertible bond hedge and warrant transactions related to the floating-rate convertible notes that are a part of the equity units.

Based in New Britain, Connecticut, The Stanley Works is a worldwide producer of tools for professional, industrial and consumer use and security products.

The Davis Polk corporate team included partners Alan Dean, Jim Rothwell and Ray Ibrahim and associates Jenny M. Dahlen, Mark M. Mendez, Shawei T. P. Chadwick Hill Joins Dann Pecar Newman & Kleiman
P. Chadwick Hill has joined the law firm of Dann Pecar Newman & Kleiman, P.C., as an of counsel attorney.

Prior to joining Dann Pecar Newman & Kleiman, Mr. Hill was a litigation attorney with Brown Tompkins & Lory, Indianapolis, where he was responsible for counseling and representing clients in all aspects of criminal, civil, sports and entertainment law. He has litigated before both state and federal courts. He is admitted to practice in Indiana. Mr. Hill graduated from University of Detroit-Mercy School of Law, 1997, after completing his undergraduate studies at Saint Louis University.

Joseph Manko, Manko, Gold, Katcher & Fox, LLP, Appointed by Montgomery County Commissioners to the County's Greenhouse Gas Reduction Task Force
Joseph Manko, a founding partner of Manko, Gold, Katcher & Fox, LLP, an environmental and land use law firm, was recently appointed by the Montgomery County Commissioners to the Montgomery County Greenhouse Gas Reduction Task Force. He will serve on the Commercial/Industrial/Residential/Institutional and Land Use/Transportation subcommittees.

Though greenhouse gas reduction is a global issue, Montgomery County is committed to doing its part through various initiatives. The task force recognizes growing scientific evidence that greenhouse gases released into the atmosphere are currently influencing climate change and will, if unchecked, continue to have profound and potentially devastating effects, both globally and locally. The task force is made up of representatives from the business community, clean air advocates, government, transportation and academic institutions.

Manko, who has 34 years of experience in environmental law, is a strong advocate and academic expert on environmental compliance and protection. Recently, he has delivered lectures on global warming to local and international audiences, including his presentation in December 2006 at an international conference in Bariloche, Argentina. Manko has served as a lecturer-in-law at the University of Pennsylvania Law School, teaching courses on environmental law, practice and policy, and as a guest lecturer at Vermont Law School.

Working toward developing a Global Warming Plan of Action, Montgomery County sponsored a collaborative study involving Penn State University, the Montgomery County Planning Commission, and other local stakeholders. The study inventoried greenhouse gas produced in the county, proposed greenhouse reduction targets, and offered reduction strategies. Overall, the inventory showed that greenhouse gas has grown by 36 percent since 1990, and transportation and residential/commercial/industrial energy consumption were the primary sources of emissions. The reduction options in the report overlapped with other county needs and existing programs and included reducing county energy use, promoting residential energy savings, decreasing vehicle miles traveled through public transit and reducing forest loss. Task force subcommittees addressing Commercial/Industrial/Residential/Institutional energy, Agriculture/Forestry/Waste, and Land Use and Transportation will explore greenhouse gas reduction strategies.

KIM KOOPERSMITH JOINS BOARD OF EQUAL JUSTICE WORKS
Kim Koopersmith, a partner in the New York office of Akin Gump Strauss Hauer & Feld, has joined the board of directors of Equal Justice Works, the firm announced today.

Equal Justice Works, a nonprofit, nonpartisan 501(c)(3) organization, was founded in 1986 by law students dedicated to working for equal justice on behalf of underserved communities and causes. Today, Equal Justice Works is the national leader in creating summer and postgraduate public interest opportunities for law students and lawyers as well as in urging more public interest programming at law schools. The Equal Justice Works board of directors is a diverse group of national leaders from law firms, law schools, corporate legal departments and the public sector. Board member terms are three years.

A graduate of the University of Pennsylvania and Fordham Law School, Ms. Koopersmith focuses her practice on civil dispute resolution, including federal and state court litigation and private arbitration. She has litigated a wide range of issues in federal and state courts. In addition, she is active in firm management, serving on the management committee, the compensation committee, and as chair of the partnership committee.

"Akin Gump has a long history of public service, and I am honored to continue that tradition by serving on the Equal Justice Works board," said Ms. Koopersmith. "No organization has done more to revitalize the field of public interest law. I look forward to working with Equal Justice Works to ensure that all members of our society have access to quality legal representation."

Akin Gump has committed to sponsoring two Equal Justice Works fellowships each year. The firm’s current fellow (2006-2008), Carolyn Seugling, is working at the National Center for Refugee & Immigrant Children, a project of the U.S. Committee for Refugees and Immigrants. Akin Gump’s next fellow (2007-2009), Jessa DeSimone, will work at the Legal Aid Society of New York.

Equal Justice Works, formerly the National Association for Public Interest Law (NAPIL), leads the country in organizing, training and supporting public service-minded law students and in creating summer and postgraduate public interest jobs. Through donations from individuals, law firms, corporations and foundations, Equal Justice Works funds law students and lawyers in programs that bring justice to millions of low-income persons and families.
