Nvidia Trial Begins, Represented by Orrick
A federal bankruptcy judged ruled to keep members of the public from attending a trial involving the graphics chip company Nvidia unless they agreed to sign a confidentiality agreement. San Francisco litigation partner Karen Johnson-McKewan and San Francisco securities litigation partner Jim Kramer are representing Nvidia and were quoted in the San Jose Mercury News and The Recorder about this ruling.

Nvidia acquired 3dfx in 2001 primarily because of their desire to recruit the 3dfx engineers, and the case is based on whether or not the price paid was reasonable. Johnson-McKewan said the asset purchase structure was the best deal 3dfx could have gotten. "Nvidia paid $70 million for 3dfx knowing it was not going to get a single engineer," she said in The Recorder. "The transaction enabled Nvidia to try and get in front of those engineers and persuade them."

In response to the plaintiff's complaint about the confidentiality agreement, Kramer pointed out that this has been in effect for years, and should not have been brought up right before the trial. "This is a problem of the trustee's own making," he said in the Mercury News. "He has been operating under a protective order for four years.
