Dewey Ballantine Wins International Financial Law Review’s “Private Equity Deal of the Year” Award
Dewey Ballantine LLP, a leading international law firm, was honored last night in New York at an awards ceremony with IFLR’s “Private Equity Deal of the Year” award for its work as tax and co-M&A counsel to HCA Inc. in its $33 billion buyout by Bain Capital, Kohlberg Kravis Roberts, Merrill Lynch Global Private Equity and HCA co-founder Thomas F. Frist Jr. The deal, which closed in November 2006, was the largest leveraged buyout in history at the time.

The Dewey Ballantine team who worked on the HCA deal includes Monica Coakley, Joseph Pari, Morton Pierce, Abraham Shashy, Gordon Warnke, Ellis Duncan, Brandon Hadley, Steven Harrison and Jonathan Neal.

The IFLR “Deal of the Year Awards” celebrate the most innovative legal deals of 2006 and the firms who have completed them.

Dewey Ballantine won numerous IFLR awards in 2006 including "Polish Law Firm of the Year", "European M&A Deal of the Year" for the Sanofi merger, and "European Debt and Equity-Linked Deal of the Year" for Wind Telecomunicazioni.

Covington Advises Goodyear in $1.475 Billion Acquisition
The Goodyear Tire & Rubber Company and The Carlyle Group announced today that The Carlyle Group will acquire Goodyear’s engineered products division for $1.475 billion. Covington & Burling LLP advised Goodyear in the transaction.

Goodyear is the world's largest tire company and manufactures and markets tires for most applications. It also manufactures and sells several lines of power transmission belts, hose and other rubber products for the transportation industry as well as conveyor belts for various industrial and consumer markets, in addition to rubber-related chemicals for various applications. The Carlyle Group is a private global investment firm.

The Covington corporate team, based in New York, included partner J. D. Weinberg and associate Jonas Marson. Attorneys from Thompson Hine also advised Goodyear.

Baker & McKenzie Act in Largest Ever Syndicated Islamic Financing
Baker & McKenzie has acted for the Mandated Lead Arrangers on the US$2.875 billion financing made available to Etihad Etisalat Company (Mobily). The financing was structured on Shari'ah compliant lines.

The funds will be used by Mobily to pay and refinance its short-term debt, and to finance operations and infrastructure expansion throughout Saudi Arabia.

The Mandated Lead Arrangers comprised ABN AMRO Bank N.V., Banque Saudi Fransi, CALYON, National Bank of Abu Dhabi, Samba Financial Group, Saudi Hollandi Bank and The National Commercial Bank.

Ian Siddell, partner at Baker & McKenzie in Bahrain, said: ''We are pleased to have assisted the financing banks in structuring the financing on a Shari'ah compliant basis. This financing involved a novel and complex structure, which was particularly intricate to take account of certain provisions of Saudi Arabian law. It also further highlights our ability to service seamlessly our international and regional banking clients from both London and the Middle East."

Atif Hanif, senior associate at Baker & McKenzie in London, said: ''We are very pleased to have been involved in the largest syndicated Islamic financing to date. The transaction was complex and further demonstrated our ability to handle ground-breaking Islamic finance structures."

The Baker & McKenzie financing team was led by partner Ian Siddell from the Bahrain office and senior associate Atif Hanif from the London office. The financing team also included senior associate Rhonda Laws, and associates Mohamed Hassan and Fatima Ghaith from the Bahrain office and associate Manisha Gayaparsad from the London office. Partner Ross McKean, from the London office, provided advice on telecoms issues.

Maxman Speaker at Health Lawyers Association Institute
Washington, D.C., partner Melissa Maxman was the featured luncheon speaker at the American Health Lawyers Association annual Institute on Medicare and Medicaid Payment Issues in Baltimore, Maryland.

Her presentation, entitled "Reducing Your Hospital's Risk of an Antitrust Class Action Lawsuit for Depressed Nursing Wages," focused on the legal and policy implications of a series of antitrust class actions filed in 2006 against 23 different hospital and health system defendants in Michigan, Texas, New York, Illinois, and Tennessee.

The plaintiff nurses in these cases allege that the hospitals in each geographic area conspired to hold down nurses' wages in violation of the Sherman Act and that the hospitals deliberately, secretly and systematically exchanged detailed, non-public information about RN wages in order to maintain artificially low wage levels.

Kimberly Dombrow joins our Real Estate practice as an associate; she concentrates on the representation of borrowers, lenders, landlords, tenants, purchasers, and sellers in complex commercial real estate transactions.

Camilla Rykke Merrick returns to us as an associate in our Corporate & Securities department. Previously with the Firm during 2006 as a Summer Associate, we are excited she has decided to return. Camilla graduated in December 2006 from the Chicago-Kent College of Law.

SCHIFF HARDIN ATTORNEYS OBTAIN INJUNCTION AGAINST THE GEORGIA DEPARTMENT OF AGRICULTURE’S FAILURE TO ENFORCE PROHIBITIONS ON THE GASSING OF DOGS AND CATS
Schiff Hardin/Atlanta's team of Walter Bush and Chris Freeman, along with Schiff Hardin/San Francisco's Bruce Wagman, obtained a complete victory today in a case receiving nationwide attention — to halt the illegal means used to euthanize dogs and cats in the State of Georgia.

Schiff Hardin brought the case on behalf of two plaintiffs — a former state representative who introduced Georgia's Humane Euthanasia Act (the law at issue) in 1990, and a woman whose dog had been illegally gassed in one of the chambers, against the Georgia Department of Agriculture. (Chesley Morton v. GA Dept. of Agriculture — 34512-0001)

Chesley Morton, the former state representative, testified that he introduced the law with the intention of providing the most humane death possible for dogs and cats who must be killed in Georgia shelters. Because of the tragedy of companion overpopulation and society's inability to address the problem, the Humane Euthanasia Act mandates injection with barbiturates as the exclusive means of euthanasia, with very limited exceptions.

Despite this clear mandate, People for the Ethical Treatment of Animals provided Schiff Hardin's team with extensive evidence that the Georgia Department of Agriculture had not only failed to ever enforce the law, but that the Department had approved and encouraged the use of gas chambers, which produce a horrible and prolonged death.

The legal team (working with PETA counsel) developed a case which included affidavits of former animal control officers who described in horrible detail the experience that thousands of dogs and cats go through every year in Georgia shelters. Walter Bush handled the entire hearing in front of Fulton County Superior Court Judge Cynthia Wright today, presenting extensive evidence and cross-examining the Commissioner of the Department of Agriculture, the head of the Animal Protection Section, and a shelter director who regularly violated the law — but who had been told she could do so by the Department of Agriculture.

After an extensive hearing and argument, Judge Wright issued an injunction for plaintiffs.

In the words of Bruce Wagman, "This is a day all Schiff Hardin attorneys and staff can be proud to be members of the big firm that does big things for the innocent animals with whom we share this planet.

Eva Turenchalk, a certified planner with the law firm of Hatch & Parent, has been designated a Leadership in Energy and Environmental Design (LEED) Accredited Professional by the U.S. Green Building Council, a national organization created to promote buildings that are environmentally responsible, profitable and healthy places to live and work. Hatch & Parent is one of the largest land use and water law practices in California.

LEED Accredited Professionals are trained in green building technology and principles. "More and more architects, developers and building owners are going green," says Rob Saperstein, Hatch & Parent’s managing partner, "With high energy costs and global warming on everyone's mind, the desire to build sustainable, energy efficient and healthier buildings is the mainstream mentality."
