Firm Represents Hellman & Friedman in Announced Acquisition of Kronos Inc.
The firm is representing Hellman & Friedman in its announced acquisition of Kronos Incorporated, a leading provider of human capital management solutions, for approximately $1.8 billion. Kronos shareholders will receive $55 in cash for each share of common stock they own, representing a 34.4% premium over Kronos' closing share price 20 days prior to the announcement of the transaction. The Company derives revenues from the licensing of software solutions, the sales of hardware solutions and the provision of professional services and subscription services, and it serves customers in more than 50 countries.

Firm Advises Temasek Holdings in $200M Private Placement in Sino-Forest Corporation
The Firm is advising Temasek Holdings (Private) Limited ("Temasek Holdings") in its subscription of common shares representing a 16% stake of Sino-Forest Corporation by private placement. The transaction, announced on March 23, 2007, reflects a total value of $200 million (including $30 million in shares subscribed by co-investors Greenwoods and United Capital Investment). Sino-Forest, a Canadian company listed on the Toronto Stock Exchange since 1995, is a leading commercial forestry plantations operator in China, and is the first foreign and privately managed operator involved in forest products in China. Temasek Holdings is an Asian investment firm headquartered in Singapore and manages a diversified global portfolio of US$80 billion, principally in Singapore, Asia and the OECD economies.

Shearman & Sterling Litigation Victory Named Top 100 Verdicts of 2006
The $43.8 million jury verdict Shearman & Sterling obtained for HSA Residential Mortgage Services of Texas, Inc. (RMST) was ranked the 37th largest verdict in the United States in 2006 in “Top 100 Verdicts of 2006” as reported by American Lawyer Media’s Verdict Search. The verdict was also ranked as one of the top five jury verdicts in New York state in 2006, according to the New York Law Journal. The firm obtained this significant victory for RMST following a three week trial against State Bank of Long Island (State Bank). The 10-member jury in the US District Court for the Eastern District of New York rendered a unanimous verdict in favor of RMST and awarded them $43,856,746, the full amount of the damages RMST sought. The parties settled, post-trial, for $65 million, which resolved RMST's additional claim for pre-judgment interest and special damages.

RMST, a subsidiary of American General Finance, Inc., was a mortgage warehouse lender based in Houston. In 1999 and 2000, Island Mortgage Network defrauded RMST and other warehouse lenders and diverted money wired to purchase residential mortgages around the country. In June 2002, RMST and two other warehouse lenders filed a lawsuit alleging that State Bank aided and abetted the fraud of Island Mortgage Network. RMST's two co-plaintiffs settled their claims against State Bank just before the trial began. The jury rendered its verdict on January 30, 2006.

Miller Canfield Attorney Freeman Farrow Participates in Panel at International Franchise Association Conference
The law firm of Miller Canfield announces that Freeman L. Farrow, M.D., a principal in the Detroit office, recently moderated a panel on “How to be seen as part of the community in diverse neighborhoods” at the Diversity Summit during the International Franchise Association’s (IFA) 47th Annual Convention in Las Vegas. He also facilitated a roundtable on “Franchisor liability for franchisee’s conduct.” Farrow is a member of the Minorities in Franchising Committee of the IFA.

The mission of the IFA’s Minorities in Franchising Committee is to increase the number and success of minorities in franchising, including franchisors, franchisees, suppliers and employees. The committee provides educational information and programs to IFA members and prospective minority franchisees and participates in outreach activities to increase the awareness of franchising in minority communities.

Farrow is a member of Miller Canfield’s Litigation and Dispute Resolution Practice Group as well as the Franchise Law Team.

He is a member of the American Bar Association, Federal Bar Association, State Bar of Michigan, Oakland County Bar Association, where he is chair of the New Lawyers’ Committee, board member of the Child Abuse and Neglect Council of Oakland County, a board member of the International School, Farmington Hills, Michigan. Since 1994, he has been an urgent visit physician with Michigan's Emergency Physicians Medical Group, working in the St. Joseph Mercy Hospital system in Ann Arbor, Michigan.

Farrow received his law degree from the University of Michigan Law School in 1997; he is a 1990 Diplomate of the St. Clare's Hospital Family Practice Residency Program in Schenectady, New York; and earned his M.D. in 1987 from the University of Massachusetts Medical School; and a B.A. in Chemistry from Amherst College in 1983.

Miller Canfield Attorneys Named Leaders in Business

O’Brien, were recently recognized as top “Business Leaders Under 40” by Business Review Western Michigan magazine. Danielle Mason Anderson is an associate in the bankruptcy and commercial litigation practice groups in the Kalamazoo office. She is a member of the State Bar of Michigan, State Bar of Massachusetts, Kalamazoo County Bar Association, is a board member of the Kalamazoo County Brownfield Redevelopment Authority and Economic Development Committee Board Member, as well as a volunteer for Kalamazoo County Child Abuse and Neglect Council, Habitat for Humanity, and Big Brothers Big Sisters.

She resides in Kalamazoo. She received her law degree from Northeastern University School of Law and her B.S., cum laude, from Michigan State University with a major in interdisciplinary studies.

Jonathan P. O’Brien, Ph.D., a principal in the Kalamazoo office, is a registered patent attorney and a member of the firm's Intellectual Property and Life Science & Biotechnology groups specializing in patent and licensing matters. He represents large and small domestic and international pharmaceutical and biotechnology companies, as well as companies focused on medical device, battery, and telecommunication products.

He resides in Kalamazoo. He received his doctorate in physical chemistry from Massachusetts Institute of Technology, and his bachelor of science in chemistry from Hope College. He received his law degree from Michigan State University College of Law in December 2004, magna cum laude, where he received a full merit scholarship.

Kaye Scholer Represents Novartis in Agreement with Bayer Schering Pharma
Kaye Scholer represented Novartis in an agreement with Bayer Schering Pharma AG that will provide Novartis the opportunity to introduce its own branded version of interferon beta-1b for patients with the debilitating neurological disease multiple sclerosis (MS). Bayer Schering Pharma will provide regulatory support and supply this medicine to Novartis in return for royalty payments. In addition, Novartis will transfer manufacturing responsibility for interferon beta-1b to Bayer Schering Pharma, which will purchase the related equipment and inventory as well as lease certain buildings at a Novartis site in Emeryville, California.
