Freshfields Bruckhaus Deringer advises Porsche on increase of stake and offer for VW
International law firm Freshfields Bruckhaus Deringer is advising Porsche AG on the increase of its stake in Volkswagen AG from 27.3 per cent to 30.9 per cent of the ordinary shares and the resulting mandatory offer for Volkswagen, as well as on the planned restructuring of the Porsche group.

Porsche announced on 26 March that it will increase its stake in Volkswagen by 3.6 per cent to 30.9 percent of the ordinary shares. As result of this a mandatory offer will be made shortly to all VW shareholders. The offer values VW at approximately €35bn. Financing of the mandatory offer has been ensured via a credit facility arranged by AMRO Bank NV, Barclays Capital, Merrill Lynch International, UBS Limited and Commerzbank AG.

Porsche also announced the implementation of a holding structure, the principal purpose of which is to separate operational business activities from holding activities. The holding company will then be converted into a European stock corporation - 'Societas Europaea (SE)'. The board of directors of Porsche regard this as a logical response to the challenges of the international automobile market.

Freshfields Bruckhaus Deringer is advising Porsche on the stake increase and the offer, the negotiation of the credit contract, the restructure of the company and the transformation of Porsche AG into a European corporation (SE), as well as global competition issues. Freshfields Bruckhaus Deringer also advised Porsche on the increase of their stake in VW to 27.3 per cent in November last year.

Freshfields Bruckhaus Deringer advises CVC on the €2.4bn sale of ista International
Funds advised by CVC Capital Partners have announced the sale of their stake in ista International GmbH, the global market leader in the area of submetering and billing of energy, water and ancillary costs, to Charterhouse Capital Partners. The purchase price including debt totals approximately €2.4bn. The exit of the funds had been prepared in a dual track process (auction procedure and preparation of an IPO in parallel).

International law firm Freshfields Bruckhaus Deringer is advising CVC on the transaction. Attorney admitted to American College of Trial Lawyers
Leslie C. O'Toole has become a Fellow of the American College of Trial Lawyers, one of the premier legal associations in America.

The induction ceremony at which Leslie C. O'Toole became a Fellow took place recently before an audience of 810 persons during the recent 2007 Spring Meeting of the College in La Quinta, California.

Founded in 1950, the College is composed of the best of the trial bar from the United States and Canada. Fellowship in the College is extended by invitation only and only after careful investigation, to those experienced trial lawyers who have mastered the art of advocacy and whose professional careers have been marked by the highest standards of ethical conduct, professionalism, civility and collegiality. Lawyers must have a minimum of fifteen years trial experience before they can be considered for Fellowship.

Membership in the College cannot exceed one per cent of the total lawyer population of any state or province. There are currently approximately 5,610 members in the United States and Canada, including active Fellows, Emeritus Fellows, Judicial Fellows (those who ascended to the bench after their induction) and Honorary Fellows.

The College strives to improve and elevate the standards of trial practice, the administration of justice and the ethics of the trial profession. Qualified lawyers are called to Fellowship in the College from all branches of trial practice. They are carefully selected from among those who customarily represent plaintiffs in civil cases and those who customarily represent defendants, those who prosecute accused of crime and those who defend them. The College is thus able to speak with a balanced voice on important issues affecting the legal profession and the administration of justice.

Leslie C. O'Toole is a partner and Management Committee Member in the firm of Ellis & Winters LLP and has been practicing in the Raleigh area for 20 years. The newly inducted Fellow received her undergraduate degree from Brown University and received her J.D. from the University of North Carolina School of Law, with high honors.

Charles A. Snyder is Named President of the Kemper and Leila Williams Foundation Operating The Historic New Orleans Collection
Charles A. Snyder, a board member of the Kemper and Leila Williams Foundation since 1998, has been named president of the foundation. The Kemper and Leila Williams Foundation, a Louisiana nonprofit corporation, operates The Historic New Orleans Collection.

Snyder, a senior partner with the firm of Milling Benson Woodward L.L.P., has served as vice president of the Williams Foundation since 2003. During his nine-year tenure, Snyder has initiated The Collection’s membership program and has been active in the foundation’s strategic planning. He has also handled the negotiations for the foundation’s major real estate acquisitions and additions of major collections.

In addition to many professional affiliations, Snyder has been an active member of the New Orleans community. He is past president and member emeritus of the board of commissioners for City Park and serves on the board of trustees (presently a vice president) of the New Orleans Museum of Art.

“I am honored to serve as president of the Kemper and Leila Williams Foundation,” said Snyder. "The foundation has enjoyed great leadership in the past, and I hope to continue that tradition.”

John Kallenborn, board member since 2003, has been named vice president. John E. Walker has become immediate past president.

Kathryn H. Michaelis Joins Rath, Young and Pignatelli P.C. as Of Counsel to the Tax Practice Group
Rath, Young and Pignatelli, P.C., a leading full-service law firm based in New Hampshire with offices in Nashua and Boston, Massachusetts, announced today that Kathryn H. Michaelis will join the firm as Of Counsel. Michaelis will be a member of the firm’s Tax Practice Group and will focus her practice on state and local tax matters.

Michaelis, now a resident of Keene, New Hampshire, previously was employed as State and Local Tax Manager for PricewaterhouseCoopers, LLP in their Chicago, Illinois office. She specialized in income/franchise tax consulting and planning for multi-state and multinational businesses, including corporations, partnerships and limited liability companies.

Michaelis has extensive tax litigation experience, having spent two years as a Special Assistant Attorney General for the Income Tax Litigation Department for the Illinois Department of Revenue where she litigated income tax cases in the Administrative Hearings Division.

“We are pleased to welcome Kathryn to our firm,” said Bill Ardinger, Director of the Tax Practice Group and Treasurer of the firm. “Kathryn brings substantial multistate tax experience to help our clients understand and comply with the growing number of state laws that require unitary combined reporting. Michaelis received her J.D. and LL.M (Taxation) degrees from DePaul University College of Law, and her B.A. from Kenyon College. She has previously served as Chairperson of the Chicago Bar Association’s State and Local Tax Committee. In 2004, she relocated her family from Chicago to Keene, where she now lives with her husband and two children.
