Proskauer Rose Represents Ares Management and Ontario Teachers' Pension Plan in Buyout of GNC Corp.
Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, has represented Ares Management LLC and Ontario Teachers' Pension Plan in their $1.65 billion buyout of General Nutrition Centers Corp., the world's largest retailer of nutritional supplements.

The transaction represents Proskauer's most recent deal on behalf of longtime client Ares Management, an independent Los Angeles-based investment management firm with over $11 billion in capital under management. The firm has also handled a number of important and complex acquisitions, investments, public stock offerings, and fund formations for the company and its affiliated entities including the recent closing of Ares Corporate Opportunities Fund II, a $2.065-billion fund focused on injecting flexible, long-term junior capital into undercapitalized middle-market companies.

Proskauer also represented Ontario Teachers' Pension Plan in the transaction. Ontario Teachers' is an independent corporation that invests fund assets and administers the pensions of Ontario's 163,000 elementary and secondary school teachers and 101,000 retired teachers. The plan has net assets of approximately $100 billion.

The Proskauer team involved in the transaction included Michael Woronoff, Christine Flores, Brent Pharis, Naseem Sagati, Frank Lopez and Stephen Rodin (Corporate); Andrea Rattner, Michael Katz and Ellen Czura (Employee Benefits); Gail Port and Kelly Baldwin Corso (Environmental); Neil Cummings and Lucia Sanchez (Finance); Dale Schreiber and Lisa Bauer (Franchising); Daniel Bernstein and Greg Sieczkiewicz (Intellectual Property); David Diamond (Labor); Scott Cooper and Navid Soleymani (Litigation); Eric Remensperger (Real Estate); and Raj Tanden (Tax).

Proskauer's Corporate Department consists of over 200 lawyers worldwide counseling clients in the full range of sophisticated financial transactions and daily business and regulatory matters including mergers & acquisitions, capital markets, private equity, finance, and bankruptcy. The firm's transactional practice includes: public and private mergers and acquisitions; public securities offerings, including IPOs; private equity fund transactions, including formation of private equity funds and leveraged buyout funds, and investments by institutional and private investors; private placement of securities and private financing; and leveraged buyouts and structured finance.

Miller Canfield Announces New Chair of Managing Directors
The law firm of Miller, Canfield, Paddock and Stone, P.L.C announces that attorney Anna M. Maiuri has been named Chair of the Managing Directors, the firm’s elected management board. She has been with the firm for nearly 15 years and is a principal and environmental and regulatory lawyer in the Troy office.

Maiuri is deputy leader of the Environmental and Regulatory Group at Miller Canfield. Her environmental law practice includes site cleanups, brownfield redevelopment and environmental liability assessments. She has extensive experience in helping corporations, business owners, and operators assess environmental liabilities when purchasing, selling, or leasing assets. She also is a member of the firm's Automotive Group and has expertise analyzing issues specifically related to environmental regulations applicable to OEM and Tier 1 and Tier 2 suppliers.

She received her J.D. from Wayne State University Law School where she served as an assistant editor of the Wayne Law Review. She is a member of the American Bar Association and the State Bar of Michigan and served for over six years as an elected 6th Circuit Representative to the Michigan State Bar Representative Assembly.

Maiuri is listed in The Best Lawyers in America, Environmental Law Section of the 2007 edition. She is recognized in the Top 50 Women, Top 100 and the Environmental Section of the 2006 edition of Michigan Super Lawyers.

She was elected to the State Bar Environmental Law Council and is active in several civic and charitable organizations including the Detroit Regional Chamber’s 2004-05 Leadership Detroit, Class XXVI, Oakland County's Automation Alley, the Troy Chamber of Commerce, United Way, and the National Kidney Foundation.

She resides in Troy, Mich.

Loeb & Loeb Continues to Grow in IP
Loeb & Loeb LLP announced today that Thomas A. Guida has joined the firm’s Intellectual Property and Entertainment Groups as a partner. Guida, who will reside in the New York office, formerly practiced law at Baker & Hostetler LLP in New York.

Tom Guida’s practice focuses on the development, licensing, financing and protection of intellectual property assets, with a particular emphasis on digital and interactive media, branded entertainment, entertainment technology and complex licensing transactions. He has significant experience in structuring commercial and corporate transactions for clients in the digital space such as joint ventures, mergers and acquisitions and co-branded licensing programs, as well as character, apparel, music, software, television and film licenses and distribution agreements.

Guida also maintains an active online IP enforcement practice, and has litigated complex trademark, copyright, and domain name disputes for clients throughout the United States and in Europe.

Guida is the fourth partner to practice in the IP area to join the firm laterally in the past two months. In February, the firm added a patent litigation team led by three partners from Sonnenschein Nath & Rosenthal LLP. The firm plans two more IP partner additions in the coming weeks.

Jones Day acts for Hansteen Holdings in £70 million Placing on Aim
"Jones Day London acted on a £70 million placing for Hansteen Holdings, a European Industrial Property company formed by Ian Watson and Morgan Jones. The conditional placing which announced on 28th February, was approved by shareholders at an EGM on 23 March and the shares were admitted to trading on AIM on 26th March.

The Jones Day team was led by corporate partner Hilary Winter and included Matthew Cartwright (corporate) and Blaise Marin-Curtoud (tax).

The placing was underwritten by KBC Peel Hunt (David Davies) who were advised by Addleshaw Goddard (Simon Griffiths and Phillipa Mumford)."

Jones Day acts for Gallagher Re in Connection with the Launch of Property Damage Risk Futures and Options Contracts
"Jones Day's offices in London and Cleveland acted for Gallagher Re, the specialist reinsurance intermediary and advisory firm, in connection with its entering into an agreement with the New York Mercantile Exchange Inc (NYMEX) whereby Nymex will list for tracking and clear Property Damage Risk Contracts.

These contracts, which received Commodity Futures Trading Commission (CFTC) regulatory approval earlier this month, will allow the 'real time' electronic trading of property damage risk exposures.

The Gallagher Re team was led by Alissa Pfitzner (Chief Counsel of Gallagher) together with a team from Jones Day including Ian Lupson and William Saunders in London and John Dunn in Cleveland.

Ian Lupson commented ""We are pleased to have been able to assist Gallagher Re on this matter, which creates a new tradeable asset class."
