Twenty-five Rutan &Tucker Partners Named “Southern California Super Lawyers”
Twenty-five partners at Rutan & Tucker LLP, California’s largest full-service law firm based in Orange County, have been named to the prestigious annual list of “Southern California Super Lawyers.”
Recognized for their professional development and career achievement, Super Lawyers represent the top five percent of the area’s Bar Association membership, as nominated by their peers and researched by Law & Politics Magazine, and then reviewed and selected by practice-area panels of top attorneys. The list is also published in Los Angeles Magazine.

Three Partners and One Associate Join Thelen Reid Brown Raysman & Steiner's Expanding Los Angeles Office
Thelen Reid Brown Raysman & Steiner LLP has added three partners and an associate to its expanding downtown Los Angeles office. The new additions are needed to handle a growing list of real estate finance deals and class action litigation. The firm recently opened an additional floor at 333 South Hope Street to accommodate further growth.

Real estate finance specialist David Fong joins Thelen from Stroock & Stroock & Lavan and will be the point person for the firm's real estate finance practice in Southern California. Class action expert and appellate law specialist Steven Katz joins the firm's distinguished Labor and Employment Department from Jones Day. In addition to Mr. Fong and Mr. Katz, Real Estate partner Jarrett Fugh will split his time between the firm's Los Angeles and San Francisco offices, and Real Estate associate Martha Bringas will also move to the downtown Los Angeles office from Century City to assist on real estate finance deals.

Known for having one of the premier Wall Street real estate practices, Thelen's real estate finance group, led by New York partner Jeffrey Steiner, has been able to capitalize on the firm's December merger to instantaneously and greatly expand the number of deals it is doing on the West Coast. Since December, the firm has already handled more than $1 billion in West Coast deals for major investment banking clients.

David Fong
Mr. Fong has more than 10 years of experience handling commercial loan transactions for investment banks. His expertise in the finance and capital markets area also includes the origination and restructuring of numerous syndicated, mezzanine, and securitized loans and lines of credit. Mr. Fong also has experience representing Real Estate Investment Trusts (REITs) and other developers in connection with development and construction financing. Mr. Fong is a licensed real estate broker, and he is fluent in Chinese.

Mr. Fong's arrival comes a week after the firm announced that David Tang, another real estate finance specialist in China, had joined Thelen's Shanghai office from Orrick Herrington & Sutcliffe. Mr. Fong and Mr. Tang are expected to work closely together as Thelen expands its finance capabilities in California and China.

"Having someone of David's caliber to lead our West Coast finance work will greatly enhance the service we provide to our clients," Mr. Steiner said. "David's substantial finance expertise and reputation in the market fits well with our goal to expand our real estate finance practice on the West Coast and in China."

Steven Katz
Mr. Katz, a highly respected litigator and certified appellate specialist, was also drawn to the firm by the merger and the Labor and Employment group's focus on national wage-and-hour class action lawsuits.

Mr. Katz has successfully defended more than 30 class action cases and has an impressive appellate record. He has been retained as amicus counsel in numerous precedent-setting and high profile cases, including Sav-On Drug Store v. Superior Court, Reynolds v. Bement, and Murphy v. Kenneth Cole. He is currently serving as appellate counsel for Circuit City in connection with a closely watched case pending before the California Supreme Court challenging the enforceability of class action waivers in employment arbitration agreements. Mr. Katz is a prolific writer and is quoted as an expert by multiple publishers and news media on employment law developments and trends.

GODFREY & KAHN OFFERS DIVERSITY SCHOLARS PROGRAM
The law firm of Godfrey & Kahn, S.C. is pleased to announce that it has established the Diversity Scholars Program as part of the firm’s ongoing diversity initiatives. The program offers a $2,500 scholarship to first-year minority law students at the University of Michigan, the University of Iowa, and Northwestern University for use as a partial tuition payment during the student’s first year of law school. Godfrey & Kahn also offers full-tuition fellowships at the University of Wisconsin and Marquette University law schools. The 2007 Diversity Scholars Program award winners include:

* Jacqueline Nicole James (Northwestern University). She is also in the process of earning a master’s degree in Business Administration through the Kellogg School of Management. Jacqueline earned her bachelor’s degree in Engineering and Management Systems from Columbia University, where she was on the Dean’s List and was a Citigroup Scholar. * Robyn Nicole Lewis(University of Michigan). She received her master’s degree in Sociology and her bachelor’s degree in Human Biology from Stanford University, where she received the Black Community Services Deans Award for Academic Excellence. Robyn was awarded the NCAA women’s volleyball full scholarship and was the Stanford Athletic Board Award winner for outstanding female senior.
* Rupal Vijay Vora (University of Iowa). She is a first-year representative for the Organization of Women Law Students and Staff. Rupal received her bachelor’s degree with dual honors in Political Science and Gender Studies from Northwestern University and was on the Dean’s List.

Fredrikson & Byron Receives ABA National Public Service Award
Fredrikson & Byron was chosen to receive the American Bar Association Section of Business Law’s National Public Service Award. The National Public Service Award is presented annually to one individual and to one law firm or corporate legal department that have demonstrated a commitment to providing free legal services to the poor in a business context.

The Pro Bono Committee of the ABA Section of Business Law presented the award at the section’s Spring Meeting in Washington D.C. on March 16, 2007. Mara O’Neill, Chief Financial Officer of the Neighborhood Development Center, and primary nominator of the firm, stated: “Many of our graduates who started business told us how overwhelming it was to deal with leases, incorporations, contracts, employment issues, and so on, as they were trying to start their businesses. Because we work with low-income individuals, most of our graduates did not have the financial resources to pay for their own legal services. Moreover, our clients often come in contact with unscrupulous landlords and contractors who try to take advantage of their lack of sophistication in business matters. Fredrikson & Byron (in particular attorney Jim Baillie) was instrumental in helping us set up a program that would provide pro bono legal services to graduates of NDC’s training program on issues directly relating to business. To date, Fredrikson & Byron lawyers have assisted nearly 350 of NDC’s clients with entity formation and general business advice, business contracts and agreements, employment and immigration issues, intellectual property issues and much more.

Dechert LLP Acts for The Wellcome Trust in Setting Up a New £200 Million Student Accommodation Joint Venture with Quintain
Quintain Estates & Development Plc ("Quintain") has entered into a 50/50 joint venture with The Wellcome Trust ("Wellcome") to establish the iQ Property Partnership Fund ("iQ"). iQ will fund and develop student accommodation which will be retained on a long-term basis. The first two iQ schemes, in Sheffield and Nottingham, have already been completed. Rapid progress is also being made on the construction of schemes in Birmingham, Salford and Kingston, which, together with the completed schemes will have a combined value of more than £100 million. The initial target value for the fund is in excess of £600 million.

The Wellcome Trust was advised by Dechert LLP. The team was headed by London Managing Partner Steven Fogel and London head of Corporate James Croock, assisted by associates David Gervais and Christopher Brierley.

James Croock commented: "We are delighted to have worked with The Wellcome Trust on this exciting new joint venture. The transaction builds on the Trust?s longstanding relationship with the higher education sector. Student accommodation is a real estate growth area."

Quintain was represented by Nabarro. The team was headed by corporate partner Deborah Lloyd and included tax partner Paul Beausang and associate Claire Blackmore.

CRAVATH REPRESENTS ARRANGERS AND UNDERWRITERS OF FREEPORT-MCMORAN DEBT AND EQUITY FINANCINGS TOTALLING APPROXIMATELY $23.25 BILLION
Cravath represented the arrangers and underwriters (led by JPMorgan and Merrill Lynch & Co.) in connection with $11.5 billion of senior secured bank credit facilities, a $6 billion registered high yield senior debt offering, an approximately $2.9 billion registered common stock offering and an approximately $2.9 billion registered mandatory convertible preferred stock offering of Freeport-McMoRan Copper & Gold Inc., one of the world's largest producers of copper and gold. The high yield offering and the mandatory convertible preferred offering were the largest of their kind to date. The credit facilities and offerings were part of the financing for Freeport-McMoRan's acquisition of Phelps Dodge, which is the largest ever mining acquisition. The financing is the second largest ever non-investment grade acquisition financing. Partners B. Robbins Kiessling and William V. Fogg led the Cravath teams.
