Davis Polk Advises Advanstar and DLJ Merchant Banking Partners on Sale of Advanstar to Veronis Suhler Stevenson-led Investor Group
Davis Polk & Wardwell is advising Advanstar Holdings Corp. and its shareholder DLJ Merchant Banking Partners in connection with the sale of Advanstar Holdings Corp. to an investor group led by Veronis Suhler Stevenson (VSS). Advanstar Holdings Corp. is the holding company for Advanstar Communications Inc., a leading worldwide media company providing integrated marketing solutions for the fashion & licensing, life sciences, and powersports industries. VSS is a private equity and structured capital fund management company dedicated to investing in the media, communications and information industries.

According to the terms of the transaction, VSS will acquire Advanstar Holdings Corp. for approximately $1.142 billion in cash. VSS is joined in this investment with co-sponsors Citigroup Private Equity and New York Life Capital Partners. The transaction is expected to close, subject to customary conditions, in the second quarter of 2007.

Paul Hastings Represents Four M Holdings Affiliate in Purchase of Eight Facilities from Longview Fibre Paper and Packaging, Inc.
Paul, Hastings, Janofsky & Walker LLP, a leading international law firm, represented U.S.C. Acquisition Corp., an affiliate of Four M Holdings, in the purchase of eight converted product production facilities from Longview Fibre Paper and Packaging, Inc. for an aggregate purchase price of $80,725,000.

The facilities are located in Amsterdam, New York; Bowling Green, Kentucky; Cedar Rapids, Iowa; Fridley, Minnesota; Grand Forks, North Dakota; Milwaukee, Wisconsin; Seward, Nebraska; and West Springfield, Massachusetts. The transaction is expected to close in the second quarter of 2007 and is subject to customary closing conditions.

The Paul Hastings team was led by partner Wayne Bradley and included partners Lisa Rushton and J. Mark Poerio, associates Jennifer Manning and Jeremy Corcoran, and senior legal assistant Pat Showalter.

About Four M: Four M is a private equity group led by Dennis Mehiel. Mr. Mehiel has completed 25 transactions in his career, including the acquisition and subsequent sales of Solo Cup, Box USA and Sweetheart Cup Company.

Foley Receives 2007 Milwaukee Area Neighborhood Development Innovation Award
Foley & Lardner LLP announced today that the office received the Vision Award at the 8th Annual Milwaukee Awards for Neighborhood Development Innovation (MANDI) presented by the Local Initiatives Support Corporation (LISC).

LISC is the largest nonprofit in the country dedicated to urban redevelopment. Each year, the organization presents the MANDI awards to honor nonprofit community groups and their partners involved in revitalizing Milwaukee neighborhoods. The Vision Award specifically recognizes a group that has shown strong commitment and leadership in transforming the community through financial contributions or in-kind support to local development efforts.

Foley was honored for dedicating pro bono hours to complex projects in the community including redevelopment of the Menomonee Valley, a 1,200-acre brownfield located adjacent to downtown Milwaukee; assistance to the 30th Street Industrial Corridor; completion of the Hank Aaron State Trail, which links the Milwaukee lakefront with the near west side of the city; and development of the new Discovery World at Pier Wisconsin.

The firm was also recognized for its adoption of a firm-wide policy to support and encourage pro bono work. In 2005, the firm logged more than 30,845 pro bono hours, more than doubling its 2003 total.

The independent selection committee reviewed 41 nominations for awards in five major categories. Winners were announced Thursday, March 15, at a reception at the Pfister Hotel in Milwaukee. Foley attorneys Mick Hatch, Hugh O'Halloran, Bruce Keyes, Sarah Slack and David Loring were honored during the program.

Firm helps liberate Swiss corporation from burdensome minority shareholder
A Swiss manufacturer of diagnostic and medical products retained the firm as local counsel to defend it against a lawsuit brought by a disgruntled minority shareholder as part of a ten year, two continent dispute over control and allocation of profits. After the client filed and served a counterclaim, the parties entered into protracted negotiations which resulted in a settlement in which the client purchased the shares of the minority shareholder for a fraction of his initial demand.

Firm frees foreign manufacturer of prosthetic devices from crippling North American distribution agr
A highly respected foreign manufacturer of prosthetic devices and related appliances sold globally retained the firm to terminate its extremely unfavorable exclusive distribution agreements with its U.S. and Canadian distributor. The distributor demanded that the manufacturer pay it more than $1,000,000 to terminate the contracts. After litigating the dispute vigorously for two years, the parties agreed to a settlement in which the distribution agreements were terminated and the manufacturer purchased the distributor's remaining inventory. This settlement enabled the foreign manufacturer new freedom to penetrate the North American market.
