Rodey Attorney Elected State Bar’s Bankruptcy Law Section Chairman, 2008
The State Bar of New Mexico has elected attorney James A. Askew, Chair-elect to serve as the Chairman of the Bankruptcy Law Section in 2008.

Mr. Askew is a Director and member of Rodey’s Executive Committee, practicing in the Litigation Department in the area of bankruptcy law, representing secured creditors, business debtors, creditor committees, trustees and other parties-in-interest in bankruptcy proceedings and out-of-court workouts. He also has an active commercial and business litigation practice.

Rodey Attorney Appointed to U.S. District Court Pro Se Civil Litigants Committee
Attorney Christopher M. Wolpert has been appointed by the Article III Judges of the U.S. District Court for the District of New Mexico, to serve a three-year term on the Court’s Pro Se Civil Litigants Committee.

Mr. Wolpert is an Associate in Rodey’s Litigation Department practicing in the area of labor and employment law, representing employers in actions involving claims of age, race, religion, sex and disability discrimination, sexual harassment, retaliatory discharge, breach of contract and defamation. Mr. Wolpert also works with employers to prevent litigation by providing employer counseling and training on the legal aspects of human resource issues.

The Pro Se Civil Litigants Committee reviews cases brought by citizens not represented by counsel, to determine whether such cases should be referred to attorneys who may be willing to represent them.

Pursell Joins Blackwell Sanders
Blackwell Sanders welcomes David B. Pursell to the Corporate Department. Pursell, joining the firm’s Kansas City, Mo., office as a partner, will focus his practice on healthcare. During his career, he has served as an advisor to hospitals, physicians, professional corporations and other health care providers on issues facing the health care profession. These issues include hospital/physician contracting and joint venture issues; Medicare fraud and abuse and other compliance issues; business and tax planning for traditional and alternative physician practice structures and GPO compliance issues.

Pursell joins Blackwell Sanders after 18 years at Shughart Thomson & Kilroy, P.C. He earned his J.D. in 1988 from the University of Missouri School of Law, where he was a staff member of the Missouri Law Review and a member of the Order of the Coif. He received his B.A. from Grinnell College (1979).

Baker Botts Expands Presence in China With Beijing Opening
With the opening of its Beijing office today, Baker Botts L.L.P. established its second China office to complement its Asian regional hub in Hong Kong. Baker Botts now has 11 offices worldwide.

“How and where China acquires and develops its energy and mineral resources will be one of the great commercial themes of this century,” said Baker Botts’ Managing Partner Walt Smith. “Early on, we recognized the need for our lawyers to interact on a regular basis with government officials and state-owned enterprises in Beijing. Our 2005 Hong Kong office opening carried with it the promise of a presence in China’s capital, and we are pleased to open in Beijing today.”

According to John Kuzmik, head of the firm’s China practice, “International and domestic financial resources aggregate in Hong Kong, but Beijing is where China’s high-level business decisions are made. For infrastructure and energy projects, as well as for cross-border debt and equity transactions, a strong Beijing presence can be critical.” Kuzmik is a leading China specialist, with more than 18 years’ experience in Beijing and Hong Kong advising multinational corporations, developers, investors and lenders on matters involving China.

Libin Zhang, a partner resident in Beijing, will assist in introducing Baker Botts’ global technology and litigation practices in China. Zhang has been advising clients on trading with and investing in China for more than 15 years.

“Our Beijing office includes practitioners with a range of expertise,” Zhang said. “In addition to assisting multinational clients with their business in China, we will also continue to assist Chinese companies with international interests and aspirations.”

During the last couple of years, Baker Botts has worked on many cross-market and unique legal issues related to China’s energy industry. For example, the firm recently served as legal advisor to New XCL-China, LLC in connection with a transfer of upstream energy interests involving Sinochem Petroleum Limited, and represented Lyondell Chemical Company on its joint venture with China’s Sinopec Zhenhai Refining & Chemical Co., which comprised a unique technology transaction

Kelley Drye Successfully Obtains Dismissal On Behalf of Telecommunications Clients
Kelley Drye successfully represented three telecommunications companies, XO Communications Services, Inc., Covad Communications Company, and Cavalier Telephone LLC, in defeating a suit initiated by Verizon against the Virginia State Corporation Commission (VSCC) in the United States District Court for the Eastern District of Virginia, Richmond Division. Verizon's complaint asserted that certain conditions on interstate special access services that the VSCC imposed on Verizon in an order permitting Verizon's merger with MCI were preempted by, among other things, less stringent conditions imposed by the Federal Communications Commission (FCC) in its own subsequent order approving the merger.

Basing its ruling, in part, on arguments made by Kelley Drye, the Court rejected Verizon's preemption argument and granted the motions to dismiss. The Court noted that XO, represented by Kelley Drye, had met with the FCC before the FCC issued its own merger order and had informed the FCC of the conditions imposed by the Virginia Commission. The fact that the FCC was aware of, but did not overrule the VSCC's order, coupled with the FCC's subsequent silence on the VSCC's more stringent conditions, notwithstanding Verizon's lawsuit, was of "considerable significance" in the Court’s opinion and led the Court to buttress its conclusion that the FCC's order did not preempt the VSCC's order.

Kelley Drye Partners Brad Mutschelknaus and Harry Davidow and Of Counsel Thomas Cohen represented XO and others before the FCC and the VSCC. The litigation against Verizon on behalf of XO, Cavalier, and Covad was handled by Partners Harry Davidow and Ira Kasdan along with Associate Stephen Arner.

SQUIRE SANDERS EXPANDS COMMERCIAL LENDING PRACTICE
Global law firm Squire, Sanders & Dempsey L.L.P. today announced that Guy F. Guinn has joined the firm’s financial service practice as a partner and Massimo Capretta has joined the firm as a senior associate.

Guinn, who was co-chair of the commercial business and finance group at Calfee, Halter & Griswold LLP, will be co-chair of Squire Sanders’ commercial lending group. Osborne Mills Jr. also leads the commercial lending group.

“Guy Guinn has more than 30 years of experience in commercial finance and a national reputation for excellence in commercial and real estate lending, bankruptcy and other creditors’ rights and financial services,” said Patrick J. Dugan, who leads the firm’s financial services practice. “He brings new depth to our growing financial services practice.”

Guinn’s commercial finance experience includes serving as both syndicate counsel and transaction counsel to lenders, investors, private equity sponsors and corporate borrowers in multinational and multicurrency credits, agented financings, investment-grade, highly leveraged and asset-based financings, acquisition financings, high-yield debt placements and mezzanine placements. He has capital formation and restructuring experience such as mezzanine and private debt placements, senior and subordinated debt restructurings, debtor-in-possession financings and workout arrangements.

He has chaired the American Bar Association Business Law Section’s Joint Subcommittee on Domestic and International Business Transactions and the Ohio State Bar Association’s Opinion and Loan Documentation Subcommittee. He is consistently recognized in Chambers USA: America’s Leading Business Lawyers and was recognized as a 2006 Ohio Super Lawyer and in The Best Lawyers in America from 1995-2006.

Capretta has experience representing US and non-US borrowers and creditors in the documentation and management of both secured and unsecured single-lender and syndicated credit facilities. He has also represented commercial finance companies, monocline insurers, underwriters and borrowers and sponsors in structuring and maintaining US and cross-border commercial paper secured vehicles. He received his J.D., magna cum laude, Order of the Coif, in 2000 from the University of Michigan Law School and his A.B., with honors, in 1997 from the University of Chicago.
